Clause 11 of the Bill proposes to add sections 67(2A) and 67(2B) to the effect that at the end of the trial of an election petition that relates to the inclusion of the name of a person in, or the exclusion of the name of a person from a precedence list, CFI must determine whether the name is to be included in the list, and at the end of the trial of an election petition that relates to the ranking of a person on a precedence list, CFI must determine whether the ranking of the person on the list is correct and, if not correct, what is the correct ranking.

The benchmarks adopted so far include: (a) adoption of a formal ERM policy since 2008; (b) an active enterprise risk management committee chaired by the Associate Administrator; (c) a formal implementation strategy for the adoption of ERM in UNDP; (d) dedicated training of staff on the policies and toolkits for ERM (e) clear procedures for the identification, reporting and escalation of relevant risks through the reporting lines for consideration by the ERM committee; (f) dedicated resources for monitoring of and follow up on the corporate risks log; (f) an enabling system for the reporting and review of unit-level and corporate risk; (h) progressively integrated risk-informed and results-based unit work-planning and reporting processes; (i) a planned and periodic review of ERM policies and practices; and (j) contributions to inter-agency experience exchange and learning based on the ERM experiences of UNDP.

(a) Section 6(1) of the First Schedule ofthe LDC Ordinance provides that "A member of the Corporation who is in any way directly or indirectly interested in a contract made or proposed to be made by the Corporation, or in a contract made or proposed to be made by a servant or agent or a partner of the Corporation or, by a body corporate established by the Corporation which is brought up for consideration by the Corporation, shall disclose the nature of his interest at a meeting of the Corporation; and the disclosure shall be recorded in the minutes of the meeting of the Corporation, and the member shall not without the permission of the Chairman take part in any deliberation of the Corporation with respect to that contract and shall not in any event vote on any question concerning it".

In response to Dr Priscilla LEUNG's concern about the regulation of the use and transfer of personal data in corporate mergers, Acting Deputy Privacy Commissioner for Personal Data advised that as corporate mergers were common commercial activities, the Bill proposed to exempt from Data Protection Principle 3 the transfer or disclosure of personal data for use in due diligence exercises in connection with mergers provided that (a) the personal data to be transferred were necessary; (b) the data transferee would provide the same products or services to the data subjects as did the original data user; (c) the consent of the data subjects to the data transfer could not be obtained despite the taking of all reasonably practicable steps; and (d) the data transfer did not include sale of the data.

(2) (a) The shares allotted pursuant to the provisions of paragraph (1) of this Article shall rank pari passu in all respects with shares of the same class (if any) then in issue save only as regards participation in the relevant dividend or in any other distributions, bonuses or rights paid, made, declared or announced prior to or contemporaneously with the payment or declaration of the relevant dividend unless, contemporaneously with the announcement by the Board of their proposal to apply the provisions of sub-paragraph (a) or (b) of paragraph (2) of this Article in relation to the relevant dividend or contemporaneously with their announcement of the distribution, bonus or rights in question, the Board shall specify that the shares to be allotted pursuant to the provisions of paragraph (1) of this Article shall rank for participation in such distribution, bonus or rights.

Proposed section 307B under clause 3 provides that a listed corporation must disclose any inside information to the public as soon as reasonably practicable, if (a) the information has, or ought reasonably to have, come to the knowledge of an officer of the listed corporation in the course of performing his functions as an officer of the corporation; and (b) a reasonable person, acting as an officer of the corporation, would consider that the information is inside information in relation to the corporation.

In the report of the Office of the United Nations High Commissioner for Human Rights on the International workshop on natural resource companies, indigenous peoples and human rights: setting a framework for consultation, benefitsharing and dispute resolution, held in Moscow, in 2008 (see A/HRC/EMRIP/2009/5), it was suggested that the United Nations Declaration on the Rights of Indigenous Peoples could be used to orient negotiations among States, the private sector and indigenous peoples on the basis of recognized human rights standards for indigenous peoples; the report also pointed out that various corporations, including those participating in the United Nations Global Compact, had developed relevant guidelines and practices … aimed at improving their relations with indigenous peoples and local communities.

The court also quoted the Corporate Law Economic Reform Program’s Proposals for Reform: Paper No. 8 headed “Cross-Border Insolvency — Promoting international cooperation and coordination”, which stated that in the Australian Corporations Act context, the scope of the MLCBI would extend to liquidations arising from insolvency, reconstructions and reorganizations under Part 5.1 and voluntary administrations under Part 5.3A.
