(b) Any resolution declaring or resolving upon the payment of a dividend or other distribution on shares of any class, whether a resolution of the Company in general meeting or a resolution of the Board, may specify that the same shall be payable or made to the persons registered as the holders of such shares at the close of business on a particular date, notwithstanding that it may be a date prior to that on which the resolution is passed, and thereupon the dividend or other distribution shall be payable or made to them in accordance with their respective holdings so registered, but without prejudice to the rights inter se in respect of such dividend of transferors and transferees of any such shares.

Reservations to procedural instruments were per se incompatible with their object and purpose.

Whilst expressing support for the present proposal, Mr NG Leung-sing was concerned whether the private service provider would be able to take over the management and maintenance of the existing computer systems in phase I on schedule and if not, whether failure to do so would give rise to monetary compensation payable to the Government.

Mr WONG Ting-kwong, Chairman of the Bills Committee, reported that the objectives of the Bill were to introduce a single definition of "Offices set up by the Central People's Government in the Hong Kong Special Administrative Region" in section 3 of the Interpretation and General Clauses Ordinance; and to amend the application provisions of The Legislative Council Commission Ordinance, the Plant Varieties Protection Ordinance, the Patents Ordinance and the Registered Designs Ordinance to make the provisions of these Ordinances, apart from being applicable to the Hong Kong Government, also applicable to the three Offices set up by the Central People's Government (CPG) in the Hong Kong Special Administrative Region (HKSAR), namely the Liaison Office of CPG in HKSAR, the Office of the Commissioner of the Ministry of Foreign Affairs of the People's Republic of China in HKSAR, and the Hong Kong Garrison of the Chinese People's Liberation Army.

A mere reference to the possibility of parties reaching an agreement contrary to this rule would not have made it possible to reconcile these two concerns: quite apart from the fact that all the guidelines in the Guide to Practice are only indicative and parties remain free to depart from them by (valid) agreement inter se, it is extremely doubtful whether an agreement could be said to have come about merely because the other parties all remain silent.

THE SECRETARY FOR TRANSPORT moved the Second Reading of: "A Bill to grant a franchise for the design, construction and operation of a tunnel and associated roads linking Ting Kau to Au Tau; to provide for the maintenance of the works within the area subject to the franchise, the payment of tolls to the franchise holder for the use of that area by motor vehicles and the regulation of vehicular traffic in relation to such use; and for matters ancillary to and connected with those purposes.

It is true that the relativity of legal relations is, to some extent, limited in the case of these treaties, since by definition the reservation produces its effects in the relations between the author and all other parties; however, it has no effect with regard to the other States parties’ relations inter se, which remain unchanged.

In developing countries the majority of farmers reuse, exchange or sell informally to neighbours, and annual purchase of new seed is relatively rare in most countries.

The Securities and Futures Commission (SFC) pointed out that although the Listing Rules do not specifically deal with financial assistance per se, listed companies are subject to notification and disclosure requirements under Chapter 14 (Notifiable Transactions) and Chapter 14A (Connected Transactions) of the Main Board Listing Rules for transactions relating to giving of financial assistance, thus providing additional safeguards for minority shareholders’ interests.

The proposed conversion, if implemented, would change the current situation where SE grade officers can only take up the control and enforcement responsibilities in the two EB Divisions up to the chief professional officer level; provide a level-playing field for the meritorious and competent SE grade officers to compete with their BS counterparts for advancement to the senior directorate level; and above all, enable BD to enlarge its trawl for competent and deserving officers to the senior directorate level.

(35) Having examined 31 C/DR.28 (submitted by Sudan), concerning paragraph 02210, regarding the establishment of a regional forum to support Member States for maintaining sound management and equitable water sharing through sustained peaceful cooperation, the Commission recommended that the General Conference decide that seed money be provided to set up the forum under the regular budget – paragraph 02212 “MLA2: Water interactions and security”.

(40) Having examined 31 C/DR.47 (submitted by Bolivia, supported by Honduras, Peru and Costa Rica), concerning paragraph 02230, on the implementation of a regional, multidisciplinary mechanism headquartered in La Paz (Bolivia), for the management and monitoring of the impact of El Niño in landlocked countries and areas of South America, with a view to natural disaster prevention and prediction, the Commission recommended that the General Conference decide that seed funds be provided through the UNESCO Offices in Montevido and La Paz under the regular programme for a background study on the rationale for establishing such a multidisciplinary mechanism, including assessment of other existing information sources or mechanisms.

Though seed analysis diagnoses past problems, it can help identify field sites where future crops will respond to micronutrient applications and regional trends in micronutrient status of crops.

UNESCO is not a humanitarian agency per se, however, it has a unique and often highly specialized technical role to play in addressing emergency needs in its fields of competence.

Governments, international financial institutions and major companies should work together to create incentives for increased investments in sustainable technologies, innovations and infrastructures, including through the adoption of policies and targets that reduce investor uncertainty; the promotion of public-private networks to support research and development; the development of risk guarantee schemes and the provision of risk capital; and seed financing.

Such regimes should permit access to the protected varieties for further research and breeding, and provide at least for the right of farmers to save and plant-back seed, including the possibility of informal sale and exchange.

Since data reported pursuant to Article 7 are used exclusively to determine status of compliance on an annual basis, and the current analysis uses a mixture of data reported to the Fund Secretariat on country programme implementation for various compliance periods and assumes that the phase-out from ongoing projects would be implemented, this document does not determine compliance per se, but rather assesses the potential prospects of an Article 5 country achieving compliance with one or more of the Montreal Protocol control measures.

For, the exhibition is not intended to be restricted to the cultural field per se as a source of development but rather aims also at stressing the importance of culturally sensitive approaches as a guarantee and resource for the sustainability of economic and social development and at showing to what extent culturally sensitive approaches can help us better respond to the challenges we are facing today in the present context of financial and economic crisis.

Agricultural research that builds on seed diversity and sociocultural farming practices needs to be supported, and new and additional financial resources must be mobilized to support adaptation and strengthened resilience to climate change-related impacts.

This might involve employing the initial funds as “seed” money in an effort to leverage additional funds to achieve multiple environmental objectives including maximizing the climate change benefits of Fund projects through energy efficiency (as occurred in the chiller projects), or maximizing the resources available for HCFC phase-out management plans (HPMPs) and encouraging the early phase-out of HCFCs.

With non-prudential regulation, the emphasis is not on protecting the financial system and funds on deposit per se, but rather on the conduct of the financial business, including such matters as registration; client protection; disclosure of interest rates; supporting secured transactions; setting limits on foreign ownership, management, and sources of capital; transformation from one institutional type to another; fraud and financial crimes prevention; and credit information services.

Foods which could not be exempted irrespective of addition of other ingredient include nuts, such as peanuts, almonds, cashew nuts, South Apricot and North Apricot, Seeds, such as Lotus seed, rice or other cereal grains, Bird’s nest and Bird’s nest cake.

These included an enabling regulatory environment for companies to start, grow and close a business; public programmes that provided the first seed capital for start-ups; tax regimes that allowed successful entrepreneurs to reap the rewards of success; and flexible labour markets.

Without any doubt, when it adopted that legislation the State introduced a law that is contrary to the obligation laid down in article 2, thereby committing, per se, a violation to which the Committee should refer in its decision, in addition to the violations found, because the author and her son have been the victims — inter alia — of that provision of the law.
