Members raised concern about the Administration's proposed “30day response period”, under which a data user who intended to use the personal data of a data subject, or provide such data to other persons for use, in direct marketing or sell such data had to provide, before the use or sale, the data subject with (a) certain written information about the data subject's personal data ("written notification"), and (b) a response facility through which the data subject might indicate in writing to the data user whether the data subject objected to the intended use or sale, and the data subject would be taken not to object if no reply indicating objection was sent to the data user within 30 days.

No connected persons of the Company have notified the Company that they have any present intention to sell Shares to the Company, or have undertaken not to do so, in the event that the Company is authorised to make repurchase of the Shares.

(b) so far as it is aware at the end of the relevant period, the Company has not at any time during the relevant period received any indication of the existence of the Member who is the holder of such shares or of a person entitled to such shares by death, bankruptcy or operation of law; and (c) the Company, if so required by the rules governing the listing of shares on the Designated Stock Exchange, has given notice to, and caused advertisement in newspapers in accordance with the requirements of, the Designated Stock Exchange to be made of its intention to sell such shares in the manner required by the Designated Stock Exchange, and a period of three (3) months or such shorter period as may be allowed by the Designated Stock Exchange has elapsed since the date of such advertisement.

(8) To carry on business as capitalists, financiers, concessionaires, investment houses, fund managers and merchants, and to undertake and carry on and execute all kinds of financial, commercial, advisory, trading and other operations, and to advance, deposit, lend and borrow money, securities, commodities and property to and with such persons and on such terms as may seem expedient; to discount, buy, sell and deal in currencies (spot or forward), bullion, bills, notes, debentures, warrants, coupons, stocks, shares, options, unit in unit trust and all forms of investments or participation rights in investments and investment vehicles, including joint ventures, partnerships and limited partnerships and all forms of securities and documents, including without limitation letters of credit, bills of lading, bills of exchange and promissory notes.

If you have sold or transferred all your shares in USI Holdings Limited, you should at once hand this circular and the enclosed proxy form to the purchaser or transferee, or to the bank, stockbroker or other agent through whom the sale or transfer was effected for transmission to the purchaser or the transferee.

(6) To acquire, develop, manage, license, hire, let, sell, exchange and otherwise howsoever turn to account any land and/or building and, in particular, by laying out and preparing the same for building purposes, constructing, altering, demolishing, pulling down, decorating, administering, maintaining, furnishing, fitting up, and improving buildings of all kinds, and by planting, paving, draining, farming, cultivating, letting on building lease or building agreement or for sale, and by advancing money to and entering into contracts and arrangement of all kinds with builders, tenants and others in connection with any of the foregoing.

(b) a participant receives a reward on, or at any time after, the introduction into the scheme by him of another participant which reward is based, whether wholly or in part, otherwise than on the fair market value of goods or services actually sold by him or by or through that other participant (emphasis added).

An asset’s recoverable amount is calculated as the higher of the asset’s or cash-generating unit’s value in use and its fair value less costs to sell, and is determined for an individual asset, unless the asset does not generate cash inflows that are largely independent of those from other assets or groups of assets, in which case the recoverable amount is determined for the cash-generating unit to which the asset belongs.

The Company may sell, in such manner as the Board thinks fit, any shares on which the Company has a lien, but no sale shall be made unless some sum in respect of which the lien exists is presently payable or the liability or engagement in respect of which such lien exists is liable to be presently fulfilled or discharged, nor until the expiration of fourteen days after a notice in writing, stating and demanding payment of the sum presently payable or specifying the liability or engagement and demanding fulfilment or discharge thereof and giving notice of intention to sell in default, shall have been given to the registered holder for the time being of the shares or the person entitled by reason of such holder’s death, bankruptcy or winding-up to the shares.

The Programme of Action sets a broad agenda for the improvement of the status of women, stressing the importance of increasing their equal participation and equitable representation at all levels of the political process; improving women’s ability to earn an income in varied occupations so that they can become economically self-reliant, ensuring their equal access to the labour market and social security, and ensuring their equal rights to buy, hold and sell property and land, to obtain credit and negotiate contracts in their own name, and to exercise their right to inheritance (paras. 4.4 and 4.6).

(r) To manage, maintain, improve and develop all or any part of the property, land, building or buildings of the Company and to operate or use in conjunction or co-ownership with others, lease, mortgage, underlet, exchange, surrender, sell, turn to account or otherwise deal with and dispose of the same or any part or parts thereof or interest thereon, for such consideration and on such terms and conditions as the Company may think fit, and, in particular, for shares, debentures or securities of any company purchasing or acquiring any interest in the same.

(m) To carry on in any part of the world all or any of the businesses of importers, exporters, general traders, commission agents, indent agents, forwarding agents, gem merchants, jewellers, goldsmiths, silversmiths, watch and clock makers, electro-platers, dressing-bag makers, carriers, tourist agents and contractors, warehousemen, tobacco and cigar merchants, agents for theatrical and opera box office, advertising contractors and agents, and holders of exhibition, and to buy, sell, import, export, manufacture, manipulate, turn to account and prepare for market, and deal in goods, wares, materials provisions, produce, merchandise, commodities, substances, articles and chattels of all kinds, both wholesale and retail, and to transact every kind of agency business and to undertake the business of manufacturers’ representatives.

The term in excess of three years is beneficial to the Company because (i) any term shorter than the License Term and the Secondary Trademark License Term would increase the risks associated with, and lower the returns on, the Group’s investment in its brand building of the Philips Contributed Business; (ii) following Completion, the Group is expected to invest substantial management effort to broaden the Philips Contributed Business’ product range and market share, the benefits of which will extend beyond three years; and (iii) it is the intention of the Company to strengthen the Philips Contributed Business and the presence of the Philips Trademarks and the Secondary Trademark in the markets in which the Scope Products are sold.

(b) To carry on all or any of the businesses following: Namely, cotton spinners and doublers, flax, hemp, and jute spinners, linen manufacturers, flax, hemp, jute, and woollen spinners, yarn merchants, worsted stuff manufacturers, bleachers and dyers, and makers of vitriol, bleaching and dyeing materials, and to purchase, comb, prepare, spin, dye, and deal in flax, hemp, jute, wool, cotton, silk, and other fibrous substances, and to weave or otherwise manufacture, buy and sell and deal in linen, cloth, and other goods and fabrics, whether textile, felted, netted, or looped, and to supply power.

(c) In case any of the shares to be divided as aforesaid consist of shares which involve a liability to calls or otherwise, any person entitled under such division to any of the said shares may, within ten days after the passing of the special resolution by notice in writing, direct the Liquidator to sell his proportion and pay him the net proceeds, and the liquidator shall, if practicable, act accordingly.

3.2 During the said period, enumerators of the Consumer Search visited each booth in the three halls, delivered questionnaires to each eligible exhibitor (i.e. those exhibitors who sold or promoted prepackaged food products during the Food Expo 2011) by hand, and invited the exhibitors to complete and return the questionnaires to the enumerators on or before 15 August 2011 by hand, fax or email.

This included the suggestion of treating prepackaged food products that were sold at a “catch-weight” status or as it came with no predetermined exact weight for each package, such as chicken, due to the variation of weight among chickens, where the nutrients should be the same per unit of serving.

Bye-law, or during any period ending on the date when all the requirements of sub-paragraphs (i) to (iv) of paragraph (A) of this Bye-law have been satisfied, any additional shares have been issued in respect of those held at the beginning of, or previously so issued during, any such period and all the requirements of sub-paragraphs (ii) to (iv) of paragraph (A) of this Bye-law have been satisfied in regard to such additional shares, the Company shall also be entitled to sell the additional shares.

Notwithstanding any such forfeiture as aforesaid the Board may at any time, before any shares so forfeited shall have been sold, re-allotted or otherwise disposed of, cancel the forfeiture on such terms as the Board thinks fit or permit the share forfeited to be redeemed upon the terms of payment of all calls and interest due thereon and all expenses incurred in respect of the share, and upon such further terms (if any) as it thinks fit.

(t) to acquire by purchase or otherwise hold, sell, dispose of and deal in real property situated outside Bermuda and in personal property of all kinds wheresoever situated.

4.4 To carry on the business of a commodity, commodity futures and forward contracts trader and for that purpose to enter into spot, future or forward contracts for the purchase and sale of any commodity including, but without prejudice to the generality of the foregoing, any raw materials, processed materials, agricultural products, produce or livestock, gold and silver bullion, specie and precious or semi-precious stones, goods, articles, services, currencies, rights and interests which may now or in the future be bought and sold in commerce and whether such trading is effected on an organised commodity exchange or otherwise and either to take delivery of, or to sell or exchange any such commodities pursuant to any contract capable of being entered into on any such commodities exchange.

4.20 To enter into partnership or into any arrangements for sharing profits, union of interests, co-operation, joint venture, reciprocal concession, amalgamation or otherwise with any person or persons or company engaged or interested or about to become engaged or interested in the carrying on or conduct of any business or enterprise from which this Company would or might derive any benefit whether direct or indirect and to lend money, guarantee the contracts of or otherwise assist any such person or company and to take subscribe for or otherwise acquire shares and securities of any such company and to sell, hold, re-issue with or without guarantee or otherwise deal with the same.

Participation through the Phantom Plan will mirror normal participation (including entitlement to dividends, bonus shares and rights issues), except that no Shares will be physically purchased, held or sold by or on behalf of the employee.

Management assesses the recoverable amount by the higher of the fair value less costs to sell and the expected value in use which is determined by the expected useful life and the expected net discounted cash flows of the item of intangible assets and property, plant and equipment.

Liquidity risks may arise from financial assets which can not be sold as soon as possible at fair value, or the situation where the other party is unable to pay its contractual obligations, or debt obligations that mature earlier, or the unexpected insufficient cash flow.

No connected person, as defined in the Listing Rules, has notified the Company that he or she has a present intention to sell any Shares to the Company, or has undertaken not to do so, if the Repurchase Mandate is approved by Shareholders.

(d) To sell, exchange, mortgage, charge, let on rent, share of profit, royalty or otherwise, grant licences, easements, options, servitudes and other rights over, and in any other manner deal with or dispose of, all or any part of the undertaking, property and assets (present and future) of the Company for any consideration and in particular (without prejudice to the generality of the foregoing) for any securities.

Pursuant to the provision equivalent to art. 21 (1)(e) of the Model Law, the court entrusted the administration and realisation of all of the debtor’s assets in Australia to the foreign representatives, ordered that no person could enforce a charge on the property of the debtor and that a pledge or lienholder in possession of the property of the debtor could continue in possession, but could not sell or otherwise enforce the lien or pledge.

On 9 December 2004, pursuant to a resolution adopted at the Company’s second temporary shareholders’ general meeting and the provision under the revised Articles of Association, and upon approval under Document Guo Zi Gai Ge [2004] No. 865 issued by State-owned Assets Suervision and Administration Commission of the State council and verification and approval under Document Zheng Jian Guo He Zi [2004] No. 38 issued by China Securities Regulatory Commission, the Company made an overseas public offering of '60,'5',040 overseas listed foreign invested shares (H Shares), of which '58,766,450 new shares were issued by the Company and ',384,590 shares were sold by the Company’s state-owned corporate shareholders.
