(B) The Company at any general meeting at which any Directors retire in manner aforesaid may fill the vacated office by electing a like number of persons to be Directors.

In section V, paragraph 11, of the same resolution, the General Assembly requested the Secretary-General to seek a more effective strategy to fill current and future language post vacancies at all duty stations in a timely manner, took note of paragraph 92 of the report of the Secretary-General on the pattern of conferences (A/63/119 and Corr.1), and also requested the Secretary-General to hold the competitive examinations for the recruitment of language staff referred to in that paragraph, as well as other examinations beyond 2009, well in advance so as to fill current and future language post vacancies at all duty stations in a timely manner, and to inform the Assembly at its sixty-fourth session of efforts in that regard.

In order to offset the difficulty in filling resource gaps in cluster offices in the near future, and so as to ensure that staff skillsets are in line with the profiles, roles and task-sharing between Headquarters, regional bureaux, cluster/national offices and institutes referred to above, the overall long-term staffing strategy submitted to the Executive Board at this same session (Part IB of this document) has been elaborated taking into account inter alia the work of the Decentralization Review Task Force.

The main elements of the strategy for achieving the overall objective include: (a) filling the information and knowledge gap on critical environmental issues through more comprehensive assessments; (b) identifying and further developing the use of appropriate integrated policy measures in tackling the root causes of major environmental concerns; and (c) mobilizing action for better integration of international action to improve the environment, particularly in relation to regional and multilateral agreements, as well as United Nations system-wide collaborative arrangements.

While recognizing that some progress had been made, as reflected by high decentralization rates of programme resources of document 32 C/5 and also the continuing efforts to fill the gaps in field staffing against an overall context of post reduction, participants considered that only a substantial decentralization, which would provide field units with more adequate staffing and programme funding, would ensure that UNESCO was relevant at the country level and could contribute to inter-agency efforts.

The ISU will attempt to fill in to a degree by assigning various tasks to interns, although there no doubt will be a reduction in quality and speed.

The Committee was informed that, once the temporary positions were filled, there would be a commensurate reduction in the services outsourced to the contractor, in accordance with the terms of the contract and standard outsourcing arrangements, which provide for flexible increases and decreases in the level of services contracted according to the needs of the Organization.

As the sector has given priority to filling all vacant posts, these posts are expected to be filled by the beginning of the second semester.

At its resumed sixty-fourth session, on 13 May 2010, the General Assembly elected the following 14 members for a three-year term of office beginning on 19 June 2010: Angola, Ecuador, Guatemala, Libyan Arab Jamahiriya, Malaysia, Maldives, Mauritania, Poland, Qatar, Republic of Moldova, Spain, Switzerland, Thailand and Uganda to fill the vacancies occurring on the expiration of the terms of office of Angola, Bolivia (Plurinational State of), Bosnia and Herzegovina, Egypt, India, Indonesia, Italy, Madagascar, Netherlands, Nicaragua, Philippines, Qatar, Slovenia and South Africa (decision 64/422).

The Directors may establish any local boards or agencies for managing any of the affairs of the Company, either in Hong Kong or elsewhere, and may appoint any persons to be members of such local boards, or any managers or agents for the Company, and may fix their remuneration, and may delegate (with or without power to sub-delegate as the Directors shall determine) to any local board, manager or agent any of the powers, authorities and discretions vested in the Directors, and may authorise the members of any local boards, or any of them, to fill any vacancies therein, and to act notwithstanding vacancies, and any such appointment or delegation may be made upon such terms and subject to such conditions as the Directors may think fit, and the Directors may remove any person so appointed, and may annul or vary any such delegation, but no person dealing in good faith and without notice of any such annulment or variation shall be affected thereby.

As an effective field presence is a prerequisite to an enhanced programme delivery, the Director-General will continue to make every effort, within the budgetary constraints of the Organization, to narrow, if not fill the remaining gaps in the field network staff establishment, bearing in mind the fact that decentralization should not impinge on the unity of conception and action by UNESCO.

The Board reviewed the amount of time it took to fill vacant posts and from a sample of five staff posts selected for review, noted that four posts were filled only after a period of at least eight months from the date when the post originally became vacant.

In section V, paragraph 5, of its resolution 64/230, the General Assembly noted with appreciation the measures taken by the Secretariat to fill current and future vacancies at the United Nations Office at Nairobi and the information contained in paragraphs 87 to 89 of the report of the Secretary-General on the pattern of conferences (A/64/136), and requested the Secretary-General to consider further measures aimed at decreasing the vacancy rates in Nairobi and to report thereon to the General Assembly at its sixty-fifth session.

The partners may, for example, include schools, local authorities, healthcare institutions, i.e. organisations that fill a parallel significant role in solving the client’s problems, as unemployment may also be caused by health problems, shortfalls in education, lack of childcare facilities, etc.

(5) A vacancy on the Board created by the removal of a Director under the provisions of subparagraph (4) above may be filled by the election or appointment by the Members at the meeting at which such Director is removed to hold office until the next appointment of Directors or until their successors are elected or appointed or, in the absence of such election or appointment such general meeting may authorise the Board to fill any vacancy in the number left unfilled.

113.2 If at any general meeting at which a Director retires, the office(s) of the retiring Director(s) are not filled up the retiring Director(s) may continue in office until the annual general meeting in the next year, and so on from year to year unless the number shall be reduced as aforesaid or unless the Company at the annual general meeting shall resolve that a retiring Director shall not remain in office.

The continuing Directors or a sole continuing Director may act notwithstanding any vacancy in the Board but, if and so long as the number of Directors is reduced below the minimum number fixed by or in accordance with these Bye-laws, the continuing Directors or Director, notwithstanding that the number of Directors is below the number fixed by or in accordance with these Bye-laws as the quorum or that there is only one continuing Director, may act for the purpose of filling vacancies in the Board or of summoning general meetings of the Company but not for any other purpose.

Although the loss reported was insignificant, the concept did not promote the environmental goal of the Protocol: if filling losses were not accounted for, there would be no incentive to CFC producers to reduce such losses and thereby reduce emissions of CFCs into the atmosphere.

Argentina has witnessed the constructive efforts pursued by Japan on this issue, having participated in 2006 in the drafting of the presidential note contained in document S/2006/507, a legal instrument that has become the document of reference for this topic, filling, to some extent, the gap in the Security Council’s rules of procedures.

The European Union rejected the notion that there was a legal vacuum to be filled and invited delegations to state which gap had been identified and what methods had been used to identify these necessary complementary standards.

(3) According to the No Objection Letter dated 21 March 2007 issued by The Hong Kong Special Administrative Region by the District Lands Office / Tsuen Wan and Kwai Tsing registered vide Memorial No.07032802020015, Unit G01 on Ground Floor of Tower A may be used for non-residential purposes (excluding hotel, petrol filling station and residential care home) for the lifetime of the existing building.

The extent of reclamation in the area to the west of the HKCEC is set by the extent of seawall protection in front of the tunnel structure, while the HKCEC water channel will need to be filled in to enable the Trunk Road construction.
