Save as disclosed above, as at the Latest Practical Date, the Directors are not aware of any other person who had an interest or short position in the Shares or underlying Shares of the Company which would fall to be disclosed to the Company under the provisions of Divisions 2 and 3 of Part XV of the SFO, or who was, directly or indirectly, interested in 10% or more of the nominal value of any class of share capital, or options in respect of such capital, carrying rights to vote in all circumstances at general meetings of any other member of the Group.

Ordinary resolutions will also be proposed at the Annual General Meeting in respect of the granting of the Issue Mandate to the Directors, in the terms set out in the notice of the Annual General Meeting, to allot, issue and deal with Shares not exceeding 20% of the aggregate nominal amount of the share capital of the Company in issue as at the date of passing the relevant resolution, and adding to the Issue Mandate so granted to the Directors any Shares representing the aggregate nominal amount of the Shares repurchased by the Company after the granting of the Repurchase Mandate, at any time during the period ended on the earliest of (a) the conclusion of the next annual general meeting of the Company; (b) the expiration of the period within which the next annual general meeting of the Company is required by the Articles or any applicable laws to be held; and (c) the date upon which such authority is revoked or varied by an ordinary resolution at a general meeting of Shareholders.

It also noted that procedures for reporting cases of violence against children were extremely long and lacked comprehensive measures to respond and provide care to those affected.

(B) If any member shall surrender for cancellation a share certificate representing shares held by him and request the Company to issue in lieu two or more share certificates representing such shares in such proportions as he may specify, the Board may, if it thinks fit, comply with such request subject to the payment of such sum (not exceeding, in the case of any share capital listed on a stock exchange in Hong Kong, the maximum amount prescribed or permitted from time to time by such stock exchange, and, in the case of any other share capital, such sum in such currency as the Board may from time to time determine to be reasonable in the territory in which the relevant register is situate, or otherwise in each case such other sum as the Board may from time to time determine) for every certificate after the first, as the Board shall from time to time determine.

To every such separate general meeting the provisions of these Bye-laws relating to general meetings shall mutatis mutandis apply, but so that the necessary quorum shall be not less than two persons holding or representing by proxy (or, in the case of a member being a corporation, as the duly authorised representative of such corporation) at least one-third in nominal value of the issued shares of that class, and at an adjourned meeting not less than two persons holding or representing by proxy (or, in the case of a member being a corporation, as the duly authorised representative of such corporation) shares of that class, and that any holder of shares of the class present in person or by proxy (or, in the case of a member being a corporation, as the duly authorised representative of such corporation) may demand a poll.

Furthermore, as noted in paragraph 2 above, pursuant to General Assembly resolution 63/266, the Secretary-General has included in his report a projection of the total budget for special political missions for the biennium 2010–2011, which he estimates could amount to some $1,148,739,700, or $319,811,300 more than the provision for special political missions in the proposed programme budget for the biennium 2010–2011 (see A/64/349, para. 78 and annex III).

I/We/Our company] had not communicated to any person other than HD the amount of any rental offer, adjusted the amount of any quotation by arrangement with any other person, made any arrangement with any other person about whether or not [I/we/our company] or that other person should submit a Form of Tender or otherwise colluded with any other person in any manner whatsoever and undertake that at any time thereafter in the letting of the above premises until the bidder is notified by HD of the outcome of the letting exercise and other than the Excepted Communications referred to in the remark below of this Form of Tender [I/we/our company] will not communicate to any person other than HD the amount of any rental offer, adjust the amount of any quotation by arrangement with any other person, make any arrangement with any other person about whether or not [I/we/our company] or that other person should bid or otherwise collude with any other person in any manner whatsoever.

That, in view of the Administration's failure to take effective action to amend the 15 relevant Ordinances which bind the Government so that they also bind the offices of the CPG in the HKSAR and to complete the review of the applicability of the Personal Data (Privacy) Ordinance to the CPG offices in the HKSAR, resulting in these offices not being required to abide by these Ordinances, and as the Administration has delayed the adaptation of the 35 relevant Ordinances which are expressed to bind, or apply to, the "Crown", this Council expresses serious concern and urges the Administration to explain the reasons for the slow progress of the work and to expedite amendment and adaptation of the relevant Ordinances.

Following a discussion, the Executive Committee decided to approve the pilot project for validation of methyl formate as a blowing agent in the manufacture of polyurethane foam (phase I) in Brazil at a total cost of US $401,500 plus agency support costs of US $30,113 for UNDP, noting that the project was consistent with decision 55/43(e) and that it had been designed to disseminate the results from the validation of methyl formate technology in rigid and integral skin polyurethane foam applications globally, and on the understanding that the project would be the final validation project for methyl formate in the manufacture of rigid and integral skin polyurethane foams, and that approval of the project was without prejudice to consideration of the future funding request for phase II of the project by the Executive Committee.

However, many people and nations, especially the poorest ones, do not have effective and equitable access to information, and therefore, to development opportunities.

Nigeria also noted that the fact that the main challenge faced by Nigeria concerned unexploded ordnance points to how valuable this Convention is in ensuring that not only landmines are dealt with by affected countries, but that all other explosive remnants of war are dealt with.

The provision would provide for specialized expertise not available in the Organization, outside the scope of the systems integration contract, in the area of change management, in technical areas, including mobile technology, report design and implementation, data warehousing and business intelligence, and in functional areas, including travel, central services, field operations and logistics, payroll, budgeting and planning, as well as management consultants to cross-check the project management services provided by the main contractor/systems integrator.

By the same resolution, the Council decided that the mandate of the Force, in addition to carrying out its mandate under resolutions 425 (1978) and 426 (1978), would include, inter alia, monitoring the cessation of hostilities, accompanying and supporting the deployment of the Lebanese Armed Forces throughout southern Lebanon in parallel with the withdrawal of the Israeli Defense Forces, ensuring respect for the Blue Line and assisting the Lebanese Armed Forces in ensuring that the area between the Blue Line and the Litani River is free of any unauthorized armed personnel, assets and weapons, taking all necessary action within its capabilities to ensure that its area of operations is not utilized for hostile activities, and assisting the Government of Lebanon, at its request, in securing its borders and other entry points in order to prevent the entry into Lebanon without its consent of arms or related materiel.

As the Guangzhou–Shenzhen–Hong Kong Express Rail Link (XRL) involves $66.9 billion of public funds and the findings of the Public Opinion Programme of the University of Hong Kong published recently show that 59% of the respondents said they knew 'very little' or 'quite little' about the entire XRL project, indicating that most people do not understand the substance and social impact of the XRL, I now move under paragraph 37A of the FC Procedure to demand that the Government shelve the funding proposals of the XRL and assess the public awareness of the XRL with an opinion poll conducted by an independent organization, and re-submit the funding proposals after having ascertained that the majority of the people of Hong Kong clearly understand the substance of the XRL and its impact on the society.

The Committee has previously noted that some of those posts are subject to a quick turnover and has stressed the importance of making efforts to obtain the sustained commitment of those entities to provide assignments of seconded personnel of longer duration, in order to ensure stability of functions (A/64/7, para. II.28).

In addition, the ICBL noted that many efficiency issues they have raised touch upon the role of the United Nations and, in this regard, expressed appreciation for a constructive dialogue that has started in recent months between non-governmental organisations and the UN.

In the course of consultations with key constituencies (Member States, United Nations and academia) around the desirability of preparing a draft universal declaration of ethical principles in relation to climate change, it became clear that significant work is needed on the upstream clarification of basic ethical principles, including but not limited to climate change issues, along with downstream development of practical policy tools.

The Funding of this Agreement will not be modified on the basis of any future Executive Committee decision that may affect the funding of any other consumption sector projects or any other related activities in the Country.

These included the social disparities between non-Maori and Maori; the status of the Treaty of Waitangi in domestic legislation; family violence; equality of opportunity; overrepresentation of Maori in the criminal justice system; and ratification of human rights treaties to which New Zealand was not party.

It also considered the issue from a more general point of view in resolution 1373 (2001) on threats to international peace and security caused by terrorist acts (the Council “[noted] with concern the close connection between international terrorism and transnational organized crime, illicit drugs, money-laundering, illegal arms-trafficking, and illegal movement of nuclear, chemical, biological and other potentially deadly materials”) and in the presidential statement (S/PRST/2009/32) on peace and security in Africa (“the Security Council notes with concern the serious threats posed in some cases by drug trafficking and related transnational organized crime to international security in different regions of the world, including in Africa”).

Slovakia considered this set of recommendations very complex and requiring huge financial resources, effort and cooperation of all involved, and noted that solutions were not imminent but would materialize in the future.

164 The Board may from time to time and at any time, by power of attorney under the seal, appoint any company, firm or person or any fluctuating body of persons, whether nominated directly or indirectly by the Board, to be the attorney or attorneys of the Company for such purposes and with such powers, authorities and discretions (not exceeding those vested in or exercisable by the Board under these Articles) and for such period and subject to such conditions as it may think fit, and any such power of attorney may contain such provisions for the protection and convenience of persons dealing with any such attorney as the Board may think fit, and may also authorise any such attorney to sub-delegate all or any of the powers, authorities and discretions vested in him.

a) To define “pesticide” and other related terms in a way consistent with Codex; b) To provide a list of maximum residue limits (MRLs) and extraneous maximum residue limits (EMRLs), to adopt MRLs/EMRLs recommended by Codex as the backbone as well as the Codex’s classification of foods; c) To prohibit the import and sale of the concerned food for which no MRL/EMRL had been specified, unless DFEH was satisfied that the detected level would not be dangerous or prejudicial to health; d) To provide a list of exempted substances; e) To accept applications for adding / revising MRLs and exempted substances; f) To dovetail the proposed Regulation with the registration of pesticides for use on food crops under the PO, Cap. 133; and g) To commence the proposed Regulation after a two-year grace period.

The representative of Turkey underlined the following points: (a) the organization, Centre Europe-tiers monde had been failing to adhere to the basic principles of the Charter of the United Nations and the basic requirements set out in Council resolution 1996/31 by disrespecting the territorial integrity and political unity of Turkey; (b) the organization had been undertaking unsubstantiated and politically motivated allegations against Turkey; (c) the organization had been inciting and condoning acts of terrorism against States Members of the United Nations, which is prohibited under international law; (d) the organization had become a propaganda vehicle of the terrorist organization PKK/Kongra-Gel; and (e) the organization had not taken into consideration earlier statements of Turkey regarding the need to uphold its obligations and responsibilities under the Charter and Council resolution 1996/31.

It was noted that the scope of the standard did not include jam-like products that were traditionally produced in certain countries and therefore there was no possibility of confusion between these products.

(c) THAT all other transactions contemplated under the Agreement be and are hereby approved and the Directors or a duly authorised committee of the board of Directors be and are/is authorised to do all such acts and things, to sign and execute such documents or agreements or deeds on behalf of the Company and to do such other things and to take all such actions as they consider necessary, appropriate, desirable and expedient for the purposes of giving effect to or in connection with the Agreement, the Acquisition, the allotment and issue of the Consideration Shares, and to agree to such variation, amendments or waiver or matters relating thereto (including any variation, amendments or waiver of such documents or any terms thereof, which are not fundamentally different from those as provided in the Agreement) as are, in the opinion of the Directors or the duly authorised committee, in the interest of the Company and its shareholders as a whole.

Several delegations pointed out that private standards had a negative impact on export and economies in their countries, especially on small scale producers; they were difficult to implement; they were not based on science; their development was not open and transparent; there was no dispute settlement procedure for these standards; and claims stating that these standards were safer than public standards might mislead consumers.

(b) To be valid, a form of proxy in the prescribed form together with the power of attorney or other authority, if any, under which it is signed, or a certified copy of such power or authority, must be deposited at the Company’s branch share registrar in Hong Kong, Computershare Hong Kong Investor Services Limited, at Shops 1712-1716, 17/F, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong not less than 48 hours before the time fixed for holding the meeting (or any adjourned meeting).

For QG 9, the Standing Commission has noted, in particular, the differences in the salary structure of degree jobs in the civil service and the private sector (viz. degree jobs in the private sector generally enjoy a larger jump after a few years) and the importance to maintain the competitiveness of jobs in the QG which form the backbone of the civil service, etc.
