Rule 7.24(5) is amended to read: “If the proposed open offer would increase either the issued share capital (excluding treasury shares) or the market capitalisation of the issuer by more than 50% (on its own or when aggregated with any other open offers or rights issues announced by the issuer (i) within the 12 month period immediately preceding the announcement of the proposed open offer or (ii) prior to such 12 month period where dealing in respect of the shares issued pursuant thereto commenced within such 12 month period, together with any bonus securities (other than any such bonus securities to be issued into treasury), warrants or other convertible securities (assuming full conversion) granted or to be granted to shareholders as part of such rights issues or open offers):-”.

The key concerns raised are about the vehicular and pedestrian traffic in the area, possible adverse impact on Star Ferry’s business, and worries about the inconvenience of the long distance of the new bus terminal from the TST Star Ferry Pier.

Usually, the cost of the service is based on the number of keypads required (i.e. the number of shareholders voting) and accounts for only a small part of the total cost of the facilities provided by the listed issuer in connection with the meeting (e.g. room rental, scrutineer’s fees etc.).

11.3 Debentures, debenture stock, bonds and other securities may be made assignable free from any equities between the Company and the person to whom the same may be issued.

The terms of the Escrow Agreement permit the Issuer to invest any funds credited to the Escrow Account in certain temporary cash investments.

A majority of the views collected in this exercise support the piazza project (e.g. the tourism sector, the Yau Tsim Mong District Council, etc.), although some are concerned mainly about the vehicular and pedestrian traffic arrangements in the area.

In the event of any substantial downgrading of credit rating or other material adverse change concerning a Base Securities Issuer, the Manager will take such measures and actions as reasonably and practicable available to it, including seeking additional collateral and/or additional Base Securities Issuers and/or sell the Base Securities back to the relevant Base Securities Issuer.

Reference is made to the announcement of the Company dated 18 February 2013 in relation to the proposed issue of US$ denominated guaranteed bonds by the Issuer to be guaranteed by the Company.

We will carefully assess the duration of each excavation permit to ensure that the time allowed is reasonable so that the disruption to road and pedestrian traffic is minimised.

Several executors or administrators of a deceased member in whose name any share stands shall for the purposes of this Bye-Law be deemed joint holders thereof.

Where a minor is otherwise entitled to apply for a grant then the grant may be made for his use and benefit to his parents or guardian to a person nominated by the Registrar or, if the minor is over 16 years old, to a person nominated by him.

They supported these three decking projects including the proposed beneficial uses of the decked surface for greening, amenity and footpath widening purposes.

Based on our review, we are not aware of any material modifications that should be made to the consolidated financial statements referred to above for them to be in conformity with the Guidelines Governing the Preparation of Financial Reports by Securities Issuers, and accounting principles generally accepted in the Republic of China.

(v) any contract or arrangement in which the Director or his Associate(s) is/are interested in the same manner as other holders of shares or debentures or other securities of the Company by virtue only of his/their interest in shares or debentures or other securities of the Company

Investing in such instruments creates exposure to the direct or indirect consequences of political, social or economic changes (including changes in governments, heads of states or monarchs) in the countries in which the issuers are located and the creditworthiness of the sovereign.

7.4 You are required to declare in part (a) of the declaration whether or not you are bankrupt, has applied for IVA and is aware that legal proceeding(s) has / have been started (or are pending or being threatened) against you for your bankruptcy or for the appointment of a receiver, administrator, administrative receiver, trustee or similar officer over any or all of your assets.

6.6.2 After the Indemnifier signs the Deed of Indemnity, you should notify the Agency in writing immediately if for any reason your Indemnifier becomes incapable of fulfilling the obligations required under the Deed; or deceased; or if you are aware that a bankruptcy petition is filed by him/her or presented against him/her or a bankruptcy order is made against him/her; or your Indemnifier applies for an IVA; or if you are aware that a receiver, administrator, administrative receiver, trustee or similar officer has been appointed over any or all of your Indemnifier’s assets; or your Indemnifier is a party to any litigation, arbitration or administrative proceedings (whether inside or outside Hong Kong) or if there is any claim (whether inside or outside Hong Kong) against him/her or any of his/her assets after he/she signs the Deed.
