Having considered views received from the three topical consultations held in 2007 and 20081 and taking account of the recommendations and advice of the Standing Committee on Company Law Reform (SCCLR), the four dedicated Advisory Groups and the Joint Working Group between the Government and Hong Kong Institute of Certified Public Accountants, a draft CB was prepared for further public consultation in two phases in 2009 and 2010.

Accordingly, the Group’s investment in Hactl at 30th June 2008 has been classified as a current asset.

We will decide on this matter after we have completed our discussions with the staff side representatives on how to apply the PLS results to the civil service and when the outcome of the PTS to be conducted shortly is available.

The 5-Year Exemption Entitlement, which commenced on 1 January 2008, will end on 31 December 2012 irrespective of whether WIT is profit-making during this period and the 5-Year 50% Tax Reduction Entitlement will commence from 1 January 2013 to 31 December 2017 and tax payable will be charged at 12.5%.

In the next five years of 2004 to 2008, the Bank will be guided by our new strategic plan to achieve strong competitive growth in earnings per share and operating efficiency in terms of the cost:income ratio.

Subject to the aforementioned condition, for the options granted on 10 November 2008, no more than 50% of the options may be exercised between 10 April 2010 and 9 April 2011, both dates inclusive and that all options shall lapse on 11 November 2011 and for the options granted on 13 April 2010, no more than 50% of the options may be exercised between 13 April 2010 and 9 April 2011, both dates inclusive and that all options shall lapse on 11 November 2011.

Having reviewed the long-term leasing agreements for land and properties entered into by different Hong Kong listed companies with their related companies or third parties which cover the period commencing from 2008 up to and including the date of this announcement, the Independent Financial Adviser concurs with the Directors’ views that the term of the Lease Agreement, being more than three years, is beneficial to the Group and is in the interests of the Company and the Shareholders as a whole, and it is a normal practice for lease agreement of this kind to have a duration of more than three years.

No diluted loss per share has been calculated for the three months and six months ended 30 June 2009 and 2008 as the exercise of the share options would result in a decrease in the loss per share

The Group’s share of jointly controlled and associated companies’ taxation for the six months ended 30th June 2008 of HK$125 million (30th June 2007: HK$80 million; year ended 31st December 2007: HK$181 million) and HK$81 million (30th June 2007: HK$243 million; year ended 31st December 2007: HK$514 million) respectively is included in the share of profits less losses of jointly controlled and associated companies shown in the consolidated profit and loss account.

Except for the event disclosed in above, at 31 December 2008 and, 2009 and up to the date of approval of these financial statements, no share options have been granted under the SO Scheme.

The Committee adopts the principles of good governance as set out in the UK Corporate Governance Code and complies with the Listing Rules of the Financial Services Authority and the relevant schedules of the Companies Act 2006 and the Directors’ Remuneration Report Regulations in Schedule 8 to the Large and Medium-sized Companies and Groups (Accounts and Reports) Regulations 2008.

Mr Li joined the CMC Group in 1991 and has since been assigned to a number of subsidiary companies including the appointments of: Vice General Manager of Minmetals Finance Company Limited in 1994, and General Manager from 1997 to 2007; Vice General Manager of the Finance Branch of CMC from 2001 to 2002; Vice General Manager of Minmetals Investment & Development Company Limited in 2002, and General Manager from 2005 to March 2009; Assistant President of CMC in 2007 and promoted to Vice President in 2008; and Chairman of Shanxi Guanlv (a company listed on the Shenzhen Stock Exchange) from April 2009 to April 2010.

(xiv) Land use right lease agreement dated on 18 March 2008 with the commencement date and expiry date on 18 March 2008 and 18 March 2028, respectively, was entered at an annual rental of RMB740,500 for the land relating to the Weihai Industrial Park Area.

However, by excluding the effects of non-cash share award expenses (for the six months ended 30 June 2008: HK$8.6 million and for the six months ended 30 June 2007: HK$245.9 million) and the initial start-up operating losses of the MAGL and GME plants (for the six months ended 30 June 2008: HK$62 million and for the six months ended 30 June 2007: HK$7 million), the Group’s operating profit and profit for the period under review would have been HK$467 million and HK$398 million (HK$325 million and HK$302 million respectively in the first half year of 2007) while the relevant operating profit margin would have further expanded to 17.6% (16.3% for the first half year in 2007) and net profit margin would have been stagnated at 15.0% (15.2% for the first half year in 2007).

The loan is secured by charges over certain of the Group’s lease prepayments, buildings and investment properties (Notes 15, 16 and 17), personal guarantees given by an executive director of the Company and his spouse and a corporate guarantee given by the ultimate holding company of the Company (Note 33), and carries interest at a floating rate of 7.66% (2008: 7.74%) per annum.

If the conditions set out above are not fulfilled by a date falling ninety days after the date of the Agreement, being 11 February 2008, or such later date as the parties may agree, the Agreement will be null and void and of no further effect.

In 2008, some 4,123,900 persons aged 10 and over, or 66.7% of all persons in that age group, had used Internet service in the twelve months before the survey via various media including PCs, Wireless Application Protocol (WAP) phones and Personal Digital Assistants (PDA).

During the period, the Group remained focused on technology development and was able to achieve a blended average layer count of 8.1 with an average selling price of US$26.9 per square foot, compared with 7.6 layers at an average price of US$26.6 during the same period in 2008.

However, due to change in production schedule of and some adjustments to an individual project, production costs increase accordingly, to deal with this uncertainty, the Group makes some allowance during this year, thus the profit efficiency of this division is lower than that for the year 2008, even though overall it is still profitable.
