The purpose of this circular is to provide you with information in relation to (i) the proposed New General Mandate; (ii) the recommendation from the Independent Board Committee to the Independent Shareholders on the proposed New General Mandate; (iii) the recommendation from the Independent Financial Adviser to the Independent Board Committee and the Independent Shareholders on the proposed New General Mandate; and (iv) the notice of EGM at which relevant resolution will be proposed to the Independent Shareholders to consider, and if thought fit, to approve the proposed New General Mandate.

4.50 We may, at any time and without notice, apply any credit balance in any currency on any account of you and, where applicable, any account of the Authorized User, whether in the name of you or the Authorized User or in the names of you or the Authorized User and any other person, in or towards satisfaction of any indebtedness owed by you or the Authorized User to us under these Terms and Conditions in whatever capacity and whether actual or contingent or whether owed solely by you or the Authorized User or by you or the Authorized User and any other person.

Any matter relating to your shareholding, such as transfer of shares, change of name or address, and loss of share certificates should be addressed in writing to the Registrar as above.

Further, any information, data and explanations relating to any of the Structured Product provided by us to you shall not be construed as an investment advice or a recommendation for you to enter into the relevant transaction.

5.9 In the event that your Membership Octopus is not used to earn or redeem Reward$ for a specified period (currently, 1,000 days), we will, for your own and our protection, deem your Membership Octopus to be no longer in use, and we will have the right to deactivate your Membership Octopus.

The purpose of this circular is to provide you with (i) details regarding the Non-Exempt Connected Transactions; (ii) the advice from Anglo Chinese, the independent financial adviser to the Independent Board Committee and the Independent Shareholders and the recommendation of the Independent Board Committee in respect of the Non-Exempt Connected Transactions; and (iii) a notice to convene the EGM.

Whether or not you intend to be present and vote at the AGM, you are requested to complete the enclosed form of proxy in accordance with the instructions printed thereon and return it to the Company’s Hong Kong branch share registrar, Computershare Hong Kong Investor Services Limited, at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong as soon as possible and in any event not less than 48 hours before the time appointed for the holding of the AGM or any adjournment thereof.

I confirm that I agree: (i) to be bound by the Terms of Application, the AAVS Agreement and the Conditions of Issue of Octopus in the use of the AAVS and/or the Personalised Octopus; (ii) acknowledge and agree that upon the approval of the Automatic Add Value Service, my personal data provided in this application will be associated with my Octopus; (iii) agree that I have read, understood and agreed with the notice relating to the Personal Data (Privacy) Ordinance contained in clauses 33 to 40 of the AAVS Agreement; (iv) agreed and authorised Hang Seng to disclose the Octopus Cards Limited your personal data set out on the Application form and your data which Hang Seng may have from its other records, and agreed that this authorization shall survive, and continue after, the cancellation of the AAVS or cancellation of the designated Octopus or Personalised Octopus.

If you have sold or transferred all your shares in USI Holdings Limited, you should at once hand this circular and the enclosed proxy form to the purchaser or transferee, or to the bank, stockbroker or other agent through whom the sale or transfer was effected for transmission to the purchaser or the transferee.

Following this period of time we shall not be obliged to offer any refund or other goods if you subsequently claim that the goods delivered are not the goods you paid for or not in a good condition, subject always to your statutory rights as a consumer including any mandatory laws which do not permit the limitation of liability in case of wilful misconduct or gross negligence.

The purpose of this circular is to, inter alia, provide you with information regarding the proposals for the grant of the Repurchase Mandate and the Share Issue Mandate, the declaration of the Dividend and closure of register of members, the re-election of retiring Directors and the proposed amendments to the Articles, and to seek your approval in connection with such matters at the AGM.

5.3 If you fail to comply with any of your obligations and/or to meet your liabilities under any of the provisions of this Client Agreement including this Schedule, including without limitation failure to provide Margin, we may at our absolute discretion and without prior notice to you or your consent; (a) decline to acceptfurther Instructions in respect of Exchange Traded Options Business; (b) Close Out some or all of your Client Contracts with us; (c) enter into Contracts or transactions in Securities, Futures or Commodities, in order to settle obligations arising out to or to hedge the risks to which we are exposed in relation to your failure; and/or (d) dispose of the Margin or any part thereof, and apply the proceeds thereof to discharge your liabilities to us, and any proceeds remaining after discharge of all your liabilities to us shall be returned to you.

The purpose of this circular is to provide you with information with respect to the ordinary resolutions to be proposed at the Annual General Meeting relating to (a) the grant of general mandates to issue, allot and deal with Shares and to repurchase Shares; and (b) the re-election of Directors.

If the liquidity provider has provided active quotes that comply with the spread requirement for active quotes as prescribed in the Industry Principle, it should not be necessary to make a separate quote request for such products as the bid and ask spreads for active quotes are tighter than the maximum spreads prescribed for quote request.
