16 Except as otherwise expressly provided by these Articles or as required by law or as ordered by a court of competent jurisdiction, no person shall be recognised by the Company as holding any share upon any trust and the Company shall not be bound by or be compelled in any way to recognise (even when having notice thereof) any equitable, contingent, future or partial interest in any shares or any interest in any fractional part of a share or any other rights in respect of any share except an absolute right to the entirety thereof in the registered holder.

Overseas tax, including the Foreign Enterprises Income Tax in the People’s Republic of China, is calculated at 5% to 20% of the gross revenue earned in certain of the overseas jurisdictions.

This approach has been adopted in a number of overseas jurisdictions such as Australia, European Union, Japan, New Zealand, Singapore and the USA.

None of the persons listed in Part I of this application form (including their spouses) have obtained any loan or mortgage subsidy under the Home Purchase Loan Scheme (HPLS)/Home Assistance Loan Scheme (HALS), or have purchased any domestic flat under the HOS, the PSPS, the Middle Income Housing Project at Melody Garden, the Mortgage Subsidy Scheme, the SMS, the TPS, the Buy or Rent Option or any subsidized housing scheme administered by the HS.

The Board committees are provided with sufficient resources to discharge their duties and, upon reasonable request, are able to seek independent professional advice in appropriate circumstances, at the Company’s expenses.

14.1 These terms and conditions are governed by the laws of the Hong Kong Special Administrative Region and the parties hereby submit to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region, subject always to any mandatory provisions of local law in the country where a Customer is located that stipulate that the relevant local law should apply and/or that the local courts should have jurisdiction.

Pursuant to the terms and conditions of the Support Agreement, if, within the earlier of the Expiry Time or 120 days after the date of the Offer (or such longer time as a court having jurisdiction may permit), the Offer has been accepted by holders of not less than 90% of the outstanding Common Shares as at the Expiry Time, excluding Common Shares held by or on behalf of the Offeror, or an “affiliate” or an “associate” (as those terms are defined in the NWTBCA) of the Offeror, the Offeror shall, to the extent practicable, acquire (a “Compulsory Acquisition”) the remainder of the Common Shares from those Anvil Shareholders who have not accepted the Offer, pursuant to section 197(2) of the NWTBCA.

3.4.6 Board members, in particular, either the chairmen or vice chairmen of Board committees or their delegates, appropriate management executives and external auditors will attend annual general meetings to answer Shareholders’ questions.

e) The profit or loss in transactions in foreign currency-denominated contracts (whether they are traded in your own or another jurisdiction) will be affected by fluctuations in currency exchange rates where there is a need to convert from the currency denomination of the contract to another currency.

In addition, regulation of greenhouse gas emissions in the jurisdictions of the Group’s major customers and in relation to international shipping could also have a material adverse effect on the demand for some of the Group’s products.

Any legal proceeding arising from (or in any way connected with) the Website or these Terms and Conditions must be brought exclusively in a court of competent jurisdiction in Orange County, California, U.S.A.
