At the invitation of the Chairman, the Deputy Commissioner for Innovation and Technology (DCIT) briefed members on the background of setting up the Digital Entertainment Incubation-cum-Training (Incu-Train) Centre, the latest position of the incubation programme, training activities, international networking efforts, as well as the achievements of the Incu-Centre, including international and local industry awards and honours won by current incubates and alumni, as set out in the Administration's paper No. CB(1)201/08-09(06).

The concerted efforts of traders should help to uphold the reputation of Hong Kong products.

(7) To acquire, by purchase or otherwise or undertake, or otherwise to participate in, deal in and turn to account the whole or any part of the business, goodwill, assets, property and liabilities of any person, firm or company carrying on or proposing to carry on any business which the Company is authorised to carry on or possessed of property suitable for the purposes of the Company.

(b) the Manager may determine the minimum credit rating that a Base Securities Issuer shall have, taking into account factors such as the prevailing market conditions, the credit ratings of other entities with comparable financial standing and the credit ratings of the holding company (if any) of the relevant Base Securities Issue, provided that, as a general requirement, a Base Securities Issuer must have a minimum credit rating of investment grade.

Management believes that any reasonably foreseeable change in any of the above key assumptions would not cause the carrying amount of goodwill to exceed the recoverable amount and therefore no sensitivity analysis was required.

Goodwill and fair value adjustments arising on the acquisition of a foreign entity are treated as assets and liabilities of the foreign entity and are translated at the closing rate.

(31) To acquire and undertake the whole or any part of the business, goodwill, and assets of any person, firm or company carrying on or proposing to carry on any of the business which this Company is authorised to carry on, and as part of the consideration for such acquisition to undertake all or any of the liabilities of such person, firm or company, or to acquire an interest in, amalgamate with, or enter into partnership or into any arrangement for sharing profits, or for co-operation, or for limiting competition, or for mutual assistance with any such person, firm or company, and to give or accept, by way of consideration for any of the acts or things aforesaid or property acquired, any shares, debentures or securities that may be agreed upon, and to hold and retain, or sell, mortgage, and deal with any shares, debentures, or securities so received.

(a) A complaint or information involves a suitability issue (“Complaint”) if the complaint or information concerns the question of whether the name of a registered dentist should be included in, or removed from, the Specialist Register, on any grounds including, but not limited to, the dentist’s qualification or experience, the dentist’s failure to comply with the continuing education requirement or the dentist’s act which would be reasonably regarded by registered dentists of good repute and competency as affecting the question of whether the name of that dentist should be included in, or removed from, the Specialist Register.

The goodwill is primarily related to the Viterra grain marketing and merchandising business and is substantively attributable to synergies which are expected to arise in conjunction with the grain marketing division’s increased geographic coverage and scale of activities.

Formal impairment tests are carried out, at least annually, for cash generating units containing goodwill and for all other non current assets when events or changes in circumstances indicate the carrying value may not be recoverable.

Impairment testing of an investment in a subsidiary is required upon receiving a dividends if the dividend exceeds the total comprehensive income of the subsidiary in the period the dividend is declared or if the carrying amount of the subsidiary in the Company’s balance sheet exceeds the carrying amount in the consolidated financial statements of the investee’s net assets including goodwill.

(a) the credit rating of a Base Securities Issuer as originally set out in the Prospectus, that is, a Base Security Issuer must have a credit rating in respect of senior debt of at least A- by Standard & Poor’s or equivalent rating given by Moody’s or by Fitch, shall cease to apply; and

The Group allocates goodwill to each entity with independent operations (Note 2.8).

Leveraging on the Group’s prolonged presence in paper trading industry with good reputation, its prevailing extensive client exposure and substantial selling and marketing experiences, together with the strong background and abundant experiences of the Korean professional team, the Directors believe that the Acquisition enables the Group to broaden its revenue base and profitability and secure the stable supply of containerboard products.

For goodwill generated from business consolidation and intangible assets with indefinite useful lives, tests for impairment is performed at least annually regardless of whether there are indications of impairment.

The bank balances and pledged deposits are deposited with creditworthy banks with no recent history of default.

In the Company’s balance sheet, impairment testing of the investments in subsidiaries or associates or jointly controlled entities is required upon receiving dividends from these investments if the dividend exceeds the total comprehensive income of the subsidiary, associate or jointly controlled entity in the period the dividend is declared or if the carrying amount of the investment in the separate financial statements exceeds the carrying amount in the consolidated financial statements of the investee’s net assets including goodwill.

As of December 31, 2011 and March 31, 2012, due to the change of the functional currency, the effect of subsidiaries were as follows: the goodwill was decreased by $138 thousand and increased by $508 thousand, respectively; other payables increased by $6 thousand and $2 thousand, respectively; the effects of changes in foreign exchange rates increased by $16,619 thousand and $20,133 thousand, respectively; for the first quarter of 2012, the adjustment of amortization was decreased by $963 thousand; interest income was decreased by 2 thousand and currency exchange losses was increased by $4,397 thousand with subsidiaries as mentioned above.

Gains and losses on the disposal of an entity include the carrying amount of goodwill relating to the entity sold.

changes in general economic conditions in the markets in which we operate, such as continuing or deepening recessions and fluctuations in employment beyond those factored into consensus forecasts; changes in foreign exchange rates and interest rates; volatility in equity markets; lack of liquidity in wholesale funding markets; illiquidity and downward price pressure in national real estate markets; adverse changes in central banks’ policies with respect to the provision of liquidity support to financial markets; heightened market concerns over sovereign creditworthiness in over-indebted countries; adverse changes in the funding status of public or private defined benefit pensions; and consumer perception as to the continuing availability of credit and price competition in the market segments we serve

Impairment losses recognised in respect of cash-generating units are allocated first to reduce the carrying amount of any goodwill allocated to the cash-generating unit (or group of units) and then, to reduce the carrying amount of the other assets in the unit (or group of units) on a pro rata basis, except that the carrying value of an asset will not be reduced below its individual fair value less costs to sell, or value in use, if determinable.

Goodwill previously eliminated against reserves, totalling HK$3,274 million as at 1st January 2005, is not reinstated on the balance sheet or included in the calculation of the profit or loss on disposal of subsidiary, jointly controlled and associated company.

Acquisitions of minority interests are accounted for using the parent entity extension method whereby the difference between the consideration and the book value of the share of the net assets acquired is recognised as goodwill.

During the ceremony where many friends were present at the residence of France on the 5th of June 2009, the former Consul General Mr. Jean Pierre Thébault conferred to Ms. Elisabeth Cassegrain the honor of Knight of l’Ordre National du Merite.
