(F) Subject to the Companies Act and to the next paragraph of this Bye-law, no Director or proposed or intended Director shall be disqualified by his office from contracting with the Company, either with regard to his tenure of any office or place of profit or as vendor, purchaser or in any other manner whatever, nor shall any such contract or any other contract or arrangement in which any Director is in any way interested by liable to be avoided, nor shall any Director so contracting or being so interested be liable to account to the Company or the shareholders for any remuneration, profit or other benefits realised by any such contract or arrangement, by reason only of such Director holding that office or the fiduciary relationship thereby established.

The provision would provide for specialized expertise not available in the Organization, outside the scope of the systems integration contract, in the area of change management, in technical areas, including mobile technology, report design and implementation, data warehousing and business intelligence, and in functional areas, including travel, central services, field operations and logistics, payroll, budgeting and planning,as well as management consultants to cross-check the project management services provided by the main contractor/systems integrator.

It also conducts annual performance appraisals in respect of each senior management personnel of the Company and determines the remuneration of such senior management personnel based on the results of such appraisals.

(E) Where arrangements are under consideration concerning the appointment (including the arrangement or variation of the terms thereof, or the termination thereof) of two or more Directors to offices or places of profit with the Company or any other company in which the Company is interested, a separate resolution may be put in relation to each Director and in such case each of the Directors concerned shall be entitled to vote (and be counted in the quorum) in respect of each resolution except that concerning his own appointment (or the arrangement or variation of the terms thereof, or the termination thereof) and except (in the case of an office or place of profit with any such other company as aforesaid) where the other company is a company in which the Director together with any of his associates owns five (5) per cent or more of the issued shares of any class of the equity share capital of such company or of the voting rights of any class of shares of such company.

(ii) Any Director may continue to be or become a director, managing director, joint managing director, deputy managing director, executive director, manager or other officer or member of any other company in which the Company may be interested and (unless otherwise agreed between the Company and the Director) no such Director shall be liable to account to the Company or the members for any remuneration or other benefits received by him as a director, managing director, joint managing director, deputy managing director, executive director, manager or other officer or member of any such other company.

(b) Where proposals are under consideration concerning the appointment, or the settlement or variation of the terms or the termination of the appointment, of two or more directors to offices or places of profit with the Company or any other company in which the Company is interested, a separate resolution may be put in relation to each director and in that case each of the directors concerned shall be entitled to vote and be counted in the quorum in respect of each resolution unless it concerns his own appointment or the settlement or variation of the terms or the termination of his own appointment or the appointment of another director to an office or place of profit with a company in which the Company is interested and the director seeking to vote or be counted in the quorum has a Relevant Interest in it.

(e) The net estimated staff assessment income of 30,474,500 dollars, comprising the amount of 29,685,000 dollars for the financial period from 1 July 2011 to 30 June 2012 and the increase of 789,500 dollars in respect of the financial period ended 30 June 2010, to be set off against the balance referred to in subparagraph (d) above, to be prorated among the budgets of the individual active peacekeeping operations.

As regards calculation of time actually worked, for purposes of application of those coefficients no account is taken of absence from work other than absences on medical grounds in respect of ordinary or occupational disease, accident - work- or non-workrelated - suspension of the employment contract for maternity, adoption, care or risk during pregnancy; and absences authorized as qualifying for payment under the relevant labour legislation.
