At the first meeting of the Fourth Session of the Board of Directors held on 30 March 2007, Mr. Yin Yimin was reappointed President of the Company, Mr. ShiLirong,Mr. He Shiyou, Mr. Wei Zaisheng (concurrently re-appointed as Chief Financial Officer of the Company), Mr. Xie Daxiong, Ms. Zhou Susu and Mr. Tian Wenguo were re-appointed Senior Vice Presidents of the Company, Mr. Qiu Weizhao was appointed Senior Vice President of the Company, Ms. Chen Jie, Ms. Fang Rong, Mr. Zhao Xianming, Mr. Ding Mingfeng, Mr. Pang Shengqing, Mr. Fan Qingfeng, Mr. Zeng Xuezhong, Mr. Xu Huijun, Mr. Yu Yong, Mr. Ye Weimin, Mr. Zhong Hong and Mr. Ni Qin were re-appointed Vice Presidents of the Company, Mr. Wu Zengqi was appointed Vice President of the Company and Mr. Feng Jianxiong was re-appointed Secretary to the Board of Directors of the Company.

As at the date of this notice, the Board comprises Mr. Yang Rongming, Mr. Feng Zansheng and Mr. Chen Zhinong as Executive Directors and Mr. Wu Zhang, Mr. Wong Hin Wing and Mr. Zhang Heyong as Independent Nonexecutive Directors.

Mr. Leung graduated from The University of Hong Kong with an Honours Bachelor’s degree in Laws and a Post Graduate Certificate in Laws and was qualified as a solicitor in New South Wales, Australia, the United Kingdom and Hong Kong.

Ng Yi Kum, Estella, has been formed to advise the Independent Shareholders as to (i) whether the terms of the Agreements and the transactions contemplated thereunder are fair and reasonable so far as the Independent Shareholders are concerned; and (ii) whether the Acquisitions and the transactions contemplated thereunder are on normal commercial terms and in the interests of the Company and the Shareholders as a whole.

In our research domain, "social indicators" comprises 12 main indicators, namely, "democracy", "freedom, "prosperity", "stability", "fairness", "civilization", "corruption-free", "equality", "efficiency", "social welfare", "public order" and "rule of law", and 2 sets of "freedom sub-indicators" and "rule of law sub-indicators".

The Directors (including the independent non-executive Directors whose views has been given in the letter from the Independent Board Committee as set out on page 26 of this circular after taking into account the advice from the independent financial adviser, and each of Mr. Ieong, Mr. Ip Ka Lun, Mr. Ip Chin Wing, Mr. Stephen Graham Prince who had abstained from voting at the Board meeting to approve the SP Agreement and the transactions contemplated thereunder) consider that the Acquisition will provide a good opportunity for the Group to expand its business horizon to other type of adhesive products apart from adhesive products used for footwear industry.

As (a) Cheng Wai Chee, Christopher is a director of Wing Tai and, as at the date of this announcement, is interested in 27,000 shares in Winsor through his wife Cheng Chan Sau Ching, Ivy and (b) Cheng Wai Keung and Cheng Wai Wing, Edmund are brothers of Cheng Wai Chee, Christopher, the acquisition of shares in WPFSL by Winsor HK, the repayment of outstanding shareholders’ loans that are owed to Parex International Limited by WPFSL and the declaration and payment of dividends by Chericourt and WPFSL in connection with the Winsor Connected Transaction will constitute special deals in relation to the Offers under Rule 25 of the Takeovers Code.

Each of Mr. Wong and Madam Hon is deemed to be interested in the same number of shares in which Advance Success was interested under the SFO.

Also in the same month, AsiaSat’s Chief Executive Officer Peter Jackson was inducted into the Society of Satellite Professionals International’s Hall of Fame, in recognition of his three decades of work and executive leadership in the telecommunications and satellite industry, half of which has been spent at AsiaSat.

In 1998 he rejoined SGS as Head of Operations and Business Development, Trade Assurance Division before elevation to Executive Vice President, Automobile Services in 2003 and more recently to his current position as COO Africa and EVP, Government and Institutions Services.

Ms. Fung holds an Executive MBA and a Bachelor of Arts in Business Administration from the University of Western Ontario and a Bachelor of Laws (Honours) from the University of London.

He also holds an honorary doctorate from the University of Colorado.
