I understand that by virtue of Section 26(1)(c) of the Housing Ordinance (Cap. 283), any person who knowingly makes any false statement to HA in furnishing the particulars shall be guilty of an offence and shall be liable on conviction to a fine at Level 5 as specified in Schedule 8 to the Criminal Procedure Ordinance (Cap. 221) and to imprisonment for 6 months (as at the date this Application Form is revised, the maximum fine at Level 5 is HK$50,000).

(D) Subject, where applicable, to the rules of any relevant stock exchange, the Company, a subsidiary of the Company or holding company or a subsidiary of the Company’s holding company may make loans to persons (including, notwithstanding Section 96 of the Companies Act, any such bona fide employee or former employee who is or was also a director) employed in good faith by the Company with a view to enabling those persons to acquire fully or partly paid shares in the Company or its holding company to be held by them by way of beneficial ownership.

(B) Unless the Board otherwise agrees (which agreement may be on such terms and subject to such conditions as the Board in its absolute discretion may from time to time stipulate, and which agreement it shall, without giving any reason therefor, be entitled in its absolute discretion to give or withhold) no shares upon the Principal Register shall be transferred to any branch register nor shall shares on any branch register be transferred to the Principal Register or any other branch register and all transfers and other documents of title shall be lodged for registration, and registered, in the case of any shares on a branch register, at the relevant Registration Office, and, in the caseof any shares on the Principal Register, at the Transfer Office.

9.6.3 If necessary (such as when public interests are involved or in order to fulfill the objective of providing support to the community and the industries), the project applicant may be requested to grant unconditionally to the Government and parties acting on behalf of the Government a nonexclusive, perpetual, irrevocable, royalty-free worldwide licence to exploit or dispose of the relevant intellectual property rights or, when the project applicant does not have the ownership, to procure the grant of the requisite licence.

Where the Term is extended pursuant to this clause 7(2), this Agreement shall continue in full force and effect on and subject to the same terms and conditions throughout the Term as extended (subject to any further changes as all parties may agree in writing).

6.5.1 If you and/or your Indemnifier has/have any arrears of grant and/or loan and/or student travel subsidy under any financial assistance/loan scheme administered by the Agency, the Agency reserves the right to withhold the payment of financial assistance/loan to you.

9.2.2 In case the project applicant intends to procure goods or services from one supplier or service provider, it shall seek prior approval from the Secretariat. In this regard, it should submit for the Secretariat’s consideration details, including but not limited to its relationship with the supplier or service provider concerned and justifications for not following the open procurement process set out in paragraph 9.2.1 above.

(b) Where the Company has knowledge that any member is, under any applicable laws and the Listing Rules from time to time, required to abstain from voting on any particular resolution or restricted to voting only for or only against any particular resolution, any votes cast by or on behalf of such member in contravention of such requirement or restriction shall not be counted.

(B) Subject to the provisions of the Companies Ordinance, if the Board considers it necessary or appropriate, the Company may establish and maintain a branch register of members at such location outside Hong Kong as the Board thinks fit.

(C) The accidental omission to send out an instrument of proxy, whenever necessary, to any member or the non-receipt of such instrument by any member, shall not invalidate any resolution passed or proceedings at the meeting to which the instrument of proxy relates.
