Any general meeting declaring a dividend may by ordinary resolution, upon the recommendation of the Board, direct payment or satisfaction of such dividend wholly or in part by the distribution of specific assets, and in particular of paid up shares or debentures of any other company, and the Board shall give effect to such direction, and where any difficulty arises in regard to such distribution the Board may settle it as it thinks expedient, and in particular may issue fractional certificates or authorize any person to sell and transfer any fractions or may ignore fractions altogether, and may fix the value for distribution purposes of any such specific assets and may determine that cash payments shall be made to any Members upon the footing of the value so fixed in order to secure equality of distribution and may vest any such specific assets in trustees as may seem expedient to the Board.

For the purpose of this paragraph there shall be disregarded any shares held by a Director or any of his associate(s) as bare or custodian trustee and in which he or such associate(s) has/have no beneficial interest, any shares comprised in a trust in which the interest of the Director or any of his associates is in reversion or remainder if and so long as some other person is entitled to receive the income thereof, any shares comprised in an authorised unit trust scheme in which the Director or any of his associates is interested only as a unit holder, and shares which carry no voting right at general meetings and no or nugatory dividend and return of capital rights.

(b) The Board may do all acts and things considered necessary or expedient to give effect to any capitalisation pursuant to the provisions of paragraph (1) of this Article, with full power to the Board to make such provisions as it thinks fit in the case of shares becoming distributable in fractions (including provisions whereby, in whole or in part, fractional entitlements are aggregated and sold and the net proceeds distributed to those entitled, or are disregarded or rounded up or down or whereby the benefit of fractional entitlements accrues to the Company rather than to the Members concerned).

(6) any contract or arrangement concerning any company in which the Director or his associate(s) is/are interested only, directly or indirectly as an officer and/or an employee and/or a shareholder, other than a company in which the Director and any of his associate(s), are not in aggregate beneficially interested in five (5) per cent. or more of the issued shares or voting rights of any class of shares of such company (or of any third company through which his interest is derived) other than shares which carry no voting rights at general meetings and with no or nugatory dividend and return of capital rights, and excluding shares held directly or indirectly through the Company

They cover controls of hand held percussion breakers; increases in penalties and improvements in the procedure for abatement notices to air pollution offences; controls on the use of asbestos; controls on the use and maintenance of waste treatment plants, provision to direct property owners to discharge wastes into public sewers; for a system of charging for treating of industrial effluent to specified quality and regulations to control the disposal of chemical waste and charge for it.

Glass of suitable type, thickness and size should be selected to provide an appropriate degree of safety, taking into account the intended use and the possibility of catastrophic consequences in the event of breakage.

Ordinary resolutions will also be proposed at the Annual General Meeting in respect of the granting of the Issue Mandate to the Directors, in the terms set out in the notice of the Annual General Meeting, to allot, issue and deal with Shares not exceeding 20% of the aggregate nominal amount of the share capital of the Company in issue as at the date of passing the relevant resolution, and adding to the Issue Mandate so granted to the Directors any Shares representing the aggregate nominal amount of the Shares repurchased by the Company after the granting of the Repurchase Mandate, at any time during the period ended on the earliest of (a) the [...]

Save as disclosed above, as at the Latest Practical Date, the Directors are not aware of any other person who had an interest or short position in the Shares or underlying Shares of the Company which would fall to be disclosed to the Company under the provisions of Divisions 2 and 3 of Part XV of the SFO, or who was, directly or indirectly, interested in 10% or more of the nominal value of any class of share capital, or options in respect of such capital, carrying rights to vote in all circumstances at general meetings of any other member of the Group.

However, some of those proposals have been superseded as a result of subsequent events and the emergence of new requirements, in particular the establishment of a central business continuity management unit to address business continuity issues on a broader, Organization-wide basis, taking into account pandemic planning and other non-information and communications technology aspects (see A/64/472 and document A/64/7/Add.8 in the present supplement), as well as the requirement for a new secondary data centre in the context of the relocations due to the capital master plan (see A/64/346/Add.1).
