(f) the Board may resolve that the shares to be allotted shall be allotted at a premium provided that the premium is credited as fully paid up and in such case the Board shall in addition to the amount to be capitalised and applied pursuant to sub-paragraph (e) above, and for the purpose therein set out, capitalise and apply out of the amount standing to the credit of the share premium account or out of any part of the undivided profits of the Company (including profits carried and standing to the credit of any reserve or reserves or other special account) as the Board may determine, a sum equal to the aggregate amount of the premium on the shares to be allotted and shall apply the same together with thesum tobe applied pursuant to sub-paragraph (e) above and on the basis therein set out in paying up in full the appropriate number of unissued shares for allotment and distribution to and amongst the holders of the Elected Shares.

The Company may sell, in such manner as the Board thinks fit, any shares on which the Company has a lien, but no sale shall be made unless some sum inrespect of which the lien exists is presently payable or the liability or engagement in respect of which such lien exists is liable to be presently fulfilled or discharged, nor until the [...][...]

(d) the dividend (or that part of the dividend in respect of which a right of election has been accorded) shall not be payable on shares in respect whereof the share election has been duly exercised ("the elected shares") and in lieu and in satisfaction thereof shares shall be allotted credited as fully paid to the members who have duly exercised the said share election on the basis of allotment determined as aforesaid and for such purpose the Directors shall capitalise and apply out of any part of the profits of the Company available for distribution or any part of any of the Company's reserve accounts (including any special account, share premium account and capital redemption reserve fund) as the Directors may determine, a sum equal to the aggregate nominal amount of the shares to be allotted on such basis and apply the same in paying up in full the appropriate number of shares for allotment and distribution to and amongst the allottees of the elected shares on such basis.

30 The Company shall have a first and paramount lien onevery share (not being a fully paid up share) for all moneys, whether presently payable or not, called or payable at a fixed time in respect of such share; and the Company shall also have a first and paramount lien and charge on all shares (other than fully paid up shares) standing registered in the name of a member (whether solely or jointly with others) for all the debts and liabilities of such member or his estate to the Company and whether the same shall have been incurred before or after notice to the Company of any equitable or other interest of any person other than such member, and whether the period for the paymentor discharge [...][...]

(F) The Company shall allot and issue the Conversion Shares or, as the case may be, send the amount to which he is entitled pursuant to paragraph 5(C) in this Bye-law 6(C) above to the Converting Shareholder and shall procure that certificates in respect of the Conversion Shares, together with a new certificate for any unconverted Convertible Preference Shares comprised in the Certificate(s) surrendered by the Converting Shareholder, are issued as soon as practicable and in any event not later than 7 days after the relevant Conversion Date.

When a counterparty has a choice of when the amount is paid, the liability is allocated to the earliest period in which the Sub-Fund can be required to pay.

ln the interpretation of this Memorandum of Association in general and of thisClause 3 in particular no object, business or power specified or mentioned shall be limited or restricted by reference to or inference from any other object, business or power, or the name of the Company, or by the juxtaposition of two or more objects, businesses or powers and that, in the event of any ambiguity in this Clause or elsewhere in this Memorandum of Association, the same shall be resolved by such interpretation and construction as will widen and enlarge and not restrict the objects, businesses and powers of and exercisable by the Company.

After some further discussion, the Commission agreed to proceed to a roll call vote on the proposal to amend Rule V.2, as submitted by the Committee on General Principles, and the consequential amendments to Rule X, with the following results.

The net decrease reflects reductions under most objects of expenditure, including $242,800 under consultants, mainly as a consequence of the increased use of in-house expertise, where possible; $104,700 under experts, resulting mainly from concerted efforts to combine meetings or reduce the number of experts and the duration of meetings, whenever possible; $121,200 under travel of staff, mainly attributable to increased utilization of video conferencing, combining trips and/or reducing the duration of travel as much as possible; $460,800 under contractual services, primarily owing to increased utilization of electronic means of disseminating publications; $111,000 under furniture and equipment, reflecting reduced requirements for the replacement of furniture and office equipment resulting from extending the lifespan of furniture and equipment; and $781,600 under grantsandcontributions,mainly owing to the termination of the contract with the International Computing Centre.

Some NGOs called for a shift of focus in the direction of living cultures and considered that this should be reflected in an increase in the percentage of the resources allocated.

At its sixty-second session, the General Assembly requested the Secretary-General to update the compilation of decisions of international courts, tribunals and other bodies referring to the articles, and to invite Governments to submit information on their practice in that regard; also requested the Secretary-General to submit that material well in advance of its sixty-fifth session; and decided to further examine, within the framework of a working group of the Sixth Committee, the question of a convention on responsibility of States for internationally wrongful acts or other appropriate action on the basis of the articles (resolution 62/61).

The main points of discussion during the review of the Convention were the following: the form of the instrument which would incorporate the new provisions; the definition of the notion of “military necessity” with regard to cultural property under general as well as special protection; improvements in the regime of special protection; sanctions for grave breaches and other violations against cultural property and other related issues such as individual criminal responsibility, responsibility of States and mutual assistance in criminal matters; improvement in the protection of cultural property in conflicts not of an international character; and establishment of a supervisory body which would monitor the implementation of the Convention and the new agreement.

Turning to the Advisory Committee’s report on a strengthened and unified security management system for the United Nations (A/64/7/Add.15), which concerned the revised estimates under various sections of the proposed programme budget for 2010-2011 as well as the budget for the International Criminal Tribunal for Rwanda, she said that the Advisory Committee noted that phase I of the standardized access control project (PACT I) had been fully implemented at all locations except the Economic Commission for Africa (ECA), the Economic and Social Commission for Western Asia (ESCWA) and the International Tribunal for the Former Yugoslavia; in the Tribunal’s case, the project would be discontinued in view of the Tribunal’s impending closure.

43 At the trial or hearing of any action or other proceedings for the recovery of any money due for any call, it shall be sufficient to prove that the name of the member sued is entered in the register as the holder, or one of the holders, of the shares in respect of which such debtaccrued;that the resolution making the call is duly recorded in the minute book; and that notice of such call was duly given to the member sued, in pursuance of these Articles; and it shall not be necessary to prove the appointment of the Directors who made such call, nor any other matters whatsoever, and the proof of the matters aforesaid shall be conclusive evidence of the debt.

(c) The Company may upon the recommendation of the Board by ordinary resolution resolve in respect of any one particular dividend of the Company that notwithstanding the provisions of paragraph (a) of this Article a dividend may be satisfied wholly in the form of an allotment of shares credited as fully paid up without offering any right to shareholders to elect to receive such dividend in cash in lieu of such allotment.
