Other liabilities increased by HK$4,402 million, or 29.9 per cent, to HK$19,147 million, compared with HK$14,745 million at 31 December 2002, reflecting the increase in long-term liabilities attributable to policy holders, the subscription money received on launch of retail investment funds and dividend payable included under the ‘Other’ item.

(a) The SARG is entrusted under BL 113 with the power and function to manage and control the Exchange Fund, established by section 3 of the EFO, "primarily for regulating the exchange value of the Hong Kong dollar".

Attributable profit grew by 19.5 per cent to a record HK$11,395 million, underpinned by a robust increase in other operating income of 22.4 per cent, and the release of provisions for bad and doubtful debts.

The reduction will help improve local air quality given that emissions from the power sector accounts for 50%, 25% and 16% respectively of the territory-wide emissions of these pollutants in 2010.

We have audited the consolidated financial statements of Asia Satellite Telecommunications Holdings Limited (the “Company”) and its subsidiaries (together, the “Group”) set out on pages 54 to 126, which comprise the consolidated and company balance sheets as at 31 December 2009, and the consolidated statement of comprehensive income, the consolidated statement of changes in equity and the consolidated statement of cash flows for the year then ended, and a summary of significant accounting policies and other explanatory notes.

Following a resolution on the profit distribution plan by the General Meeting, the Board of Directors should complete the distribution of dividend (or shares) within two months after the General Meeting; if the Board of Directors has not drawn up a cash profit distribution proposal, the reasons for not making the profit distribution and the use of funds not applied to profit distribution and retained at the Company should be disclosed in regular reports, and the Independent Non-executive Directors should furnish an independent opinion thereon.

Goodwill previously eliminated against reserves, totalling HK$3,274 million as at 1st January 2005, is not reinstated on the balance sheet or included in the calculation of the profit or loss on disposal of subsidiary, jointly controlled and associated company.

As at 31 December 2012, $ 449 million of the estimated initial investment has been incurred and $ 38 million has been contractually committed and is included in the capital expenditure commitments disclosure above.

(E) Where arrangements are under consideration concerning the appointment (including the arrangement or variation of the terms thereof, or the termination thereof) of two or more Directors to offices or places of profit with the Company or any other company in which the Company is interested, a separate resolution may be put in relation to each Director and in such case each of the Directors concerned shall be entitled to vote (and be counted in the quorum) in respect of each resolution except that concerning his own appointment (or the arrangement or variation of the terms thereof, or the termination thereof) and except (in the case of an office or place of profit with any such other company as aforesaid) where the other company is a company in which the Director together with any of his associates owns five (5) per cent or more of the issued shares of any class of the equity share capital of such company or of the voting rights of any class of shares of such company.

(J) Where a company in which a Director together with any of his associate(s) holds five (5) per cent or more of any class of the equity share capital of such company or of the voting rights of any class of shares available to shareholders of the company is materially interested in a transaction, then that Director shall also be deemed materially interested in such transaction.

Slovakia considered this set of recommendations very complex and requiring huge financial resources, effort and cooperation of all involved, and noted that solutions were not imminent but would materialize in the future.
