The difference between original cost and net book value will be deducted from Total Operating Costs.

The Directors believe that an ability to repurchase the Shares subject to the Repurchase Mandate would give the Company additional flexibility that would be beneficial to the Company and the Shareholders as a whole as such repurchases may, depending on market conditions and funding arrangements at the time, lead to an enhancement of the net asset value of the Company and/or its earnings per Share.

As a result, if the Group’s estimations of the useful lives of its satellites are not accurate or are required to be changed in the future, the Group’s net income in future periods would be affected.

The maximum exposure to credit risk, without considering netting agreements or without taking account of any collateral held or other credit enhancements, is equal to the carrying amount of Glencore’s financial assets plus the guarantees to third parties and Associates (see note 29).

The decrease in gearing ratio is mainly due to net proceeds of the disposals of investment properties, other properties, plant and equipment and jointly controlled entities.

Since the directors of BEHL consider the terms of the Transaction are on normal commercial terms and the consideration for the shares in PTG or the book value of the net tangible assets of the Cyber Vantage Group does not exceed 3% of the book value of the net tangible assets of the BEHL Group as disclosed in its latest published audited consolidated accounts, BEHL will disclose further details of the Transaction in its next annual report in accordance with Rule 14.25(1) of the Listing Rules.

The net fair value gain or loss recognised in the income statement does not include any dividends on these financial assets, which are recognised in accordance with the policies set and for “Revenue recognition” below.

The replacement cost of contracts represents the mark-to-market assets on all contracts (including non-trading contracts) with a positive value and which have not been subject to any bilateral netting arrangement.

(c) In case any of the shares to be divided as aforesaid consist of shares which involve a liability to calls or otherwise, any person entitled under such division to any of the said shares may, within ten days after the passing of the special resolution by notice in writing, direct the Liquidator to sell his proportion and pay him the net proceeds, and the liquidator shall, if practicable, act accordingly.

(d) The redeemable units do not include any contractual obligation to deliver cash or another financial asset other than the holder's rights to a pro-rata share of the Sub-Fund's net assets.

Examples of major projects contributing to the increase in the revised estimate for PWP in 2009-10 include Harbour Area Treatment Scheme, stage 2A (construction of the sewage conveyance system and advance works for upgrading of Stonecutters Island sewage treatment works); Hong Kong West drainage tunnel; Lai Chi Kok drainage tunnel; Central Reclamation phase 3; replacement and rehabilitation of water mains, stage 2; and Ngau Tam Mei treatment works.

If the cumulative net loss recognized in equity is regarded as irrecoverable, it is immediately recognized as a loss in the current period.

The Directors are of the opinion that, after taking into account the cash flows used in the operating activities, the existing banking facilities available and the estimated net proceeds from the Open Offer, the Group has sufficient working capital for its present requirements and for the period up to twelve months from the date of this Prospectus in the absence of unforeseen circumstances.

Impairment testing of an investment in a subsidiary is required upon receiving a dividends if the dividend exceeds the total comprehensive income of the subsidiary in the period the dividend is declared or if the carrying amount of the subsidiary in the Company’s balance sheet exceeds the carrying amount in the consolidated financial statements of the investee’s net assets including goodwill.

a) The published net asset value per unit issued is calculated in accordance with the Explanatory Memorandum while the net asset value per unit as reported in the statement of financial position included an audit adjustment for recognition of all preliminary expenses incurred in the statement of comprehensive income in 2011 and 2012.

According to the relevant regulations in the PRC and as disclosed in the Company’s prospectus, the Group’s net profit after tax can only be distributed after making up prior years’ cumulative losses, if any, and making allowance for the statutory surplus reserve, general reserve fund, employee’s bonus and welfare fund and enterprise expansion fund.

However, due to the potential for contam ination of fresh fruits occurring prior to their purchase by consumers and the outbreaks of food poisoning in other parts of the world, retailers and consumers are advised to wash fresh fruits before preparation (such as peeling and cutting) and consumption; handle and cut fruits using clean and sanitized utensils and surfaces; store cut fruits at 4o C or below until served or sold; and discard cut fruit s kept at am bient temperature for more than 2 hours.

On an acquisition-by-acquisition basis, the Group recognises any non-controlling interest in the acquiree either at fair value or at the non-controlling interest’s proportionate share of the acquiree’s net assets.
