(B) If any member shall surrender for cancellation a share certificate representing shares held by him and request the Company to issue in lieu two or more share certificates representing such shares in such proportions as he may specify, the Board may, if it thinks fit, comply with such request subject to the payment of such sum (not exceeding, in the case of any share capital listed on a stock exchange in Hong Kong, the maximum amount prescribed or permitted from time to time by such stock exchange, and, in the case of any other share capital, such sum in such currency as the Board may from time to time determine to be reasonable in the territory in which the relevant register is situate, or otherwise in each case such other sum as the Board may from time to time determine) for every certificate after the first, as the Board shall from time to time determine.

8.14 All decisions made by HKIRC in relation to whether the Chinese Domain Name is the meaningful subset of its Chinese company name, trade name or product name are in HKIRC‟s sole judgment and are not open to challenge, whether under Section 9 of these Pre Launch Priority Registration Period Rules or otherwise.

(n) if you shall at any time open one or more accounts with exchange participants of the HKFE other than ourselves for the purpose of carrying out transactions relating to Futures or Options Contracts and if the open positions in such accounts in aggregate amount to a Large Open Position as determined by the board of the HKFE, you shall report to us, or if required by us, the HKFE immediately of such Large Open Position and provide us or the HKFE (as the case may be) with such information as we or the HKFE (as the case may be) may require in connection therewith (including your name and the ultimate beneficiary or in the case of a company or body corporate, the individuals who are the ultimate beneficial owners of the share capital of the company or body corporate, including a beneficiary holding an interest through a nominee or trust) of such Large Open Position and also provide us or the HKFE (as the case may be).

That, in view of the Administration's failure to take effective action to amend the 15 relevant Ordinances which bind the Government so that they also bind the offices of the CPG in the HKSAR and to complete the review of the applicability of the Personal Data (Privacy) Ordinance to the CPG offices in the HKSAR, resulting in these offices not being required to abide by these Ordinances, and as the Administration has delayed the adaptation of the 35 relevant Ordinances which are expressed to bind, or apply to, the "Crown", this Council expresses serious concern and urges the Administration to explain the reasons for the slow progress of the work and to expedite amendment and adaptation of the relevant Ordinances.

This circular is to provide the shareholders with (i) further information on the Share Subdivision and the Board Lot Change and the re-election of directors of the Company; (ii) the explanatory statement as required under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ‘‘Listing Rules’’); and (iii) further information of the final dividend to be declared by the Company and all other information reasonably necessary to enable them to make an informed decision on whether to vote for or against the resolutions as mentioned herein and which, inter alia, will be dealt with at the annual general meeting of the Company to be held at Queensway and Victoria Room, Level 3, J.W. Marriott Hotel, Queensway, Hong Kong on Monday, 23 May 2011 at 2 : 00 p.m. (the ‘‘Annual General Meeting’’).

Given that Zhongxingxin is a connected person of the Group at the level of the Company (and not at the level of the Company’s subsidiaries) and is a substantial shareholder of Lead, Lead itself constitutes a connected person of the Company under the Hong Kong Stock Exchange Listing Rules.

3.4 Dragonair may change the prices quoted for the products listed in Emporium magazine, provided Dragonair applies such new price to all products and that such price will only apply to products ordered as of publication of the new price.

(B) Formal announcements concerning matters decided by the Board will be approved by the Board where specifically required under the Rules Governing the Listing of Securities on the Hong Kong Stock Exchange (the “Hong Kong Listing Rules”) or rules of any other relevant stock exchange.

This report, for which the directors (the “Directors”) of CIG Yangtze Ports PLC (the “Company”) collectively and individually accept full responsibility, includes particulars given in compliance with the Rules Governing the Listing of Securities on GEM of the Stock Exchange of the Hong Kong Limited (the “GEM Listing Rules”) for the purpose of giving information with regard to the Company, having made all reasonable enquiries, confirm that, to the best of their knowledge and belief: (i) the information contained in this report is accurate and complete in all material respects and not misleading; (ii) there are no other matters the omission of which would make any statement in this report misleading; and (iii) all opinions expressed in this report have been arrived at after due and careful consideration and are founded on bases and assumptions that are fair and reasonable.

These include: a deep-sea port being constructed on the Indian Ocean near the Rakhine State capital of Sittwe, and parallel road, high-speed rail, and oil and natural gas pipelines that will create an energy and trade corridor to China’s landlocked south west; the Kaladan multi-modal project that will create a transportation corridor between the Indian Ocean and India’s eastern seaboard and its landlocked north east; and the Dawei Development Project which, if completed according to plan, would include a large industrial estate and modern deep-sea port in the south, with road and rail links for transhipment of goods to Thailand and on to Vietnam, cutting several days off the sea route through the Straits of Malacca.

AND IT IS HEREBY DECLARED that the word “Company” in this clause when not applied to this Company shall be deemed to include any partnership or other body of persons whether incorporated or not incorporated and whether domiciled in Hong Kong or elsewhere and whether existing or hereafter to be formed and the intention is that each object specified in each paragraph of this clause shall unless otherwise therein provided be regarded as an independent object and shall be in nowise limited or restricted by reference to or inference from the terms of any other paragraph or the name of the Company and shall be capable of being pursued as an independent object and either alone or in conjunction with any one or more of the objects specified in the same or in any other paragraph or paragraphs.

The 12 Parts of the General Regulation cover matters from the procedural requirements governing the arrival and departure of local vessels, the navigation in the waters of Hong Kong, the berthing of, and use of buoys and piers by local vessels, the embarkation and debarkation of passengers, the safety requirements for handling of cargo, the use and display of lights and signals, the regulation and control of certain vessel registered in Mainland or Macau, the vessel traffic service permitting a report system operated through high frequency radiotelephone communication, and the imposition of control over some activities (such as racing events, water-skiing, fishing and bunkering activities) in waters of Hong Kong, and miscellaneous requirements enhancing the navigation safety of local vessels.

The increase in support costs will be driven by several factors, including the larger geographical area of operations, climatic conditions, lack of security, weak infrastructure, mobility requirements of a dynamic combat force, the difficulty of using civilian contractors in a war environment, and the lack of access in the short term to a proximate seaport in southern Somalia, such as Kismaayo, necessitating the use of circuitous and seasonal land corridors for supply lines (see S/2012/74, para. 28).

(b) To be valid, a form of proxy in the prescribed form together with the power of attorney or other authority, if any, under which it is signed, or a certified copy of such power or authority, must be deposited at the Company’s branch share registrar in Hong Kong, Computershare Hong Kong Investor Services Limited, at Shops 1712-1716, 17/F, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong not less than 48 hours before the time fixed for holding the meeting (or any adjourned meeting).

The incumbent would be responsible for directing the planning and provision of aerospace ground support equipment requirements to support aircraft handling, refuelling, passenger handling, cargo handling, airfield and air terminal security standards and equipment, emergency crash rescue vehicles and equipment in missions, including requirements for staff levels, qualifications and experience by providing guidance to missions, drafting statements of work, developing requests for proposals for contractors, preparing the statements of work for aircraft support units of troop-contributing countries, determining equipment specifications, liaising closely with other sections to establish budgets and systems contracts for equipment and vehicles, and providing guidance on training requirements.

Despite the Group having been granted the right of first refusal for the development of Phase II of the WIT Port by the PRC joint venture partners who are Wuhan government agencies at inception of the WIT project, the signing of the Heads of Agreement in 2005 (together with a supplemental agreement in April 2007) and the subsequent approval of the development plan by the Central Government for the Group to take a 44% equity interest in the Phase II development with the rest of the interest to be taken up by the two PRC Joint Venture partners of WIT, negotiations of the terms of the joint venture agreement have grinded to a halt resulting in the Group not being able to participate in the development of the project as intended.

As it is proposed to adopt Codex MRLs as the backbone of the local set of MRLs for pesticide residues in food, to ensure compatibility, it is also proposed to make reference to Codex when developing such classification system under the new regulatory framework.

Notwithstanding the date on which the Agreement comes into effect, if from the date of this Agreement there is any repeal or amendment to the APCO (other than pursuant to the Government’s proposal to amend the APCO to cap the emissions of the Pollutants and to facilitate the use of emissions trading as described in a Legislative Council Panel on Environmental Affairs Paper reference CB(1) 418/07-08(07) dated 17 December 2007 (“Legislative Proposal”)) or any renewal of or change to any Specified Process Licence (other than to the amount of the Initial Cap or pursuant to the Legislative Proposal), which has a material effect on the Mechanism or HEC’s emissions performance or compliance with the Total Permissible Emissions, the Mechanism shall not apply to that Applicable Year and any subsequent Applicable Years until HEC and the Government have reached agreement as to the amendments to this Schedule that are required to give continued effect to the Mechanism.

(v) any company in the equity capital of which he, his family interests, any of the trustees referred to in (iii) above, acting in their capacity as such trustees, and/or any trustee interests taken together are directly or indirectly interested so as to exercise or control the exercise of 30 per cent (or such other amount as may from time to time be specified in the Hong Kong Code on Takeovers and Mergers as being the level for triggering a mandatory general offer) or more of the voting power at general meetings, or to control the composition of a majority of the board of directors and any other company which is its subsidiary or holding company or a fellow subsidiary of any such holding company.

As at the Latest Practicable Date, none of the directors and chief executive of the Company had any interests or shorts positions in the shares, underlying shares and debentures of the Company or any of its associated corporations (within the meaning of Part XV of the Securities and Futures Ordinance (“SFO”) which were required to be notified to the Company and The Stock Exchange of Hong Kong Limited (the “Stock Exchange”) pursuant to the provisions of Divisions 7 and 8 Part XV of the SFO (including interests or short positions which they were taken or deemed to have under such provisions of the SFO) or pursuant to the Model Code of Securities Transactions by Directors of Listed Companies contained in the Rules Governing the Listing of Securities on the Stock Exchanged (the “Listing Rules”) or which were required to be entered in the registered required to be kept by the Company under section 352 of the SFO.
