On 23 November 2005, the Company, Prosperity Trading Limited (an indirect wholly-owned subsidiary of the Company) and Mr. Wong Ben Koon (“Mr. Wong”), an executive director and substantial shareholder of the Company, entered into an agreement, pursuant to which Mr. Wong conditionally agreed to subscribe for 63,241,106 new shares of the Company at HK$0.3795 each in consideration for the settlement in full HK$24 million of the loan advanced by Mr. Wong to the Group (the “Loan Capitalisation”).
