Also at the same meeting, the Commission heard presentations by the following on the outcomes of intersessional events: Mr. Akira Nitta (Japan), on the outcomes of the “Inaugural Meeting of the Regional 3R (Reduce, Reuse, Recycle) Forum in Asia” and the International Consultative Meeting on “Expanding Waste Management Services in Developing Countries”, which were held in Tokyo on 11 and 12 November 2009 and on 18 and 19 March 2010, respectively; the representative of the Republic of Korea, on the outcome of the International Expert Group Meeting entitled “United Nations Forum on Climate Change Mitigation, Fuel Efficiency and Sustainable Urban Transport”, which was held in Seoul on 16 and 17 March 2010; and Mr. Donald Cooper (Stockholm Convention), on the outcome of the “Workshop on Case Studies in the Sound Management of Chemicals”, which was held in Geneva on 3 and 4 December 2009.

(e) To build, construct, alter, maintain, enlarge, pull down, remove or replace, and to work, manage and control any buildings, offices, factories, mills, shops, machinery, engines, roads, ways, tramways, railways, branches or sidings bridges, reservoirs, watercourses, wharves, electric works and other works and conveniences which may seem calculated directly or indirectly to advance the interests of the Company, and to join with any other person or company in dong any of these things.

(B) Any CP Shareholder may exercise the Conversion Right in respect of one or more Convertible Preference Shares held by him at any time subject to the provisions of the Statutes and any other applicable fiscal and other laws and regulations by delivering a duly signed and completed Conversion Notice to the Registrar's Office accompanied by the Certificates in respect of the Relevant Convertible Preference Shares and such other evidence (if any) as the Directors may reasonably require to prove the title of the person exercising such right (or, if such Certificates have been lost or destroyed, such evidence of title and such indemnity as the Directors may reasonably require).

(B) The Company shall maintain and keep a full and complete register at such location in Bermuda (but not in Hong Kong) as it shall from time to time determine of the Convertible Preference Shares and the CP Shareholders from time to time, such register shall contain details of conversion and/or cancellation and the destruction of any Convertible Preference Shares and the issue of any replacement Certificates issued in substitution for any mutilated, defaced, lost, stolen or destroyed Certificates and of sufficient identification details of all CP Shareholders from time to time.

If a share certificate shall be damaged or defaced or alleged to have been lost, stolen or destroyed a new certificate representing the same shares may be issued to the relevant Member upon request and on payment of such fee as the Designated Stock Exchange may determine to be the maximum fee payable or such lesser sum as the Board may determine and, subject to compliance with such terms (if any) as to evidence and indemnity and to payment of the costs and reasonable out-of-pocket expenses of the Company in investigating such evidence and preparing such indemnity as the Board may think fit and, in case of damage or defacement, on delivery of the old certificate to the Company provided always that where share warrants have been issued, no new share warrant shall be issued to replace one that has been lost unless the Directors are satisfied beyond reasonable doubt that the original has been destroyed.

(6) A person who asks to be allowed to witness the destruction of his fingerprints or copies of them shall have a right to witness it.

(iv) any other document on the basis of which any entry in the register is made at any time after the expiry of twelve years from the date and entry in the register was first made in respect of it, and it shall conclusively be presumed in favour of the Company that every share certificate so destroyed was a valid certificate duly and properly cancelled and that every instrument of transfer so destroyed was a valid and effective instrument duly and properly registered and that every other document destroyed hereunder was a valid and effective document in accordance with the recorded particulars thereof in the books or records of the Company.

The Meeting took note of the intention of the Authority to convene a workshop to further a proposal aimed at developing a regional environmental management plan for the Clarion-Clipperton Zone in the Central Pacific, which was the prime area of interest for polymetallic nodules.

If a share certificate is defaced, worn out, lost or destroyed, it may be replaced on payment of such fee, if any, not exceeding HK$2 (or such higher amount as shall for the time being be approved by the Designated Stock Exchange on which the shares of the Company are listed) and on such terms, if any, as to publication of notices, evidence and indemnity and to payment of any exceptional costs and the reasonable out-of-pocket expenses of the Company in investigating such evidence and preparing such indemnity as the Directors may think fit and, where it is defaced or worn out, after delivery of the defaced or worn out certificate to the Company.

(2) Notwithstanding any provision contained in these Bye-laws, the Directors may, if permitted by applicable law, authorise the destruction of documents set out in sub-paragraphs (a) to (f) of paragraph (1) of this Bye-law and any other documents in relation to share registration which have been microfilmed or electronically stored by the Company or by the share registrar on its behalf provided always that this Bye-law shall apply only to the destruction of a document in good faith and without express notice to the Company and its share registrar that the preservation of such document was relevant to a claim.

If a share certificate is defaced, lost or destroyed, it may be replaced on payment of such fee, if any, not exceeding, in the case of any share capital listed on a stock exchange in Hong Kong, the maximum amount prescribed or permitted from time to time by such stock exchange, and, in the case of any other capital, such sum in such currency as the Board may from time to time determine to be reasonable in the territory in which the relevant register is situate, or otherwise in each case such other sum as the Board may from time to time determine and on such terms and conditions, if any, as to publication of notices, evidence and indemnity, as the Board thinks fit and in the case of wearing out or defacement, after delivery up of the old certificate.

The consultations successfully took place in the Arab States (Rabat, Morocco, 10-13 May 2010), Asia and the Pacific (Changwon, Republic of Korea, 21-23 May 2010), Europe and North America (London, the United Kingdom, 5-8 June 2010), Africa (Kampala, Uganda, 15-18 June 2010) and in Latin America and the Caribbean (Port of Spain, Trinidad and Tobago, 5-7 July 2010).

The storage of tailings at the Group’s industrial assets may present a risk to the environment, property and persons, where there remains a risk of leakage from or failure of the Group’s tailings dams, as well as theft and vandalism during the operating life of the assets or after closure.

Dr. Andrea Russo, Professor of Medicine at Cooper Medical School of Rowan University (Cooper University Hospital, New Jersey, USA), presented findings about the benefits of implantable cardioverter defibrillator (ICD) therapy in women.

The current members of the Council are Sinha Basnayake (Sri Lanka, distinguished external jurist nominated by management), Geoffrey Robertson QC (United Kingdom, distinguished external jurist nominated by staff), Frank Eppert (United States of America, management representative), Jenny Clift (Australia, staff representative) and Justice Kate O’Regan, former judge of the Constitutional Court of South Africa, who serves as chair.

The secretariat of the International Seabed Authority, in its contribution, highlighted the fact that the scientific criteria on the basis of which the proposal related to the environmental management plan in the Clarion-Clipperton Zone was made (see paras. 58 and 154 above) were similar to the Convention on Biological Diversity criteria (see paras. 162 and 163 above) and those set out in the FAO International Guidelines (see para. 41 above), such convergence ensuring a consistent approach.

(ii) nothing contained in this Article shall be construed as imposing upon the Company any liability in respect of the destruction of any such document earlier than as aforesaid or in any case where the conditions of proviso (i) above are not fulfilled; and (iii) references in this Article to the destruction of any document include reference to its disposal in any manner.
