This responsibility includes designing, implementing and maintaining internal control relevant to the preparation and the true and fair presentation of financial statements that are free from material misstatement, whether due to fraud or error; selecting and applying appropriate accounting policies; and making accounting estimates that are reasonable in the circumstances.

Save as disclosed above, as at the Latest Practicable Date, none of the Directors, supervisors and senior management of the Company and their associates had any personal, family, corporate or other interests or short positions in the shares, underlying shares or debentures of the Company or any of its associated corporations (within the meaning of Part XV of the SFO) which would have to be notified to the Company and the Stock Exchange pursuant to Divisions 7 and 8 of Part XV of the SFO (including interests or short positions which they are taken or deemed to have under such provisions of the SFO), or which were required, pursuant to section 352 of the SFO, to be recorded in the register referred therein, or which were required, pursuant to the Model Code, to be notified to the Company and the Stock Exchange.

(18) To carry on all or any of the business of book-sellers, book manufacturers, bookbinders, printers, publishers and proprietors of newspapers, magazines, books, periodicals, tickets, programmes, brochures, promotional literature and other publications whatsoever of all description, machine, letterpress, engravers, diesinkers, designers, draughtsmen, news agents, press agents, journalists, literary agents, stationers, manufacturers of and dealers in engravings, prints, pictures, and drawings, cartographers, advertising agents and contractors, artists, sculptors, designers, decorators, illustrators, photographers, videographers and dealers in photographic and videography supplies and equipment of all kinds, film-processors, film makers, producers and distributors, publicity agents, display specialists and any other business which may seem to the Company capable of being carried on in connection with any of the foregoing.

The AC also received reports and met with the IAs to discuss the general scope of their audit work (including the impact of changes in accounting policies as applied), and their assessment of Group internal controls.

It is therefore important for the industry to continue closely monitor the manufacturing process, identify potentially problematic conditions and develop methods that would prevent or reduce the formation of EC and maintain EC contamination at the lowest level possible during processing and storage.

The minimum qualifications and experience of the quality control supervisor are to be the same as grade T3 technically competent person (TCP) under the RSE’s stream, as stipulated in the Code of Practice for Site Supervision 2009.

(b) “Rights Issue” means an offer of shares in the share capital of the Company, or an offer or issue of warrants, options or other securities giving rights to subscribe for shares, open for a period fixed by the directors of the Company to holders of shares in the share capital of the Company or any class thereof whose names appear on the register of members on a fixed record date in proportion to their then holdings of such shares or class thereof (subject to such exclusion or other arrangements as the directors of the Company may deem necessary or expedient in relation to fractional entitlements or, having regard to any restrictions or obligations under the laws of, or the requirements of, or the expense or delay which may be involved in determining the exercise or extent of any restrictions or obligations under the laws of, or the requirements of, any jurisdiction applicable to the Company, any recognised regulatory body or any stock exchange applicable to the Company).

I understand that by virtue of Section 26(1)(c) of the Housing Ordinance (Cap. 283), any person who knowingly makes any false statement to HA in furnishing the particulars shall be guilty of an offence and shall be liable on conviction to a fine at Level 5 as specified in Schedule 8 to the Criminal Procedure Ordinance (Cap. 221) and to imprisonment for 6 months (as at the date this Application Form is revised, the maximum fine at Level 5 is HK$50,000).

Members of the Board of Directors seek to act in the best interests of the Company, providing leadership and supervision over the Group and assuming joint and individual responsibility to all shareholders of the Company in respect of the management, control and operations of the Company.

3.3 To exercise and enforce all rights and powers conferred by or incidental to the ownership of any shares, stock, obligations or other securities including without prejudice to the generality of the foregoing all such powers of veto or control as may be conferred by virtue of the holding by the Company of some special proportion of the issued or nominal amount thereof, to provide managerial and other executive, supervisory and consultant services for or in relation to any company in which the Company is interested upon such terms as may be thought fit.

The primary duties of the Audit and Remuneration Committee include reviewing the financial reporting process, the system of internal control and risk management of the Group, the appointment of auditors and the determination of executive Director’s service contract, the review of Directors’ and senior management’s emoluments and the award of discretionary bonuses and share options of the Company.

Pursuant to the Master Project Management Agreement, the terms of each Project Management Transaction (including but not limited to the amount of service fees payable by the Group and the payment terms) shall be on a fair basis, on normal commercial terms, and on terms which are no less favourable than those offered by Shenyang Sanquan to other independent third party customers (such terms to comply with the relevant price fluctuation regulations prescribed by the PRC and not of cut-throat competition nature, and the level of service and technology management standards should not be lower than that provided by Shenyang Sanquan to other independent third party customers).

All measures must be binding, measureable, reportable and verifiable, so that the community can easily monitor progress.

For transactions in other foreign currencies, the Group will closely monitor the exposure, and if consider appropriate, hedge to the extent desirable.

As part of its liquidity management, Glencore closely monitors and plans for its future capital expenditure and proposed investments, as well as credit facility refinancing/extension requirements, well ahead of time.

The management closely keeps watch of the price changes and takes appropriate action when necessary.

The Committee has met with the management and the auditors to review the unaudited interim financial report and consider the significant accounting principles and policies adopted by the Company and discuss with the management the internal control and financial reporting matters in respect of the interim report.

(3) Except as allowed by the Law and subject further to compliance with the rules and regulations of the Designated Stock Exchange and any other relevant regulatory authority the Company shall not give financial assistance for the purpose of or in connection with a purchase made or to be made by any person of any shares in the Company.

Management of operational, legal and regulatory risk requires, among other things, policies and procedures to properly record and verify a large number of transactions and events, and these policies and procedures may not be fully effective in doing so.

4.1.18 To report any significant actual, suspected or alleged fraud (involving misconduct or unethical behaviour related to financial reporting) or misrepresentation of assets, which has not been included in a report submitted by Management to the Committee, to the HSBC Group Chief Risk Officer and HSBC Group Finance Director.

14.1 These terms and conditions are governed by the laws of the Hong Kong Special Administrative Region and the parties hereby submit to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region, subject always to any mandatory provisions of local law in the country where a Customer is located that stipulate that the relevant local law should apply and/or that the local courts should have jurisdiction.

(ii) So far as is known to any director or supervisor, there is no person other than a director or supervisor or chief executive who, as at 31 December 2009, have an interest or short position in the shares or underlying shares of the Company which would fall to be disclosed to the Company under the provisions of Divisions 2 and 3 of Part XV of the SFO, or will be directly or indirectly interested in 5% or more of the nominal value of any class of share capital carrying rights to vote in all circumstances at general meetings of the Company or any other substantial shareholders whose interest or short position were recorded in the register required to be kept by the Company under section 336 of the SFO.

They lead the Group’s management team in accordance with the directions set by the Board and are responsible for ensuring that proper internal control system is in place and the Group’s business conforms to applicable laws and regulations.

(2) Subject to the Law, the Company’s Memorandum and Articles of Association and, where applicable, the rules of any Designated Stock Exchange and/or any competent regulatory authority, any power of the Company to purchase or otherwise acquire its own shares shall be exercisable by the Board in such manner, upon such terms and subject to such conditions as it thinks fit.

The Manager may appoint investment advisers for the Funds, subject to the prior approval of the Securities and Futures Commission and provided the fees for such investment advisers are borne by the Manager.

On 9 December 2004, pursuant to a resolution adopted at the Company’s second temporary shareholders’ general meeting and the provision under the revised Articles of Association, and upon approval under Document Guo Zi Gai Ge [2004] No. 865 issued by State-owned Assets Suervision and Administration Commission of the State council and verification and approval under Document Zheng Jian Guo He Zi [2004] No. 38 issued by China Securities Regulatory Commission, the Company made an overseas public offering of '60,'5',040 overseas listed foreign invested shares (H Shares), of which '58,766,450 new shares were issued by the Company and ',384,590 shares were sold by the Company’s state-owned corporate shareholders.
