Ordinary resolutions will also be proposed at the Annual General Meeting in respect of the granting of the Issue Mandate to the Directors, in the terms set out in the notice of the Annual General Meeting, to allot, issue and deal with Shares not exceeding 20% of the aggregate nominal amount ofthe share capital of the Company in issue as at the date of passing the relevant resolution, and adding to the Issue Mandate so granted to the Directors any Shares representing the aggregate nominal amount of the Shares repurchased by the Company after the granting of the Repurchase Mandate, at any time during the period ended on the earliest of (a) the conclusion of the next annual general meeting of the Company; (b) the expiration of the period within which the next annual general meeting of the Company is required by the Articles orany applicable [...][...]

(b) To enter into any guarantee, contract or indemnity or surety and in particular (without prejudice or secure, with or without consideration, whether by personal obligation or by mortgaging or charging all or any part of the undertaking, property and assets (present and future) and uncalled capital of the Company or both such methods or in any other manner, the performance of any obligations or commitments, of, and the repayment or payment of the principal amounts of and any premiums, interest, dividends and other moneys payable on or in respect of any securities or liabilities of, any person including (without prejudice to the generality of the foregoing) any company which is for the time being a subsidiary or a holding company of the Company or another subsidiary oraholding company of the Company or otherwise associated with the Company.

Subsequently, Albania, Angola, Argentina, Australia, Bangladesh, Belgium, Benin, Bulgaria, Burkina Faso, Burundi, China, Congo, the Democratic Republic of the Congo, Denmark, Djibouti, the Dominican Republic, El Salvador, Estonia, Guatemala, Iceland, India, Ireland, Israel, Italy, Japan, Kenya, Kyrgyzstan, Mali, Morocco, Poland, the Republic of Korea, the Republic of Moldova, Romania, Rwanda, Senegal, Spain, Thailand, the former Yugoslav Republic of Macedonia, Turkey, Ukraine, the United States of America and Zimbabwe joined the co-sponsors.

Save as disclosed above, as at the Latest Practical Date, the Directors are not aware of any other person who had an interest or short position in the Shares or underlying Shares of the Company which would fall to be disclosed to the Company under the provisions of Divisions 2 and 3 of Part XV of the SFO, or who was, directly or indirectly, interested in 10% or more of the nominal value of any class of share capital, or options in respect of such capital, carrying rights to vote in all circumstances at general meetings of any other member of the Group.

(F) Subject to the next paragraph of this Article, no Director or proposed or intended Director shall be disqualified by his office from contracting with the Company, either with regard to his tenure of any office or place of profit or as vendor, purchaser or in any other manner whatever, nor shall any contract with regard thereto or any other contract or arrangement in which any Director is in any way interested be liable to be avoided, nor shall any Director so contracting or being so interested be liable to account to the Company or the shareholders for any remuneration, profit or other benefits realised by any such contract or arrangement, by reason only of such Director holding that office or the fiduciary relationship thereby established.

Given that Zhongxingxin is a connected person of the Group at the level of the Company (and not at the level of the Company’s subsidiaries) and is a substantial shareholder of Lead, Lead itself constitutes a connected person of the Company under the Hong Kong Stock Exchange Listing Rules.

In the Medical Services Section, the establishment of 15 additional national posts (6 National Officers and 9 national General Servicestaff) is proposed, as the Section has over the past years expanded the services it provides, which include round-the-clock operation of the UNOCI headquarters clinic, which is now functioning at level I-plus rather than the previous level I; patients are followed up at their homes after discharge from level III hospitals; patients are regularly visited in the 11 level III hospitals in Abidjan and in Sector West and Sector East; doctors in the regional headquarters perform outreach activity by visiting remote offices twice a week; support is provided to the Government during important functions and to the United Nations country team as part of the United Nations integrated framework; and medical support is proposed to be provided eight hours a day at the logistics base in Koumassi as opposed to the current two hours a day.

Ms Melva CHEN said that the RA study aimed to measure the levels of PBDEs in food of animal origin, to estimate the potential dietary exposure to PBDEs of secondary school students in Hong Kong from these foods and to assess the associated health risks.

A number of specific comments were made as follows: the concept of food safety is universal, thus there should be no exception, as presently in Article 4.2, allowing exporting countries to export food, which does not comply with its national legislation; the issue of implementation of the Code, especially by countries lacking a control system, should be clarified; the present text may contradict some of the principles of Codex insofar as they establish and draw upon national regulatory frameworks; the ethics of equal treatment in terms of commercial transactions and food aid and donations should be made clearer; and some of the provisions in the textmay becontrary to WTO provisions.

Other suggested areas of priority attention included: climate change, disaster prevention and preparedness, minimizing biodiversity loss through sustainable management of resources, renewable energies, the formulation of national strategies in science and technology, the promotion of local and indigenous knowledge systems as well as improving the links between scientists and decision-makers.

The Country acceptsthat,by its acceptance of this Agreement and performance by the Executive Committee of its funding obligations described in paragraph 3, it is precluded from applying for or receiving further funding from the Multilateral Fund in respect to any consumption of the Substances which exceeds the level defined in row 1.2 of Appendix 2-A (maximum allowable total consumption of Annex C, Group I substances) as the final reduction step under this agreement for all of the Substances specified in Appendix 1-A, and in respect to any consumption of each of the Substances which exceeds the level defined in rows 4.1.3, 4.2.3, 4.3.3, 4.4.3 and 4.5.3 (remaining eligible consumption).

As it is proposed to adopt Codex MRLs as the backbone of the local set of MRLs for pesticide residues in food, to ensure compatibility, it is also proposed to make reference to Codex when developing such classification system under the new regulatory framework.

The outputs to be delivered under this component are set out in paragraph 29C.35 of the budget document, and include the provision of a wide array of training programmes designed to build and sustain the Organization’s leadership and managerial capacity; improve the human and financial resources management expertise of programme managers and staff with administrative responsibilities; upgrade the information technology skills of Secretariat staff; build and strengthen linguistic capabilities; and support career development and upgrade substantive skills.

Therefore, the Conference urges all States Parties possessing advanced biotechnology to adopt positive measures to promote technology transfer and international cooperation on an equal and non-discriminatory basis, particularly with countries less advanced in this field, while promoting the basic objectives of the Convention, as well as ensuring that the promulgation of science and technology is fully consistent with the peaceful object and purpose of the Convention.
