The purpose of this circular is to provide you with (i) details regarding the Non-Exempt Connected Transactions; (ii) the advice from Anglo Chinese, the independent financial adviser to the Independent Board Committee and the Independent Shareholders and the recommendation of the Independent Board Committee in respect of the Non-Exempt Connected Transactions; and (iii) a notice to convene the EGM.

The Special Representative of the Secretary-General introduced the SecretaryGeneral’s report (S/2008/688), and said that the United Nations Assistance Mission for Iraq had focused in recent months on supporting electoral preparations, laying the seeds for a resolution to the problem of disputed internal boundaries, supporting national development strategies and facilitating Iraq’s partnership with the international community and its neighbours.

The Office of the High Commissioner had advanced the implementation of the United Nations Declaration on the Rights of Indigenous Peoples by carrying out country-specific initiatives, promoting indigenous entitlement to ancestral lands, the need of indigenous people to be involved in decisions regarding the industrial exploitation of their natural resources and the right to education.

This problem can be addressed by increasing efforts to avoid losing gillnets and by facilitating the quick recovery of lost nets.

Algeria was encouraged by the measures and efforts already under way to promote the rights of vulnerable groups, especially children and women, and by the increased participation of women in the labour market.

At its sixty-fourth session, the General Assembly requested the Secretary-General to promote, within existing resources, impact-assessment mechanisms of partnerships in order to enable effective management, ensure accountability and facilitate effective learning from both successes and failures; and to report to it at its sixtysixth session on the implementation of the resolution (resolution 64/223).

The report outlines a series of recommendations to address grave child rights violations, facilitate the implantation of child protection commitments and foster more effective coordination among key stakeholders.

The proposed workshop could examine and discuss, for example, the following issues: a global overview of the state of the treatment of women in detention and in custodial and non-custodial settings and sharing of national best practices and experiences in the implementation of the Bangkok Rules; practical solutions for issues related to legislation, procedures, policies and practices for women prisoners, alternatives to imprisonment for women offenders, and their reintegration into society; the provision of technical assistance and advisory services in the implementation of the Bangkok Rules, as well as cooperation among relevant United Nations entities, intergovernmental and regional organizations and non-governmental organizations in that regard; and the dissemination of the Bangkok Rules and related training and awareness-raising activities and the promotion of research and programmed evaluation in that field.

In order to strengthen domestic demand, countries could pursue the expansion of investment in infrastructure and energy, the provision of social protection, skills development, tourism development, and inclusive and sustainable growth.

In our capacity as the independent financial adviser to the Independent Board Committee and the Independent Shareholders, our role is to provide the Independent Board Committee and the Independent Shareholders with an independent opinion and recommendation as to whether the terms of the Sale and Purchase Agreement are fair and reasonable so far as the Independent Shareholders are concerned and whether the entering into of the Sale and Purchase Agreement is in the interests of the Company and the Independent Shareholders as a whole.
