That, as the latest opinion poll and social campaign indicate that those who oppose the Guangzhou–Shenzhen–Hong Kong Express Rail Link (XRL) are mainly young people, I move under paragraph 37A of the FC Procedure that, as the Government still pushes through the construction of the XRL despite opposition from various fronts, the Government must clearly explain and introduce to the young people the importance and cost-effectiveness of the XRL, with a view to abating the discontent of the young people of Hong Kong arising from the construction of the XRL by the Government.

In this case of the licensor’s insolvency, if the licensee has granted a security right in its rights under the licence agreement, the licensor will continue to owe the licensee unimpeded use of the licensed intellectual property under the licence agreement and the licensee’s secured creditor will continue to have a security right in the licensee’s rights under that agreement.

The Company may by ordinary resolution, before the issue of any new shares, determine that the same, or any of them, shall be offered in the first instance, and either at par or at a premium, to all the existing holders of any class of shares in proportion as nearly as may be to the number of shares of such class held by them respectively, or make any provisions as to the issue and allotment of such shares, but in default of any such determination or so far as the same shall not extend, such shares may be dealt with as if they formed part of the capital of the Company existing prior to the issue of the same.

As the Guangzhou–Shenzhen–Hong Kong Express Rail Link (XRL) involves $66.9 billion of public funds and the findings of the Public Opinion Programme of the University of Hong Kong published recently show that 59% of the respondents said they knew 'very little' or 'quite little' about the entire XRL project, indicating that most people do not understand the substance and social impact of the XRL, I now move under paragraph 37A of the FC Procedure to demand that the Government shelve the funding proposals of the XRL and assess the public awareness of the XRL with an opinion poll conducted by an independent organization, and re-submit the funding proposals after having ascertained that the majority of the people of Hong Kong clearly understand the substance of the XRL and its impact on the society.

(iv) the dividend (or that part of the dividend in respect of which a right of election has been accorded) shall not be payable in cash on shares in respect whereof the share election has been duly exercised (“the elected shares”) and in lieu thereof shares of the relevant class shall be allotted credited as fully paid up to the holders of the elected shares on the basis of allotment determined as aforesaid and for such purpose the Board shall capitalise and apply out of any part of the undivided profits of the Company (including profits carried and standing to the credit of any reserves or other special account other than the Subscription Rights Reserve) as the Board may determine, such sum as may be required to pay up in full the appropriate number of shares of the relevant class for allotment and distribution to and amongst the holders of the elected shares on such basis.

(2) Subject to the provisions of the Law, the rules of any Designated Stock Exchange and the Memorandum and Articles of Association of the Company, and to any special rights conferred on the holders of any shares or attaching to any class of shares, shares my be issued on the terms that they may be, or at the option of the Company or the holder are, liable to be redeemed on such terms and in such manner, including out of capital, as the Board may deem fit.

The Committee calls on the State party to adopt the necessary legislative measures to allow foreign workers the right to join trade unions of their choice and to amend the existing act on trade union in order to lift existing restrictions.

In line with the Security Council’s presidential statement of 26 November 2008 (S/PRST/2008/44) and my report of 24 November 2008, the Government of Serbia and a majority of Kosovo Serbs have accepted the deployment of the European Union Rule of Law Mission in Kosovo (EULEX) on condition that it would fully respect resolution 1244 (1999) and that it would operate under the overall authority of the United Nations and within its status-neutral framework.

Where an existing financial liability is replaced by another from the same lender on substantially different terms, or the terms of an existing liability are substantially modified, such an exchange or modification is treated as a derecognition of the original liability and the recognition of a new liability, and the difference in the respective carrying amount is recognised in profit or loss.

The remuneration or other equivalent allowance for directors and supervisors are based on their involvement in the Company’s operations and contribution to the Company, the “Rules for Setting Director’s Remuneration” and industry norm.

(i) The Company may give financial assistance on such terms as the Board thinks fit to directors and bona fide employees of the Company, any of its subsidiaries, any holding company of the Company or any subsidiary of any such holding company in order that they may purchase or subscribe or otherwise acquire shares (fully or partly paid) in the Company or any holding company of the Company and such terms may include a reference that, when a director ceases to be a director of, or an employee ceases to be employed by, the Company or such other company, shares purchased or subscribed or otherwise [...] [...]

Ordinary resolutions will also be proposed at the Annual General Meeting in respect of the granting of the Issue Mandate to the Directors, in the terms set out in the notice of the Annual General Meeting, to allot, issue and deal with Shares not exceeding 20% of the aggregate nominal amount of the share capital of the Company in issue as at the date of passing the relevant resolution, and adding to the Issue Mandate so granted to the Directors any Shares representing the aggregate nominal amount of the Shares repurchased by the Company after the granting of the Repurchase Mandate, at any time during the period ended on the earliest of (a) the conclusion of the next annual general meeting of the Company; (b) the expiration of the period within which the next annual general meeting of the Company is required by the Articles or any applicable laws to be held; and (c) the date upon which such authority is revoked or varied by an ordinary resolution at a general meeting of Shareholders.

(E) Where arrangements are under consideration concerning the appointment (including the arrangement or variation of the terms thereof, or the termination thereof) of two or more Directors to offices or places of profit with the Company or any other company in which the Company is interested, a separate resolution may be put in relation to each Director and in such case each of the Directors concerned shall be entitled to vote (and be counted in the quorum) in respect of each resolution except that concerning his own appointment (or the arrangement or variation of the terms thereof, or the termination thereof) and except (in the case of an office or place of profit with any such other company as aforesaid) where the other company is a company in which the Director together with any of his associates owns five (5) per cent or more of the issued shares of any class of the equity share capital of such company or of the voting rights of any class of shares of such company.
