(c) That the Country had submitted annual implementation reports in the form of Appendix 4-A (“Format of Implementation Reports and Plans”) covering each previous calendar year; that it had achieved a significant level of implementation of activities initiated with previously approved tranches; and that the rate of disbursement of funding available from the previously approved tranche was more than 20 per cent; and (d) That the Country has submitted an annual implementation plan in the form of Appendix 4-A covering each calendar year until and including the year for which the funding schedule foresees the submission of the next tranche or, in case of the final tranche, until completion of all activities foreseen.

Ordinary resolutions will also be proposed at the Annual General Meeting in respect of the granting of the Issue Mandate to the Directors, in the terms set out in the notice of the Annual General Meeting, to allot, issue and deal with Shares not exceeding 20% of the aggregate nominal amount of the share capital of the Company in issue as at the date of passing the relevant resolution, and adding to the Issue Mandate so granted to the Directors any Shares representing the aggregate nominal amount of the Shares repurchased by the Company after the granting of the Repurchase Mandate, at any time during the period ended on the earliest of (a) the conclusion of the next annual general meeting of the Company; (b) the expiration of the period within which the next annual general meeting of the Company is required by the Articles or any applicable laws to be held; and (c) the date upon which such authority is revoked or varied by an ordinary resolution at a general meeting of Shareholders.

In its report on strengthening the capacity to manage and sustain peacekeeping operations, the Committee indicated that it had been informed that the Department of Field Support, the Department of Peacekeeping Operations, the Department of Management and the Department of Political Affairs had been assessing options in order to report on this issue to the General Assembly at its sixty-sixth session, as requested (A/65/827, para. 19).

(h) Subject to the Ordinance, a Director may hold any other office or place of profit under the Company (other than the office of auditor) in conjunction with his office of Director for such period and on such terms (as to remuneration and otherwise) as the Directors may determine and no Director or intending Director shall be disqualified by his office from contracting with the Company either with regard to his tenure of any such other office or place of profit or as vendor, purchaser or otherwise, nor shall any such contract, or any contract or arrangement entered into by or on behalf of the Company in which any Director is in any way interested, be liable to be avoided, nor shall any Director so contracting or being so interested be liable to account to the Company for any profit realised by any such contract or arrangement by reason of such Director holding that office or of the fiduciary relation thereby established.

This Agreement represents the understanding of the Governments of the Cook Islands, Kiribati, Marshall Islands (the), the Federated States of Micronesia, Nauru, Niue, Palau, Samoa, Solomon Islands, Tonga, Tuvalu, Vanuatu (each of them will be referred as “the Country”) and the Executive Committee with respect to the reduction of controlled use of the ozone-depleting substances (ODS) set out in Appendix 1-A (“The Substances”) to a sustained aggregate level of 2.11 ODP tonnes prior to 1 January 2020 in compliance with Montreal Protocol schedules, with the understanding that this figure is to be revised one single time in 2011, when the baseline consumption for compliance would be established based on Article 7 data, with the funding to be adjusted accordingly, as per decision 60/44.

164 The Board may from time to time and at any time, by power of attorney under the seal, appoint any company, firm or person or any fluctuating body of persons, whether nominated directly or indirectly by the Board, to be the attorney or attorneys of the Company for such purposes and with such powers, authorities and discretions (not exceeding those vested in or exercisable by the Board under these Articles) and for such period and subject to such conditions as it may think fit, and any such power of attorney may contain such provisions for the protection and convenience of persons dealing with any such attorney as the Board may think fit, and may also authorise any such attorney to sub-delegate all or any of the powers, authorities and discretions vested in him.

Moreover, meetings of the Committee on Conferences maybe required in compliance with paragraph 6 of resolution 35/10 A, by which the General Assembly decided that all proposals affecting the schedule of conferences and meetings made at sessions of the Assembly are to be reviewed by the Committee when administrative implications are being considered under the requirements of rule 153 of the rules of procedure of the Assembly.

(i) The Company may give financial assistance on such terms as the Board thinksfitto directors and bona fide employees of the Company, any of its subsidiaries, any holding company of the Company or any subsidiary of any such holding company in order that they may purchase or subscribe or otherwise acquire shares (fully or partly paid) in the Company or any holding company of the Company and such terms may include a reference that, when a director ceases to be a director of, or an employee ceases to be employed by, the Company or such other company, shares purchased or subscribed or otherwise [...][...]

Regarding women’s rights, it was reiterated that Afghanistan had ratified the Convention on the Elimination of All Forms of Discrimination against Women and had in place a law to protect women from violence, in conformity with the Convention, in order to give women an appropriate share in the Government and social life in Afghanistan.

During their visit, the Working Group found that the challenges faced by people of African descent in Portugal related mainly to their lack of recognition as a specific group in the national policy and legal framework; the lack of recognition of their positive contribution throughout history to the construction and development of the country; the lack of qualitative and quantitativedisaggregated data by racial or ethnic origin; the existence of a circle of poverty, unequal access to education, public services, employment, as well as discrimination in the administration and functioning of the justice system; existence of racial profiling and police violence; underrepresentation in political and institutional decision-making processes, as well as the lack of special measures or affirmative action policies in Portugal for people of African descent or other minorities.

(C) To the extent permittedby andsubject to due compliance with all applicable laws, rules and regulations and to obtaining all necessary consents, if any, required thereunder, the requirements in paragraph (B) of this Article shall be deemed satisfied in relation to any person by sending to the person in any manner not prohibited by the Ordinance and instead of a copy of the Relevant Financial Documents, a summary financial report derived from the [...][...]

In addition, the post of the Chief Security Adviser in Pakistan is proposed to be reclassified to the D-1 level as, in terms of size, complexity and degree of responsibility, in combination with a complex humanitarian emergency, the security management system in Pakistan is considered comparable to a large peacekeeping operation.

Note to the Working Group The Working Group may wish to note that: (a) under option C in paragraph 1, the registry should haveboth numerical and name indexes and searchers should be able to search with one or the other indexing criterion; and (b) paragraph 4 has been inserted for the Working Group to consider the matter of the address of the grantor; and (c) the address of the grantor and secured creditor or its representative has to be part of the record, but not necessarily part of the identifier, except if there is a need for additional information to identify the secured creditor, its representative or the grantor.

The participation of organizations maintaining relations with UNESCO under the “Directives concerning UNESCO’s relations with foundations and similar institutions” (Article IV.2), and of organizations not having official relations with UNESCO, is governed by Rule 7 of the Rules of Procedure of the General Conference which stipulates that “the General Conference, on the recommendation of the Executive Board and by a two-thirds majority of Members present and voting, may admit as observers at specified sessions of the Conference or of its commissions representatives of international non-governmental or semi-governmental organizations”.

When the fair value of unlisted equity securities cannot be reliably measured because (a) the variability in the range of reasonable fair value estimates is significant for that investment or (b) the probabilities of the various estimates within the range cannot be reasonably assessed and used in estimating fair value, such securities are stated at cost less any impairment losses.

Notwithstanding the date on which the Agreement comes into effect, if from the date of this Agreement there is any repeal or amendment to the APCO (other than pursuantto the Government’s proposal to amend the APCO to cap the emissions of the Pollutants and to facilitate the use of emissions trading as described in a Legislative Council Panel on Environmental Affairs Paper reference CB(1) 418/07-08(07) dated 17 December 2007 (“Legislative Proposal”)) or any renewal of or change to any Specified Process Licence (other than to the amount of the Initial Cap orpursuant tothe Legislative Proposal), which has a material effect on the Mechanism or HEC’s emissions performance or compliance with the Total Permissible Emissions, the Mechanism shall not apply to that Applicable Year and any subsequent Applicable Years until HEC and the Government have reached agreement as to the amendments to this Schedule that are required to give continued effect to the Mechanism.

(iv) the dividend (or that part of the dividend in respect of which a right of election has been accorded) shall not be payable in cash on shares in respect whereof the share election has been duly exercised (“the elected shares”) and in lieu thereof shares of the relevant class shall be allotted credited as fully paid up to the holders of the elected shares on the basis of allotment determined as aforesaid and for such purpose the Board shall capitalise and apply out of any part of the undivided profits of the Company (including profits carried and standing to the credit of any reserves or other special account other than the Subscription Rights Reserve) as the Board may determine, such sum as may be required to pay up in full the appropriate number of shares of the relevant class for allotment and distribution to and amongst the holders of the elected shares on such basis.

(b) Any resolution declaring or resolving upon the payment of a dividend or other distribution on shares of any class, whether a resolution of the Company in general meeting or a resolution of the Board, may specify that the same shall be payable or made to the persons registered as the holders of such shares at the close of business on a particular date, notwithstanding that it may be a date prior to that on which the resolution is passed, and thereupon the dividend or other distribution shall be payable or made to them in accordance with their respective holdings so registered, but without prejudice to the rights inter se in respect of such dividend of transferors and transferees of any such shares.

Subsequent to initial recognition, loans and receivables (including trade and other receivables, deposit paid for acquisition of a subsidiary, pledged bank deposits and bank balances and cash) are carried at amortisedcost using the effective interest method, less any identified impairment losses (see accounting policy on impairment loss on financial assets below).

(C) If, in the opinion of the Board, any dividend or other distribution in respect of shares or any other payment to be made by the Company to any shareholder is of such a small amount as to make payment to that shareholder in the relevant currency impracticable or unduly expensive either for the Company or the shareholder then such dividend or other distribution or other payment may, at the discretion of the Board, be paid or made in the currency of the country of the relevant shareholder (as indicated by the address of such shareholder on the register).
