respect of shares or any other payment to be made by the Company to any shareholder is of such a small amount as to make payment to that shareholder in the relevant currency impracticable or unduly expensive either for the Company or the shareholder then such dividend or other distribution or other payment may, at the discretion of the Board, be paid or made in the currency of the country of the relevant shareholder (as indicated by the address of such shareholder on the register).

At its 37th plenary meeting, on 27 July 2009, the Economic and Social Council took note of the decision of the Committee on Non-Governmental Organizations to submit, at its resumed session, a list of non-governmental organizations that had failed to submit their quadrennial reports for two or more consecutive periods, for suspension of their consultative status, after having confirmed that the Secretariat had sent final reminders to those organizations with outstanding reports and had requested each to submit a report covering the preceding four-year period by 1 May 2009, and that the permanent missions of the Member States in which the headquarters of the non-governmental organizations concerned are based had been notified of the final reminders, which clearly indicated the consequent recommendations the Committee would make to the Council should those non-governmental organizations fail to meet the deadline.

(B) If any member shall surrender for cancellation a share certificate representing shares held by him and request the Company to issue in lieu two or more share certificates representing such shares in such proportions as he may specify, the Board may, if it thinks fit, comply with such request subject to the payment of such sum (not exceeding, in the case of any share capital listed on a stock exchange in Hong Kong, the maximum amount prescribed or permitted from time to time by such stock exchange, and, in the case of any other share capital, such sum in such currency as the Board may from timeto time determine to be reasonable in the territory in which the relevant register is situate, or otherwise in each case such other sum as the Board may from time to time determine) for every certificate after the first, as the Board shall from time to time determine.

That commentary might suggest, for example, that (f) the location from which financing was organized or authorized or the location of the debtor’s primary bank, would only be important where the bank controlled the debtor; that (k) the location of employees, might be important where employees could be future creditors, or less important on the basis that protection of employees is more an issue of protecting the rights of interested parties, is not relevant to the COMI analysis and is, in any event addressed by article 22 of the Model Law; that (e) the jurisdiction whose law would apply to most disputes, was not sufficiently important to be a determining factor and could, in any event, be a jurisdiction unrelated to the place from which the debtor was managed or conducted its business, factors that were both considered to be more important than (e).

(b) so far as it is aware at the end of the relevant period, the Company has not at any time during the relevant period received any indication of the existence of the Member who is the holder of such shares or of a person entitled to such shares by death, bankruptcy or operation of law; and (c) the Company, if so required by the rules governing the listing of shares on the Designated Stock Exchange, has given notice to, and caused advertisement in newspapers in accordance with the requirements of, the Designated Stock Exchange to be made of its intention to sell such shares in the manner required by the Designated Stock Exchange, and a period of three (3) months or such shorter period as may be allowed by the Designated Stock Exchange has elapsed since the date of such advertisement.

For example, investigations on anti-corruption with regard to big international companies have sometimes led to diminishing aid from countries where those companies are based, hence sending the signal that transparency is expected of local officials but should not apply to multinationals.

Bilateral agreements on international road transport normally require carriers to observe the domestic standards of host countries, which are mostly different from the countries where the carriers are registered.

(E) Where arrangements are under consideration concerning the appointment (including the arrangement or variation of the terms thereof, or the termination thereof) of two or more Directors to offices or places of profit with the Company or any other company in which the Company is interested, a separate resolution may be put in relation to each Director and in such case each of the Directors concerned shall be entitled to vote (and be counted in the quorum) in respect of each resolution except that concerning his own appointment (or the arrangement or variation of the terms thereof, or the termination thereof) and except (in the case of an office or place of profit with any such other company as aforesaid) where the other company is a company in which the Director together with any of his associates owns five (5) per cent or more of the issued shares of any class of the equity share capital of such company or of the voting rights of any class of shares of such company.

Turning to the Advisory Committee’s report on a strengthened and unified security management system for the United Nations (A/64/7/Add.15), which concerned the revised estimates under various sections of the proposed programme budget for 2010-2011 as well as the budget for the International Criminal Tribunal for Rwanda, she said that the Advisory Committee noted that phase I of the standardized access control project (PACT I) had been fully implemented at all locations except the Economic Commission for Africa (ECA), the Economic and Social Commission for Western Asia (ESCWA) and the International Tribunal for the Former Yugoslavia; in the Tribunal’s case, the project would be discontinued in view of the Tribunal’s impending closure.
