The Committee has previously noted that some of those posts are subject to a quick turnover and has stressed the importance of making efforts to obtain the sustained commitment of those entities to provide assignments of seconded personnel of longer duration, in order to ensure stability of functions (A/64/7, para. (F) If the Company or any of its subsidiaries shall in any way modify the rights attached to any share or loan capital so as wholly or partly to convert or make convertible such share or loan capital into, or attach thereto any rights to acquire, Ordinary Shares, the Company shall appoint an approved merchant bank to consider whether any adjustment to the Conversion Price is appropriate (and if such approved merchant bank shall certify that any such adjustment is appropriate the Conversion Price shall be adjusted accordingly).

These matters include the questions whether: (a) the grantor has to be the same person as the borrower; (b) the security agreement secures all the relevant obligations; (c) the security right is subject to any legal restrictions; (d) there must be a clear payment schedule in the credit; (e) there are any special rights or obligations (such as rights of way or rights of access to a site); (f) there are any special obligations for the preservation of encumbered assets; (g) there are any obligations not to transfer the encumbered asset or create another security right in it; (h) ways in which the grantor and other interested parties could be notified in the case of default and enforcement; (i) there should be a reference to extrajudicial enforcement; and (j) there should be a dispute resolution clause.

(c) Hang Seng will have the discretion whether to supply a Card Account Statement if (i) there are no entries covering the relevant statement period and no outstanding balance on the Credit Card Account, the Syndicate Account or the Partnership Account (as the case may be) since the last Card Account Statement or (ii) where the Card has been cancelled or terminated by Hang Seng or the Cardmember for whatever reason or where the Syndicate or the Partnership has been dissolved and there is a debit balance in the Credit Card Account, the Syndicate Account or the Partnership Account (as the case may be) overdue for such period considered by Hang Seng to be unacceptable.

It will take advantage of the presence of the regional EPA offices in the Governorates and utilize their services in the implementation of the various components in their region.

(8) To carry on business as capitalists, financiers, concessionaires, investment houses, fund managers and merchants, and to undertake and carry on and execute all kinds of financial, commercial, advisory, trading and other operations, and to advance, deposit, lend and borrow money, securities, commodities and property to and with such persons and on such terms as may seem expedient; to discount, buy, sell and deal in currencies (spot or forward), bullion, bills, notes, debentures, warrants, coupons, stocks, shares, options, unit in unit trust and all forms of investments or participation rights in investments and investment vehicles, including joint ventures, partnerships and limited partnerships and all forms of securities and documents, including without limitation letters of credit, bills of lading, bills of exchange and promissory notes.

Among the most important are the secular rise in food prices and the resulting nutrition scarcity; extreme volatility in commodity prices during the past four years, which has had negative cumulative effects on growth and has threatened to unwind hard-earned developmental successes, not least by inducing inflation in least developed countries that were otherwise following sound macroeconomic policies; lingering effects of the international financial crisis and subsequent adjustments; and undermining debt sustainability by increasing debt levels through borrowing for budgetary support, and by lowering growth prospects for many least developed countries.

At that session, the Commission agreed that: (i) any future review should be based on the previous deliberations on the subject in the Commission, the observations by France and the United States (A/CN.9/635 and A/CN.9/639, respectively), and the note by the Secretariat (A/CN.9/638 and addenda), which was considered as providing a particularly important historical overview of the establishment and evolution of UNCITRAL rules of procedure and methods of work; (ii) the Secretariat should be entrusted with the preparation of a working document describing current practices of the Commission with the application of rules of procedure and methods of work, in particular as regards decision-making and participation of non-State entities in the work of UNCITRAL, distilling the relevant information from its previous note (A/CN.9/638 and addenda); this working document would serve for future deliberations on the subject in the Commission in formal and informal settings.

While the leaders reiterate their condemnation of all types of terrorism, on whatever pretext, and renew their commitment to confront hotbeds of terrorism anywhere in the Arab world and criminalize the payment of ransoms to terrorists or terrorist groups or organizations, they also completely reject all attempts by certain foreign States and parties and, in particular, certain Western circles, to intervene in the internal affairs of Arab States on pretexts that include the protection of minorities, which demonstrate their ignorance of the nature, causes and goals of terrorism, from which no country in the world is exempt.
