These deductions include interest on borrowed capital of up to 8% p.a., a charge at 8% p.a. on the average balance of the Development Fund; interest up to a rate of 8% p.a. on the funds from growth in consumers' deposits after 30 September 1998 for CLP and after 31 December 1998 for HEC and excess capacity adjustment (if any).

The amount was secured, bearing interest at 6% per annum and was fully repaid as at 31 December 2005.

If Completion does not take place otherwise than as a result of the sole default of Star International, Star International may forthwith terminate the Agreement by giving notice of termination in writing to the Vendor to such effect, in which event the Vendor shall forthwith refund, in addition to the Deposit, the Further Deposit, with interest of 3% per annum calculated based on the actual number of days elapsed and on the basis of a 365-day year, to Star International and neither party shall take any action to claim for damages or to enforce specific performance or any other rights and remedies save for any antecedent breaches of the terms thereof.

21. 21.1 If any member fails to pay the whole or any part of any call or instalment on or before the day appointed for the payment thereof, the Directors may at any time thereafter during such time as the call or any part thereof remains unpaid serve a notice on him requiring him to pay such call or instalment or such part thereof as remains unpaid together with interest at 10 per cent per annum and any expenses that may have accrued by reason of such non-payment.

If a sum called in respect of a share is not paid before or on the day appointed for payment thereof, the person from whom the sum is due shall pay interest upon the sum at such rate not exceeding, without the sanction of the Company in general meeting, 20 per cent per annum as the Directors shall fix from the day appointed for the payment thereof to the time of the actual payment but the Directors shall be at liberty to waive payment of that interest wholly or in part.

The total consideration shall be a sum of HK$1,645,530,000 to be satisfied in cash within eighteen months upon Completion or any other date to be mutually agreed by Sino-i and the Company together with interest accrued on the Consideration (or any part thereof) remains unpaid following Completion at a rate of 8% per annum.

If a sum called in respect of a share is not paid before or on the day appointed for payment thereof, the person from whom the sum is due shall pay interest on the amount unpaid from the day appointed for payment thereof to the time of actual payment at such rate (not exceeding twenty per cent.

A person whose shares have been forfeited shall cease to be a member in respect of the forfeited shares, but shall, notwithstanding, remain liable to pay to the Company all moneys which, at the date of forfeiture, were payable by him to the Company in respect of the shares, together with (if the Board shall in its discretion so require) interest thereon from the date of forfeiture until payment at such rate not exceeding twenty per cent. per annum as the Board may prescribe, and the Board may enforce the payment thereof if it thinks fit, and without any deduction or allowance for the value of the shares at the date of forfeiture, but his liability shall cease if and when the Company shall have received payment in full of all such moneys in respect of the shares.

As at 31st December 2012, outstanding interest rate swap contracts comprised nominal principal amounting to US$200,000,000 (31st December 2011: US$200,000,000) in total whereby the Group agreed to pay the banks interest at floating rates ranging from 105 basis points to 116 basis points (31st December 2011: 105 basis points to 116 basis points) above 6-month LIBOR in return for receiving interests from the banks at a fixed interest rate of 5.875% per annum (31st December 2011: 5.875%).
