Based on the information that is publicly available to, and within the knowledge of, the Directors, it is confirmed that there is sufficient public float of at least 25% of the Company’s issued shares as at 26 March 2010.

Save as disclosed above, as at 31 December 2009, noneof the Directors and chief executives of the Company had any interests and short positions in the shares or underlying shares or debentures of the Company or any of its associated corporations (within the meaning of Part XV of the SFO) that was required to be recorded pursuant to section 352 of the SFO, or as otherwise notified to the Company and the Stock Exchange pursuant to the Model Code.

The accumulative share of losses has exceeded the Group’s interest in the jointly controlled entity and hence the Group did not recognise the excess amount and has reduced its investment cost to zero as at 31 December 2011.

The Company would seek approval of the Independent Shareholders of the Continuing Connected Transactions and the Annual Cap for each of the threefinancial years ending 31 December 2008, 2009 and 2010 pursuant to Rules 14A.35 and 14A.48 of the Listing Rules.
