(D) The Company may upon the recommendation of the Board by ordinary resolution resolve in respect of any one particular dividend of the Company that notwithstanding the provisions of paragraph (A) of this Bye-law a dividend may be satisfied wholly in the form of an allotment of shares credited as fully paid up without offering any right to shareholders to elect to receive such dividend in cash in lieu of such allotment.

In response to Dr Priscilla LEUNG's concern about the regulation of the use and transfer of personal data in corporate mergers, Acting Deputy Privacy Commissioner for Personal Data advised that as corporate mergers were common commercial activities, the Bill proposed to exempt from Data Protection Principle 3 the transfer or disclosure of personal data for use in due diligence exercises in connection with mergers provided that (a) the personal data to be transferred were necessary; (b) the data transferee would provide the same products or services to the data subjects as did the original data user; (c) the consent of the data subjects to the data transfer could not be obtained despite the taking of all reasonably practicable steps; and (d) the data transfer did not include sale of the data.

All acts bona fide done by any meeting of the Board or by any such committee or by any person acting as a Director shall, notwithstanding that it shall be afterwards discovered that there was some defect in the appointment of such Director or persons acting as aforesaid or that they or any of them were disqualified, be as valid as if every such person had been duly appointed and was qualified to be a Director or member of such committee.

Liquidity risks may arise from financial assets which can not be sold as soon as possible at fair value, or the situation where the other party is unable to pay its contractual obligations, or debt obligations that mature earlier, or the unexpected insufficient cash flow.

As we know, all the British Government would offer at that time to the Hong Kong British subjects was by reiterating the British memorandum to the Joint Declaration, which stated that BDTCs would retain an appropriate status which, without conferring on them the right of abode in the United Kingdom, would entitle them to continue to use passports issued by the British Government.

Despite the Group having been granted the right of first refusal for the development of Phase II of the WIT Port by the PRC joint venture partners who are Wuhan government agencies at inception of the WIT project, the signing of the Heads of Agreement in 2005 (together with a supplemental agreement in April 2007) and the subsequent approval of the development plan by the Central Government for the Group to take a 44% equity interest in the Phase II development with the rest of the interest to be taken up by the two PRC Joint Venture partners of WIT, negotiations of the terms of the joint venture agreement have grinded to a halt resulting in the Group not being able to participate in the development of the project as intended.

The service of a witness statement under this rule shall not, unless expressly so stated by the party serving the same, be treated as a notice under that Ordinance; and where a statement or any part thereof would be admissible in evidence by virtue only of that Ordinance, the appropriate notice under Part III or IV of this Order shall be served with the statement notwithstanding any provision of those Parts as to the time for serving such a notice.

Any notice or document delivered or sent by post or left at the registered address or the address supplied by him for the sending of notices or documents to him of any member in pursuance of the Bye-Laws shall, notwithstanding that such member be then deceased or bankrupt or that any other event has occurred and whether or not the Company has notice of his death, bankruptcy or such other event, be deemed to have been duly served in respect of any registered shares whether held solely or jointly with other persons by such member until some other person be registered in his stead as the holder or joint holder thereof and such service shall for all purposes of the Bye-Laws be deemed a sufficient service of such notice or document on all persons interested (whether jointly with or as claiming through or under him) in the share.

When such transactions are aggregated for the purpose of deriving at the applicable percentage ratios as defined under Rule 14.07 of the Listing Rules pursuant to Rules 14A.25 and 14A.26 of the Listing Rules, the Board anticipates that the applicable percentage ratios as defined under Rule 14.07 of the Listing Rules in respect of the annual caps for the transactions contemplated under the Changzhou ZKLF Purchase Agreement, Chengdu Yindile Purchase Agreement and Existing Purchase Agreements, in aggregate, will exceed 0.1% but will be less than 5% and the Changzhou ZKLF Purchase Agreement and Chengdu Yindile Purchase Agreement are subject to the reporting and announcement requirements set out in Rules 14A.45 to 14A.47, annual review requirements set out in Rules 14A.37 to 14A.40 but exempt from the Independent Shareholders’ approval requirements under Chapter 14A of the Listing Rules.
