The key factors that facilitated the smooth implementation by SIAP of all planned activities for 2009 were: (a) the strong support of the host Government, Japan, which continued to provide the bulk of cash contributions, administrative and infrastructure support, and fellowships for all four SIAP-Japan International Cooperation Agency (JICA) Tokyo Metropolitan Area (TMA)-based training courses; (b) the strong support of many other member States: cash and in kind contributions from those member States increased in 2009 compared with their level in 2008; and (c) close collaboration with United Nations agencies and international organizations, which provided the opportunity to combine efforts and address effectively the diverse capability-building needs of developing member States in the region.

ITC offered the highest number of trainings (600) and Human rights awarded the highest number of fellowships and grants (138).

Other concerns included heavy metals, such as lead, cadmium, migrated from ceramic and metal ware, and phthalates from plastic bags, as well as higher level of overall migration from food contact materials.

(F) Subject to the Ordinance and to the next paragraph of this Article, no Director or proposed or intending Director shall be disqualified by his office from contracting with the Company, either with regard to his tenure of any office or place of profit or as vendor, purchaser or in any other manner whatever, nor shall any such contract or any other contract or arrangement in which any Director is in any way interested be liable to be avoided, nor shall any Director so contracting or being so interested be liable to account to the Company or the members for any remuneration, profit or other benefits realised by any such contract or arrangement by reason of such Director holding that office or of the fiduciary relationship thereby established.

(C) A certificate or report by the Auditors of the Company as to whether or not the Subscription Right Reserve is required to be established and maintained and if so the amount thereof so required to be established and maintained, as to the purposes for which the Subscription Right Reserve has been used, as to the extent to which it has been used to make good losses of the Company, as to the additional nominal amount of shares required to be allotted to exercising warrantholders credited as fully paid, and as to any other matter concerning the Subscription Right Reserve shall (in the absence of manifest error) be conclusive and binding upon the Company and all warrantholders and shareholders.

Any modification, amendment or addition to the project or the project agreement, including but not limited to change of project duration, project scope, budget or cashflow projection, or replacement of the project coordinator or deputy project coordinator, shall require prior written approval by DGTI.

The absence of investor confidence can have financially damaging effects; investors may be discouraged from taking a long term interest in the company which may, in turn, erode investor support for fund raising in the primary market and may lead to a higher cost of capital for the listed company; liquidity and valuations may be adversely affected if investors cannot be confident that they will be treated equitably and decide to avoid the securities of certain listed companies.
