That this Council urges the Government to comprehensively review the West Kowloon Cultural District development project, consider the ‘software’ contents before planning the cultural facilities, extend the deadline for submission of development proposals, openly and thoroughly consult the cultural sector, professional bodies, the real estate sector, the Legislative Council, the public and relevant organizations, and uphold the ‘people-oriented’, ‘partnership’ and ‘community-driven’ principles put forward by the Culture and Heritage Commission for the West Kowloon development in formulating a development and operation plan that is open, fair and proper; and in the process of development, the Government should also facilitate a partnership between developers and the cultural sector, so as to allow the latter to participate in the planning and future operation of the facilities in the district.

c. any one director of the Company be and is hereby authorised to execute the Agreement for and on behalf of the Company (whether by hand or under the common seal of the Company) and the directors of the Company be and are hereby authorised to do all such acts and things as they in their absolute discretion deem necessary, desirable or expedient to implement, give effect to and/or complete the Agreement and the transactions contemplated thereunder and, where required, any amendment of the terms of the Agreement as required by, or for the purposes of complying with all applicable laws, rules and regulations.

(v) To obtain any order ordinance charter or Act of Parliament for enabling the Company to carry any of its objects into effect or for effecting any modification of the Company’s constitution or for any other purpose which may seem expedient and to oppose any proceedings or applications which may seem calculated directly or indirectly to prejudice the Company’s interests.

(d) To subscribe for, conditionally or unconditionally, to underwrite, issue on commission or otherwise, take, hold, deal in and convert stocks, shares and securities of all kinds and to enter into partnership or into any arrangement for sharing profits, reciprocal concessions or cooperation with any person or company and to promote and aid in promoting, to constitute, form or organise any company, syndicate or partnership of any kind, for the purpose of acquiring and undertaking any property and liabilities of the Company or of advancing, directly or indirectly, the objects of the Company or for any other purpose which the Company may think expedient.

Reflecting the more robust stance than the 1994 provisions, enacting States are encouraged in this Guide to incorporate all the provisions of the chapter to the extent that their legal system so permits (in this respect, the guidance replaces the suggestion in the footnote to the 1994 inviting States to use the articles on review to measure the adequacy of existing review procedures).

Passage of the resolution would set an unfortunate precedent.

The Career Support and Development Centre was established with the mission to facilitate people with visual impairment to i) Overcome difficulties brought forth by their visual impairment through training on the use of latest adaptive equipment and information techniques, ii) better integration and participation in Society through identifying employment opportunities development of new employment skills and iii) Enhance better quality of life through provision of high quality adaptive equipment at a very reasonable cost.

(3) The Council may, on the recommendation of the Senate, form, dissolve or reform such institutes, schools, centres, units and other sub-divisions of studies and learning as it may from time to time consider desirable.

The Board may settle as it considers expedient any difficulty which arises in relation to any consolidation and division under the last preceding Bye-law and in particular but without prejudice to the generality of the foregoing may issue certificates in respect of fractions of shares or arrange for the sale of the shares representing fractions and the distribution of the net proceeds of sale (after deduction of the expenses of such sale) in due proportion amongst the Members who would have been entitled to the fractions, and for this purpose the Board may authorise some person to transfer the shares representing fractions to their purchaser or resolve that such net proceeds be paid to the Company for the Company’s benefit.

The Board may settle, as it considers appropriate, any difficulty arising in regard to any distribution under the last preceding Article and in particular may issue certificates in respect of fractions of shares or authorise any person to sell and transfer any fractions or may resolve that the distribution should be as nearly as may be practicable in the correct proportion but not exactly so or may ignore fractions altogether, and may determine that cash payments shall be made to any Members in order to adjust the rights of all parties, as may seem expedient to the Board.

(13) To lend any moneys or assets of the Company to such persons, firms or companies and on such terms [...] [...]

The UCC has gained wide acceptance and is given substantial weight by the courts in their interpretation of matters of law but does not constitute the law in any State until it has been enacted therein with such amendments as the State legislature deems advisable.

A lack of transparency in that respect might (a) undermine trust and political support for individual public authorities and Government and State institutions in general, thus endangering the efficacy of public interventions and risking political instability; (b) provoke significant redistributions of wealth in ways that not only are unfair and, in some cases, possibly illegal, but also favour rent-seeking behaviour, act against fair competition and provide the wrong incentives for efficiency, innovation and competitiveness in general; and (c) prolong outdated practices and political institutions, including co-optation, corruption and the capture of public policies by specific industries or groups, delaying the modernization of State institutions and impeding overall economic, social and political development over the longer term.
