[...] [...] rental offer, adjusted the amount of any quotation by arrangement with any other person, made any arrangement with any other person about whether or not [I/we/our company] or that other person should submit aForm of Tender or otherwise colluded with any other person in any manner whatsoever and undertake that at any time thereafter in the letting of the above premises until the bidder is notified by HD of the outcome of the letting exercise and other than the Excepted Communications referred to in the remark below of this Form of Tender [I/we/our company] will notcommunicate to any person other than HD the amount of any rental offer, adjust the amount of any quotation by arrangement with any other person, make any arrangement with any other person about whether or not [I/we/ourcompany]or that other person should bid or otherwise collude with any other person in any manner whatsoever.

Through the Tai Po Earth Station, we offer a range of value-added services including multiple channels per carrier (MCPC) platforms, uplink, traffic turn-around, emergency uplink backup and equipment hosting services to our valued customers.

(b) To be valid, a form of proxy in the prescribed form together with the power of attorney or other authority, if any, under which it is signed, or a certified copy of such power or authority, must be deposited at the Company’s branch share registrar in Hong Kong, Computershare Hong Kong Investor Services Limited, at Shops 1712-1716, 17/F, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong not less than 48 hours before the time fixed for holding the meeting (or any adjourned meeting).

(d) To hold in trust as trustees or nominees of any person or persons, company, corporation, or any charitable or other institution in any part of the world and whether incorporated or not and to manage, deal with and turn to account, any real and personal property of any kind, and in particular, shares, stocks, debentures, debenture stock, notes, securities, options, policies, book debts, claims and choses-in-action, lands, buildings, hereditaments, business concerns and undertakings, mortgages, charges, annuities, patents, licences, and any interest in any real or personal property, and any claims against such propertyor against any person, firmor corporation.

(7) To acquire, by purchase or otherwise or undertake, or otherwise to participate in, deal in and turn to account the whole or any part of the business, goodwill, assets, property and liabilities of any person, firm or company carrying on or proposing to carry on any business which the Company is authorised to carry on or possessed of property suitable for the purposes of the Company.

Notwithstanding the date on which the Agreement comes into effect, if from the date of this Agreement there is any repeal or amendment to the APCO (other than pursuant to the Government’s proposal to amend the APCO to cap the emissions of the Pollutants and to facilitate the use of emissions trading as described in a Legislative Council Panel on Environmental Affairs Paper reference CB(1) 418/07-08(07) dated 17 December 2007 (“Legislative Proposal”)) or any renewal of or change to any Specified Process Licence (other than to the amount of the Initial Cap or pursuant to the Legislative Proposal), which has a material effect on the Mechanism or HEC’s emissions performance or compliance with the Total Permissible Emissions, the Mechanism shall not apply to that Applicable Year and any subsequent Applicable Years until HEC and the Government have reached agreement as to the amendments to this Schedule that are required to give continued effect to the Mechanism.

3.4 To stand surety for or to guarantee, indemnify,support orsecure the performance of all or any of the obligations of any person, firm or company whether or not related or affiliated to the Company in any manner and whether by personal covenant or by mortgage, charge or lien upon the whole or any part of the undertaking, property and assets of the Company, both present and future, including its uncalled capital or by any such method and whether or not the Company shall receive valuable consideration therefor.

(2) To be valid, forms of proxy and the power of attorney or other authority (if any) under which it is signed or a notarially certified copy of that power of attorney must be deposited at the head office and principal place of business of the Company at 11th Floor, High Fashion Centre, 1–11 Kwai Hei Street, Kwai Chung, New Territories, Hong Kong not less than 48 hours before the time appointed for holding the meeting or any adjournment thereof.

The new labelling requirements in prepackaged food products included declaring the presence of the eight most common allergy causing substances, labelling the functional class of food additive and its specific name or its identification number under the International Numbering System for Food Additives, and labelling of date format in a more flexible manner.

(D) Any Director may act by himself or his firm in a professional capacity for the Company and he or his firm shall be entitled to remuneration for professional services as if he were not a Director; provided that a Director or his firm shall not act as auditors to the Company.

Whether or not you intend to be present and vote at the AGM, you are requested to complete the enclosed form of proxy in accordance with the instructions printed thereon and return it to the Company’s Hong Kong branch share registrar, Computershare Hong Kong Investor Services Limited, at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong as soon as possible and in any event not less than 48 hours before the time appointed for the holding of the AGM or any adjournment thereof.

(a) To invest the moneys of the Company in or otherwise to acquire and hold, and to act as agents for the issue of, shares, stocks, debentures, debenture stock, scrip, bonds, obligations, notes, securities and investments issued or guaranteed by any company, corporation, trust, firm or personconstituted orcarrying on business in any part of the world, and in the funds or loans or other securities and investments of or issued or guaranteed by any government, state, dominion, public body or authority, supreme, municipal, local or otherwise in any part of the world and to transact all kinds of agency business and to collect debts and negotiate loans.

(n) To assist, financially or otherwise, corporations (including subsidiaries and associates), firms, syndicates, associations, charitable institutions, individuals, and others and in connection therewith or with any other transaction or operation whatsoever, to give or enter into any guarantee, indemnity, undertaking or other obligation for the payment of money or for the performance of any other undertaking or obligation; without limiting the generality of the - 3 foregoing, the Company may secure any such guarantee, indemnity, undertaking or obligation by any debenture, mortgage, charge or lien over its assets and undertakings or any part thereof.

For the purposes of this Bye-law, a general notice to the Board by a Director to the effect that (a) he is a shareholder of a specified company or firm and is to be regarded as interested in any contract or arrangement which may after the date of the notice be made with that company or firm or (b) he is to be regarded as interested in any contract or arrangement which may after the date of the notice be made with a specified person who is connected with him, shall be deemed to be a sufficient declaration of interest under this Bye-law in relation to any such contract or arrangement; provided that no such notice shall be effective unless either it is given at a meeting of the Board or the Director takes reasonable steps to secure that it is brought up and read at the next Board meeting after it is given.

(3) According to the No Objection Letter dated 21 March 2007 issued by The Hong Kong Special Administrative Region by the District Lands Office / Tsuen Wan and Kwai Tsing registered vide Memorial No.07032802020015, Unit G01 on Ground Floor of Tower A may be used for non-residential purposes (excluding hotel, petrol filling station and residential care home) for the lifetime of the existing building.

I/We hereby further authorize HA to carry out matching procedures as defined under the Personal Data (Privacy) Ordinance to compare (whether by manual means or otherwise) the personal data in this Form of Tender with *my/our personal data collected for any other purpose by HA for investigation and verification and such comparison may be used for the purpose of taking adverse action against *me/us.

(5) To manage any buildings, whether belonging to the Company or not, or let the same or any part thereof for any period and at such rent and on such conditions as the Company shall think fit; to collect the rent and income and to supply to tenants and occupiers and others light, heat, air-conditioning, refreshments, attendants, messengers, waiting rooms, reading rooms, lavatories, laundry facilities, electric conveniences, garages, recreation facilities and other advantages which from time to time the Company shall consider desirable, or to provide for such management, letting and advantages as aforesaid by employing any person,firm orcompany to carry out or to supply the same on such terms as the Company may think fit.
