(A) All unissued shares and other securities of the Company shall be at the disposal of the Directors and they may offer, allot (with or without conferring a right of renunciation), grant options over or otherwise dispose of them to such persons, at such times, for such consideration and generally on such terms (subject to Article 9) as they in their absolute discretion think fit, but so that no shares shall be issued at a discount.

Recent examples of issues that were referred to the Commission for advice included the opening-up arrangement for agreement officers’ positions, the language proficiency requirements for appointment to the civil service, the consultation document on further development of the political appointment system, the punishment framework for officers under the Civil Service Provident Fund Scheme, and the review of post-service outside work for directorate civil servants.
