Re-registration is required if there is any change in product properties, raw materials and/or production process which may affect its performance with respect to either food safety or degradability.

3.1.3 Shareholders shall be provided with designated email addresses and enquiry lines of the Company in order to enable them to make any query in respect of the Company.

i. To create a more user-friendly environment, the Government should adopt a single and personalized “e-account” system on government services, under which individual citizens will be offered a single user account with sound security mechanism to access multiple government services.

Notwithstanding the date on which the Agreement comes into effect, if from the date of this Agreement there is any repeal or amendment to the APCO (other than pursuant to the Government’s proposal to amend the APCO to cap the emissions of the Pollutants and to facilitate the use of emissions trading as described in a Legislative Council Panel on Environmental Affairs Paper reference CB(1) 418/07-08(07) dated 17 December 2007 (“Legislative Proposal”)) or any renewal of or change to any Specified Process Licence (other than to the amount of the Initial Cap or pursuant to the Legislative Proposal), which has a material effect on the Mechanism or HEC’s emissions performance or compliance with the Total Permissible Emissions, the Mechanism shall not apply to that Applicable Year and any subsequent Applicable Years until HEC and the Government have reached agreement as to the amendments to this Schedule that are required to give continued effect to the Mechanism.

Increasing both the number of food items and the number of samples per individual food commodity for laboratory analysis could provide a more comprehensive coverage and a more precise estimate of the range and average EC concentration of fermented foods in the Hong Kong market.

(k) Generally to purchase take on lease or in exchange hire or otherwise acquire any real and personal property and any rights or privileges which the Company may think necessary or convenient for the purposes of its business and in particular any land buildings easements machinery plant and stock-in-trade.

The Directors may from time to time and at any time by power of attorney or otherwise appoint any company, firm or person or any fluctuating body of persons, whether nominated directly or indirectly by the Directors, to be the attorney or attorneys of the Company for such purposes and with such powers, authorities and discretions (not exceeding those vested in or exercisable by the Directors under the Bye-Laws) and for such period and subject to such conditions as they may think fit and any such power of attorney may contain such provisions for the protection and convenience of persons dealing with any such attorney as the Directors may think fit and may also authorise any such attorney to sub-delegate all or any of the powers, authorities and discretions vested in him.

(e) The common law rules governing the sale of property or goods to a minor should be partly replaced by statute so that a minor can be required by a court to transfer to the supplier any property acquired by the minor under an unenforceable or repudiated contract (para. 3.8.6).

(i) To establish and support or aid in the establishment and support of associations institutions funds trusts and conveniences calculated to benefit employees or ex-employees of the Company or its predecessors in business or the dependants or connections of such persons and to grant pensions and allowances and to make payments towards insurance and to subscribe or guarantee money for charitable or benevolent objects or for any exhibitions or for any public general or useful object.

The property itself must still be in the hands of the minor and thus the doctrine is of little assistance if the property in question is a loan of money as opposed to some identifiable goods.

(D) the Dividend (or that part of the Dividend in respect of which a right of election has been accorded) shall not be payable on Shares in respect whereof the Share election has been duly exercised ("the elected Shares") and in lieu thereof Shares shall be allotted credited as fully paid to the holders of the elected Shares on the basis of allotment determined as aforesaid and for such purpose the Board shall capitalise and apply out of any part of the undivided profits of the Company or any part of any of the Company’s reserve accounts (including any special account, contributed surplus account, share premium account and capital redemption reserve fund (if there be any such reserve)) as the Board may determine, a sum equal to the aggregate nominal amount of the Shares to be allotted on such basis and apply the same in paying up in full the appropriate number of Shares for allotment and distribution to and amongst the holders of the elected Shares on such basis.

(29) To purchase by any other means acquire other property for any estate or interest whatsoever and any rights privileges or easements over or in respect of any property and any buildings, offices, works, machinery, plant or things and any personal property or rights whatsoever which may be necessary for or may be conveniently used with, or may enhance the value of any other property of the Company.

(c) The Board may do all acts and things considered necessary or expedient to give effect to any capitalisation pursuant to the provisions of paragraph (a) with full power to the Board to make such provisions as it thinks fit in the case of shares becoming distributable in fractions (including provisions whereby, in whole or in part, fractional entitlements are aggregated and sold and the net proceeds distributed to those entitled, or are disregarded or rounded up or down or whereby the benefit of fractional entitlements accrues to the Company rather than to the members concerned).

The reasonableness of public access is to be considered case by case in order to strike a balance between public appreciation of the building and allowing the building to maintain its normal operation.

The goodwill on acquisition of the above business represents value obtainable from synergies with the Group and opportunities for the Group to bring its expertise to the proposition and access to the region of PRC that are provided by the above newly acquired business.

The key concerns raised are about the vehicular and pedestrian traffic in the area, possible adverse impact on Star Ferry’s business, and worries about the inconvenience of the long distance of the new bus terminal from the TST Star Ferry Pier.

4.1 We shall, subject to the provisions of this Clause 4, provide the Internet/Phone Banking Services and facility from time to time through any internet site or telephone system installed, operated and/or maintained by or on behalf of us to enable you to give instructions to and communicate with us on-line or by phone for the purposes of effecting banking, investment, financial and other transactions and dealings of various nature and obtaining services, products, information, goods, benefits and privileges from us and/or Associate.

In addition to other investment restrictions, for so long as an AGIF Subfund remains authorised under the Hong Kong Securities and Futures Ordinance, and unless otherwise approved by the Hong Kong Securities and Futures Commission, it is the intention of the board of directors of AGIF that all reasonable steps will be taken in accordance with Luxembourg law and regulations to operate or procure the operation of the AGIF Subfund having regard to the general investment principles of Chapter 7 and Chapter 8.2 of the SFC Code on Unit Trusts and Mutual Funds.

If the Additional Unit is commissioned when the reserve capacity available before such Commissioning exceeds the capacity of the largest unit (the number of units shall be subject to review and agreement of the Government and HEC in future) on HEC’s system plus the hot standby reserve requirement, the Additional Unit fails the RC test.

(6) To construct and maintain or contribute to or procure the construction or maintenance of roads, tramways, embankments, bridges sewers, parks, pleasure-grounds, schools, churches, markets, factories workshops, reading-rooms, baths, and other buildings, works and conveniences which the Company may think directly or indirectly conducive to the development of any property in which it is interested either as owners, lessees, contractors or otherwise.

The Applicant and all the listed household members on this Application Form for Change of Tenant are advised to keep the supporting documents relating to the data contained herein for future reference.

24.18 Any general meeting sanctioning a dividend may make a call on the members of such amount as the meeting resolves, but so that the call on each member shall not exceed the dividend payable to him, and so that the call be made payable at the same time as the dividend, and the dividend may, if so arranged between the Company and the member, be set off against the call.

g. To provide an easier and more convenient access of Government information to researchers, students, and the general public, the Government should digitalize all Government documents that are already opened to public, and provide a one-stop portal for government document retrieval, similar to the “Full List of Particular Policy Issues” in the Legislative Council website.

To facilitate user to compose the WPIS compliant data file by means of an ASCII text editor, e.g. the Notepad, each WPIS data schema file except the data conversion protocol file will have a data file template created and distributed in the library of the WPIS Schemas and Templates.

We / I* further give our / my* consent to any Government Policy Bureaux and Departments or private bodies to release our / my* personal data to the SFAA for the purpose of processing this application.

(1) If the existing tenancy is granted under the Grant of New Tenancy Policy, upon approval of the change of tenant, my household is required to continue to declare the household income and assets every 2 years under the Grant of New Tenancy Policy (except that all my household members are aged 60 or above), so as tofacilitate determination of the payable rent.

In this respect, if any quality control method other than heat soak process is proposed by the AP/RSE, full details of the proposed method including the principle, method statement and limitations should be submitted to demonstrate suitability of the proposed method.
