(i) The Company may give financial assistance on such terms as the Board thinks fit to directors and bona fide employees of the Company, any of its subsidiaries, any holding company of the Company or any subsidiaryof any such holding company in order that they may purchase or subscribe or otherwise acquire shares (fully or partly paid) in the Company or any holding company of the Company and such terms may include a reference that, when a director ceases to be a director of, or an employee ceases to be employed by, the Company or such other company, shares purchased or subscribed or otherwise acquired with such financial assistance shall or may be sold to the Company or such other company on such terms as the Board thinks fit.

The INEDs confirmed that the aforesaid connected transactions were entered into (a) in the ordinary and usual course of business of the Group; (b) either on normal commercial terms or on terms no less favourable to the Group than terms available to or from independent third parties; and (c) in accordance with the relevant agreements governing them on terms that are fair and reasonable and in the interests of the shareholders of the Company as a whole.

Several delegations commended the secretariat for documenting and sharing good practices and country experiences in eco-city development, promotion of public transportation, green buildings, 3R (reduce, reuse, recycle) strategies, sustainable urban planning, solid waste management, water supply, sewerage, participatory approaches to urban management, promotion of public-private partnerships and municipal finance.

Assistance focuses on (a) establishing legal and policy frameworks consistent with international standards and norms; (b) strengthening the capacity of domestic institutions, in particular anti-corruption bodies and criminal justice institutions, to effectively prevent and control corruption in an integrated and coordinated way; (c) enhancing integrity, accountability and transparency in public and private sectors, including the management of public resources; (d) supporting relevant Government institutions in international cooperation and the recovery of assets at the domestic and international levels; (e) development of strategic and thematic partnerships with members of the international community and United Nations system to ensure coherency in the delivery of technical assistance; and (f) supporting the establishment of networks and platforms for policy dialogue and peer learning among Member States at the regional and international levels.

(C) Subject to paragraph (B) above, we shall hold on the death, or mental and/or other incapacity of or the occurrence of an Insolvency Event in relation to any of the joint Account holder all credit balance or balances and properties in all the Accounts and all monies due by us to the joint Account holders under any Transactions and Services to the order of the surviving joint Account holder (in case of death of all of the joint Account holders, to the executors or administrators of the last surviving joint Account holder) and any payment by us above shall be an absolute full and conclusive discharge of us as against the joint Account holders (including the deceased and his/her/estate and successor) provided that we may require the production of documentary proof of the death and/or the relevant legal grant to the estate of the deceased.

The Commission was informed of initiatives that were being undertaken by Pacific island developing countries to protect biodiversity and the maintenance of ecosystem services, such as the Phoenix Islands Protected Area in Kiribati, the largest marine protected area in the Pacific Ocean, and the Coral Triangle Initiative, which covered a number of countries in the Asia-Pacific region, included the greatest extent of mangrove forests in the world and providedacritical spawning and juvenile growth area for tuna and other globally significant fish species.

The outputs to be delivered under this component are set out in paragraph 29C.35 of the budget document, and include the provision of a wide array of training programmes designed to build and sustain the Organization’s leadership and managerial capacity; improve the human and financial resources management expertise of programme managers and staff with administrative responsibilities; upgrade the information technology skills of Secretariat staff; build and strengthen linguistic capabilities; and support career development and upgrade substantive skills.

Concrete follow-up initiatives have included the organization of specific training sessions with a view to stimulating decision- and policy-makers to enact the right of universal online access to public and government-held records, to identify and promote repositories of information and knowledge in the public domain and to make them accessible to all, as well as to undertake the preservation and digitization of public domain information held by governments.

In this context, it was suggested that both States Parties and the broader implementation community need to make sure that this actually happens, including moving beyond the general discussions of how to ensure that girls, boys, women and men have equal access to the resources generated through implementation of the Convention, and, by asking why progress has been so slow.

Increasing both the number of food items and the number of samples per individual food commodity for laboratory analysis could provide a more comprehensive coverage and a more precise estimate of the range and average EC concentration of fermented foods in the Hong Kong market.

Emphasis should be placed on enhancing the capabilities of countries of the region to secure sustainable and safe drinking water supplies, urban water development and management strategies as well as issues related to urban and peri-urban drainage and sanitation, the rehabilitation of degraded water ecosystems, research on disappearing water resources, aspects of conflict prevention and resolution in relation to water issues, the creation of subregional water observatories, research in the sustainability of certain ecosystems and in particular of mangrove systems, as well as drawing on local knowledge for the protection of the environment.

(c) To underline the importance of continued efforts by member States and the Council of Arab Ministers of Health to improve health care standards by developing and upgrading health care units and applying a family health regime, particularly in rural, marginalized and deprived areas, improving the health servicesprovided towomen, children and ageing persons, and focusing on building the technical capacities of health teams.

Some countries have or made considerable efforts to implement simple and transparent rules of origin for least developed country products, but other serious obstacles to trade remain, including non-tariff barriers that are inconsistent with World Trade Organization rules and obligations and supply-side constraints, in particular lack of infrastructure and modern technologies and energy deficiency.

It also noted that procedures for reporting cases of violence against children were extremely long and lacked comprehensive measures to respond and providecare to those affected.

Food businesses still have the legal responsibility to ensure that food so produced is fit for human consumption.

The report on Israeli settlements in the Occupied Palestinian Territory, including East Jerusalem, and the occupied Syrian Golan (A/66/364), based on information provided by United Nations bodies operating in the territory and by Israeli and Palestinian non-governmental organizations, recommended, inter alia, that Israel should comply withits international legal obligations and its Road Map commitments in respect of settlements and that all serious allegations concerning settlement-related criminal acts should be properly investigated and prosecuted.

The delegation of Nepal requested that the secretariat help least developed and landlocked countries to conduct analyses on key export and import products; introduce single windows and paperless trade and the promotion of public-private sector dialogue on the implementation of trade and transit facilitation measures; provideaplatform to discuss issues of common concern, paying particular attention to least developed and landlocked countries; promote value chains for agricultural and forestry products, including under initiatives such as “one village one product” programmes; and disseminate information and provide capacity-building assistance on the certification of organic foods and sanitary and phytosanitary standards, accession to APTA and overall assistance in the formulation of appropriate trade and investment policies.

The Funding of this Agreement will not be modified on the basis of any future Executive Committee decision that may affect the funding of any other consumption sector projects or any other related activities in the Country.

The Group reiterates its recommendation that UNOCI hire qualified customs consultants to provide a consistent monitoring capacity to its Integrated Embargo Monitoring Unit and to carry out physical inspections of cargoes based on a risk assessment strategy (see S/2010/179, para. 123), with a view to uncovering potential violations of the embargo on arms and related materiel.

Under the Working and Rest Time Act, the following categories of workers have reduced working time: employees who perform underground work, work that poses a health hazard or work of a special nature — up to seven hours per day or thirty-five hours per week; teachers and educators working in schools and other child care institutions, and other persons working in the area of education, and psychologists and speech therapists working on the basis of employment contracts entered into with a provider of health care services — up to seven hours per day or thirty-five hours per week.

The activities undertaken within this function will include: (a) producing country, regional and global-level technical and programme guidance covering the substantive areas in which UN-Women works, from ending violence against women to increasing women’s contributions to peace and security; (b) devising and coordinating multi-stakeholder, holistic country programmes that involve inter-agency participation and national partners in line with national and regional policies and priorities and that are consistent with UN-Women’s Strategic Plan; (c) ongoing, on-demand technical support to national partners and UNCTs in UN-Women’s core areas of work (e.g., support to NWMs; support to women’s organizations and networks; support to the Resident Coordinator and gender thematic groups; and support to reporting on and implementing CEDAW); and (d) the management and monitoring of global programmes and trust funds.

Some delegations highlighted specific reasons for retaining annual sessions: in view of the lack of resources for risk assessment in many developing countries, timely availability of Codex food safety standards was very important for use at the national level; participation in the Commission had a capacity building function for some countries; biennial sessions may need to be longer in order to address all items of work, which would create practical difficulties; and the considerable efforts made by governments to prepare themselves and participate in annual meetings should be taken into account.
