The SFC also accepts that there are some circumstances in which establishing the level of commission or benefit is complex.

According to the report, the relevant cost analysis covers the cost of spreads, brokerage charges and other implicit costs of implementing the trade arising from the difference between the price that the investor intended and what was actually executed.

The Company may at any time pay a commission to any person for subscribing or agreeing to subscribe (whether absolutely or conditionally) for any shares in the Company or procuring or agreeing to procure subscriptions (whether absolute or conditional) for any shares in the Company, but so that the conditions and requirements of the Companies Ordinance shall be observed and complied with, and in each case the commission shall not exceed 10% of the price at which the shares are issued.

The principal activities of Towngas Telecom (Shenzhen) are the design of automated-buildings, technology development and the provision of technical support, the wholesale of electric wires and cables, the management of commission fees, import and export services and other relevant services.

When the commission is so apportioned and payable under the contract of employment, the amount of commission paid would be counted in respect of the relevant wage period under the Bill when determining whether the remuneration to an employee meets SMW requirements.

Clause 5(5) only sets out how commission should be counted for determining whether the remuneration to an employee meets SMW requirements in respect of a wage period in order to provide clear guiding principles to determine whether the employee is remunerated at not less than the SMW rate.

The estimates of remaining costs and expenses were based on the proportion of the actual costs and expenses to operating revenues in the 2005 financial statements.

Group free surplus generated also includes the general insurance commission earned during the period and excludes shareholders’ other income and expenditure, and centrally arising restructuring and Solvency II implementation costs.

No fee or commission shall be paid by the Company to any Director or liquidator upon any sale or realisation of the Company’s undertaking or assets or any part thereof except with the sanction of a general meeting convened by notice specifying the fee or commission proposed to be paid.

(b) A Director may hold any other office or place of profit with the Company (except that of Auditors) in conjunction with his office of Director for such period and upon such terms as the Board may determine, and may be paid such extra remuneration therefor (whether by way of salary, commission, participation in profit or otherwise) as the Board may determine, and such extra remuneration shall be in addition to any remuneration provided for by or pursuant to any other Articles.

The Board may from time to time appoint a general manager, manager or managers of the business of the Company and may fix his or their remuneration either by way of salary or commission or by conferring the right to participate in the profits of the Company or by a combination of two or more of these modes and pay the working expenses of any of the staff of the general manager, manager or managers who may be employed by him or them upon the business of the Company.
