(e) In every factory the following shall be securely fenced by safeguards of substantial construction which shall be kept in position while the part of machinery required to be fenced are in motion or in use, namely (aa) every moving part of a prime mover, and every fly wheel connected to a prime mover; (bb) the head-race and tail-race of every water wheel and water turbine; (cc) any part of a stock-bar which projects beyond the head stock of a lathe; and (dd) unless they are in such position or of such construction as to be as safe to every person employed in the factory as they would be if they were securely fenced (i) every part of an electricity generator, a motor or rotary converter; (ii) every part of transmission machinery; and (iii) every dangerous part of any machinery.

(b) To enter into any guarantee, contract or indemnity or surety and in particular (without prejudice or secure, with or without consideration, whether by personal obligation or by mortgaging or charging all or any part of the undertaking, property and assets (present and future) and uncalled capital of the Company or both such methods or in any other manner, the performance of any obligations or commitments, of, and the repayment or payment of the principal amounts of and any premiums, interest, dividends and other moneys payable on or in respect of any securities or liabilities of, any person including (without prejudice to the generality of the foregoing) any company which is for the time being a subsidiary or a holding company of the Company or another subsidiary or a holding company of the Company or otherwise associated with the Company.

Any notice or document delivered or sent by post or left at the registered address of any member in pursuance of these presents, shall notwithstanding that such member be then deceased and whether or not the Company has notice of his decease be deemed to have been duly served in respect of any registered shares whether held solely or jointly with other persons by such member until some other - 40 person be registered in his stead as the holder or joint holder thereof, and such service shall for all purposes of these presents be deemed a sufficient service of such notice or document on his personal representatives and all persons (if any) jointly interested with him in any such shares.

12 hours Although it is a prime duty and responsibility of a Contractor to provide and maintain a safe plant and a safe system of work for his workers during the move-in and move-out periods, a quadpartite cooperation between a Venue Operator, Event Organiser, Exhibitor and Contractor is an effective mechanism to enhance the safety and health standard of the exhibition and convention industry.

If these conditions have been fulfilled and after AsiaSathas assigned a launchmission but before any payment is made under the Launch Services Contract, if AsiaSat is not satisfied with the progress of rocket hardware production by Sea Launch or the ability of Sea Launch to ensure timely delivery of its services as scheduled, or should there be delay beyond the assigned launch schedule for reason other than AsiaSat's breach or postponement, AsiaSat may at its own sole discretion terminate the Launch Services Contract with no further obligation to Sea Launch.
