(E) Where arrangements are under consideration concerning the appointment (including the arrangement or variation of the terms thereof, or the termination thereof) of two or more Directors to offices or places of profit with the Company or any other company in which the Company is interested, a separate resolution may be put in relation to each Director and in such case each of the Directors concerned shall be entitled to vote (and be counted in the quorum) in respect of each resolution except that concerning his own appointment (or the arrangement or variation of the terms thereof, or the termination thereof) and except (in the case of an office or place of profit with any such other company as aforesaid) where the other company is a company in which the Director together with any of his associates owns five (5) per cent or more of the issued shares of any class of the equity share capital of such company or of the voting rights of any class of shares of such company.

(b) so far as it is aware at the end of the relevant period, the Company has not at any time during the relevant period received any indication of the existence of the Member who is the holder of such shares or of a person entitled to such shares by death, bankruptcy or operation of law; and (c) the Company, if so required by the rules governing the listing of shares on the Designated Stock Exchange, has given notice to, and caused advertisement in newspapers in accordance with the requirements of, the Designated Stock Exchange to be made of its intention to sell such shares in the manner required by the Designated Stock Exchange, and a period of three (3) months or such shorter period as may be allowed by the Designated Stock Exchange has elapsed since the date of such advertisement.

Recalling the still frequent perception of violence as a needed form of discipline and the insufficient attention given to this phenomenon by laws, policies and school institutions, she placed a special emphasis on the adoption of legislation to firmly ban all violence in schools; the development of awareness-raising and capacity-building initiatives for professionals; the promotion of mediation and conflict resolution through non-violent means; as well as the promotion of participatory processes with the involvement of all stakeholders, including children themselves.

8.14 All decisions made by HKIRC in relation to whether the Chinese Domain Name is the meaningful subset of its Chinese company name, trade name or product name are in HKIRC‟s sole judgment and are not open to challenge, whether under Section 9 of these Pre Launch Priority Registration Period Rules or otherwise.

No connected persons of the Company have notified the Company that they have any present intention to sell Shares to the Company, or have undertaken not to do so, in the event that the Company is authorised to make repurchase of the Shares.

(i) To establish and support or aid in the establishment and support of associations institutions funds trusts and conveniences calculated to benefit employees or ex-employees of the Company or its predecessors in business or the dependants or connections of such persons and to grant pensions and allowances and to make payments towards insurance and to subscribe or guarantee money for charitable or benevolent objects or for any exhibitions or for any public general or useful object.

To every such separate general meeting the provisions of these Bye-laws relating to general meetings shall mutatis mutandis apply, but so that the necessary quorum shall be not less than two persons holding or representing by proxy (or, in the case of a member being a corporation, as the duly authorised representative of such corporation) at least one-third in nominal value of the issued shares of that class, and at an adjourned meeting not less than two persons holding or representing by proxy (or, in the case of a member being a corporation, as the duly authorised representative of such corporation) shares of that class, and that any holder of shares of the class present in person or by proxy (or, in the case of a member being a corporation, as the duly authorised representative of such corporation) may demand a poll.

A host of concrete proposals were suggested to the coordinators of the Dialogue, such as: dialogue and networking among universities; dialogue among young scientists, involving UNESCO chairholders in dialogue activities; dialogue among student journalists and seasoned media practitioners from both regions; the holding of youth forums; reactivation of the Committee for the Translation of Literary Works and increase in the translation of Arabic works into European languages; a comparative study of school textbooks; dialogue involving professionals from cultural industries; the organization of an interregional conference on the image of Arab-Islamic culture in European history books.

Accordingly, if a shareholder wishes to nominate a person to stand for election as a Director of the Company at the general meeting, the following documents must be validly served on the Company Secretary at the principle office of the Company in Hong Kong, namely (i) his/her notice of intention to propose a resolution at the general meeting; and (ii) a notice signed by the nominated candidate of the candidate’s willingness to be appointed together with (a) that candidate’s information as required to be disclosed under rule 13.51(2) of the Listing Rules, and (b) the candidate’s written consent to the publication of his/her personal data.

(b) if served or delivered in any other manner contemplated by these Articles, shall be deemed to have been served or delivered at the time of personal service or delivery or, as the case may be, at the time of the relevant despatch or transmission; and in proving such service or delivery a certificate in writing signed by the Secretary or other officer of the Company or other person appointed by the Board as to the act and time of such service, delivery, despatch or transmission shall be conclusive evidence thereof.

(B) The Company may, by writing under its seal, empower any person, either generally or in respect of any specified matter, as its attorney to execute deeds and instruments on its behalf and to enter into contracts and sign the same on its behalf and every deed signed by such attorney on behalf of the Company and under his seal shall bind the Company and have the same effect as if it were under the seal of the Company.

(2) Any person contracting or dealing with the Company in the ordinary course of business shall be entitled to rely on any written or oral contract or agreement or deed, document or instrument entered into or executed as the case may be by any two of the Directors acting jointly on behalf of the Company and the same shall be deemed to be validly entered into or executed by the Company as the case may be and shall, subject to any rule of law, be binding on the Company.

Of these, one subcommittee (i.e. the Subcommittee to Examine the Implementation in Hong Kong of Resolutions of the United Nations Security Council in relation to Sanctions) had obtained approval to continue its work in the remaining sessions of the current term; one subcommittee (i.e. the Subcommittee to Study Issues Arising from Lehman Brothers-related Minibonds and Structured Financial Products) is seeking the endorsement of the House Committee to continue its work in the remaining sessions of the current term; and the other two subcommittees (i.e. the Subcommittee on Residential and Community Care Services for Persons with Disabilities and the Elderly and the Subcommittee on Building Safety and Related Issues) have been working for less than 12 months.

Given that Zhongxingxin is a connected person of the Group at the level of the Company (and not at the level of the Company’s subsidiaries) and is a substantial shareholder of Lead, Lead itself constitutes a connected person of the Company under the Hong Kong Stock Exchange Listing Rules.

(c) In case any of the shares to be divided as aforesaid consist of shares which involve a liability to calls or otherwise, any person entitled under such division to any of the said shares may, within ten days after the passing of the special resolution by notice in writing, direct the Liquidator to sell his proportion and pay him the net proceeds, and the liquidator shall, if practicable, act accordingly.

(e) To acquire and undertake the whole or any part of the business property and liabilities of any person or company carrying on any business which the Company is authorized to carry on or possessed of property suitable for the purposes of this Company.

The main issues deliberated by the Bills Committee included the registration requirements on persons involved in lift and escalator works and the related transitional arrangements; the coverage and liabilities of responsible persons; the penalty levels of the offences under the Bill; control over subcontracting of lift and escalator works; measures to ensure proper functioning of the emergency devices of lifts; composition of the disciplinary boards and appeal boards; and the manpower supply for lift and escalator works.

(b) To enter into any guarantee, contract of indemnity or suretyship and in particular (without, prejudice to the generality of the foregoing) to guarantee, support or secure, with or without consideration, whether by personal obligation or by mortgaging or charging all or any part of the undertaking, property and assets (present and future) and uncalled capital of the Company or both such methods or in any other manner, the performance of any obligations or commitments, of, and the repayment or payment of the principal amounts of and any premiums, interest, dividends and other moneys payable on or in respect of any securities or liabilities of, any person including (without prejudice to the generality of the foregoing) any company which is for the time being a subsidiary or a holding company of the Company or another subsidiary or a holding company of the company or otherwise associated with the Company.

[...] [...] Article shall not require a copy of those documents to be sent to any person of whose address the Company is not aware or to more than one of the joint holders of any shares or debentures.

(B) Subject to the provisions of the Act and of the Bye-Laws relating to new shares, all unissued shares in the Company including any new shares created upon an increase of capital shall be under the control of the Directors who may offer, allot, grant options over or otherwise dispose of them to such persons, on such terms and conditions and at such times as the Directors shall in their sole and absolute discretion think fit, but so that no shares shall be issued at a discount.

It provided experts, professionals, representatives of non-governmental organizations, governmental and regulatory agencies from all regions with an opportunity to identify freedom of expression issues on a global basis such as new possibilities, challenges and obstacles of the exercise of freedom of expression in cyberspace, whether direct (censorship) or indirect (lack of access to ICTs or information); and the regulation of its contents.

On conviction of such an offence, the court may, under Section 26A of the Housing Ordinance, order (a) that the flat so purchased be transferred to the HA or its nominee; or (b) that the offender pay the HA a sum equivalent to the difference between the original purchase price of the flat and its full market value as at the date of conviction.
