During the period under review, Lebanon continued to face a precarious political and security situation, which led the United Nations Secretary-General in his latest report on the implementation of Security Council resolution 1701 (S/2007/382), to stress that the ongoing instability within Lebanon is limiting progress and posing “a direct challenge to the stability of the country as a whole”, while reiterating his hope that a long-term solution can be found in the region.

It agrees that the daily default fine for 19 non-filing offences with a Level 3 fine level could be removed on grounds that few parties will be affected by the non-timely compliance of the offence (e.g. there may be grounds for removing the daily default fines for relatively minor offences which relate only to sole director companies or sole member companies and are unlikely to affect the public interest at large); the continuing default has limited effect on other parties (e.g. the interests of a member who already has access to a company document in electronic form should not be seriously affected by the company failing to provide him with the same document in hard copy within a prescribed time); and/or lower need to impose a daily default fine if prosecution on the offence is likely to be targeted at a specific breach on a specific date rather than over a continuous period.

At the 10th meeting, on 16 October, the representative of India, on behalf of Afghanistan, Albania, Armenia, Bangladesh, Belgium, Bhutan, Bulgaria, Cambodia, Chile, Croatia, the Czech Republic, El Salvador, Estonia, Finland, France, Germany, Greece, Guatemala, Haiti, Honduras, Hungary, India, Ireland, Italy, Kuwait, Latvia, Lithuania, Luxembourg, Mauritius, Monaco, Myanmar, Nepal, the Netherlands, Norway, the Philippines, Poland, Portugal, Romania, the Russian Federation, Samoa, Serbia, Singapore, Slovakia, Spain, Sri Lanka, Thailand, the former Yugoslav Republic of Macedonia, Togo, Turkey and the United Kingdom of Great Britain and Northern Ireland, introduced a draft resolution entitled “Measures to prevent terrorists from acquiring weapons of mass destruction” (A/C.1/63/L.34).

The realisation of such operating risks and hazards and the costs associated with them could materially adversely affect the Group’s business, results of operations and financial condition, including by requiring significant capital and operating expenditures to abate the risk or hazard, restore the Group or third party property, compensate third parties for any loss and/or pay fines or damages.

Ordinary resolutions will also be proposed at the Annual General Meeting in respect of the granting of the Issue Mandate to the Directors, in the terms set out in the notice of the Annual General Meeting, to allot, issue and deal with Shares not exceeding 20% of the aggregate nominal amount of the share capital of the Company in issue as at the date of passing the relevant resolution, and adding to the Issue Mandate so granted to the Directors any Shares representing the aggregate nominal amount of the Shares repurchased by the Company after the granting of the Repurchase Mandate, at any time during the period ended on the earliest of (a) the conclusion of the next annual general meeting of the Company; (b) the expiration of the period within which the next annual general meeting of the Company is required by the Articles or any applicable laws to be held; and (c) the date upon which such authority is revoked or varied by an ordinary resolution at a general meeting of Shareholders.

At the same meeting, speaking on behalf of the Rio Group, the representative of Chile: reiterated the Group’s support for the legitimate rights of Argentina in the sovereignty dispute with the United Kingdom; recalled its declaration and special communiqué on the exploration for fossil fuels on the continental shelf around the Islands, adopted by the Heads of State and Government of Latin America and the Caribbean gathered at the Unity Summit held in Mexico on 22 and 23 February 2010; rejected the military activities of the United Kingdom in the Islands, which ran counter to the region’s policy of seeking a solution to the dispute through peaceful means; and also recalled the declaration on that matter that had been adopted in Santiago in October 2010 (see A/C.4/66/SR.2).
