To obtain proper pressure control and minimize pump pulsation, install a fluid regulator on the A and B supply lines upstream of the meters.

As a result, data and back-up were lost and the project to build a platform for the creation of a data bank in support of integrated water resources management had to be cancelled.

(A) Any two or more certificates representing shares of any one class held by any member may at his request be cancelled and a single new certificate for such shares issued in lieu upon payment of such fee (not exceeding, in the case of any share capital listed on a stock exchange in Hong Kong, the maximum amount prescribed or permitted from time to time by such stock exchange, and, in the case of any other share capital, such sum in such currency as the Board may from time to time determine to be reasonable in the territory in which the relevant register is situate, or otherwise in each case such other sum as the Board may from time to time determine) as the Board shall from time to time determine.

(bb) that every such document so destroyed was valid and effective and had been duly and properly registered, cancelled, or recorded in the books or records of the Company, as the case may be.

(c) Hang Seng will have the discretion whether to supply a Card Account Statement if (i) there are no entries covering the relevant statement period and no outstanding balance on the Credit Card Account, the Syndicate Account or the Partnership Account (as the case may be) since the last Card Account Statement or (ii) where the Card has been cancelled or terminated by Hang Seng or the Cardmember for whatever reason or where the Syndicate or the Partnership has been dissolved and there is a debit balance in the Credit Card Account, the Syndicate Account or the Partnership Account (as the case may be) overdue for such period considered by Hang Seng to be unacceptable.

The Board noted, after discussion with management in the Department of Internal Oversight Services that there were no documented reasons why the audits had been cancelled; however, there was a high vacancy rate as discussed previously.

(c) Without prejudice to the provisions of Clauses 24 and 25, when a Card has been cancelled or terminated by the Cardmember or Hang Seng or when a Syndicate or a Partnership has been dissolved or when a Syndicate Account or a Partnership Account has been terminated, it is the duty of the Cardmember, the Syndicate Treasurer or the Managing Partner to request for updated Account Statement or to inquire with Hang Seng from time to time on the outstanding balance of the Card Account, the Syndicate Account or the Partnership Account for repayment purpose and interest and finance charge (where applicable) shall continue to accrue thereon until full repayment.

Any share so forfeited shall be deemed to be the property of the Company, and may be sold or otherwise disposed of on such terms and in such manner as the Board thinks fit and at any time before a sale or disposition the forfeiture may be cancelled on such terms as the Board thinks fit.

(e) cancel any shares which, at the date of the passing of the resolution, have not been taken, or agreed to be taken, by any person, and diminish the amount of its capital by the amount of the shares so cancelled or, in the case of shares, without par value, diminish the number of shares into which its capital is divided.

The Board was concerned that the significant increase in unliquidated commitments could be a result of the lack of adequate review of the commitments to identify commitments that still represented a valid charge to the budget and those that needed to be cancelled.

Obligations unliquidated at the end of a financial period which no longer represent a charge against the resources of the organization should be cancelled.

The percentage change in the listed issuer’s issued share capital is to be calculated by reference to the listed issuer’s total issued share capital (excluding for such purpose any shares repurchased or redeemed but not yet cancelled) as it was immediately before the earliest relevant event which has not been disclosed in a Monthly Return or Next Day Disclosure Return.

Section III: Verification of CFC imports and exports for 2006 in China production sector; redeployment of the aerosol equipment purchased for a cancelled project in the former Yugoslav Republic of Macedonia (FYR Macedonia) to be utilized in the COPACI aerosol project in Côte d’Ivoire; report on the technology provider for the phase-out of CFC consumption in the manufacture of MDIs in Egypt; and the revised plan for the sustainability of a halon banking project in Libyan Arab Jamahiriya.

However, if a new award is substituted for the cancelled award, and designated as a replacement award on the date that it is granted, the cancelled and new awards are treated as if they were a modification of the original award, as described in the previous paragraph.

Once given instructions may only be cancelled, withdrawn, altered or amended in whole or in part with our prior written consent.

When the Company cancels any option granted to a grantee but not exercised and issues new option(s) to the same grantee, the issue of such new option(s) may only be made with available unissued options (excluding the options so cancelled) within the General Scheme Limit or the new limits approved by the Shareholders pursuant to sub-paragraphs (iii) (cc) and (dd) above.

When the share options are forfeited or cancelled or are still not exercised at the expiry date, the amount previously recognised in share options reserve will be transferred to accumulated losses/retained earnings.

This result is due to the fact that a prospective buyer or secured creditor will be reluctant to enter into any dealings with the grantor unless and until the existing registration is cancelled.

The Secretariat and the implementing agencies provided clarification on projects pending a report on the achievement of milestones and resulting automatic cancellations, together with projects where agencies and the Secretariat disagreed on assessment of some progress, and the impact of cancelled and delayed projects on compliance.

Until cancelled in accordance with the requirements of the Act, any share so forfeited shall be deemed to be the property of the Company and may be sold, reallotted or otherwise disposed of either to the person who was, before the forfeiture, the holder thereof or entitled thereto or to any other person on such terms and in such manner as the Directors think fit and at any time before a sale or disposition thereof the forfeiture may be cancelled on such terms as the Directors think fit.

In addition, any share options granted to a substantial shareholder or any independent non-executive director of the Company, or to any of their associates, which would result in the shares issued and to be issued upon exercise of all share options already granted and to be granted (including share options exercised, cancelled and outstanding) to such person in any one year up to and including the date of such grant (i) representing in aggregate value over 0.1% of the shares of the Company in issue on that date; and (ii) having an aggregate value, based on the closing price of the shares on the date of each grant, in excess of HK$5 million, are subject to shareholders’ approval in a general meeting.

With respect to paragraph 2, it was suggested that reference should also be made to: (a) the fact that registry record in that context referred to the record available to the public (otherwise, article 16, para. 2, would be inconsistent with article 29, para. 2); (b) a judicial or administrative order of the type referred to in article 31; and (c) to the possibility that cancelled notices might be retained in the registry record available to the public at least for a certain period of time (such as two years).

Until cancelled in accordance with the requirements of the Act, a forfeited share shall be the property of the Company and may be sold, re-allotted or otherwise disposed of to such person, upon such terms and in such manner as the Board determines, and at any time before a sale, re-allotment or disposition the forfeiture may be annulled by the Board on such terms as the Board determines.

At the close of the offers, all of the then outstanding share options of the Company were cancelled and Zall held in total 91.06% of the then issued share capital of the Company.

In his letters to the President of the Security Council dated 25 July 2008 (S/2008/492), 1 May 2009 (S/2009/230) and 8 December 2010 (S/2010/619), the Secretary-General indicated that whatever option might be selected by the Security Council for concluding all outstanding issues under the oil-for-food programme, the three letters of credit that had been cancelled but to which the beneficiaries had made claims of delivery prior to the expiration date should be treated in the same manner as those letters of credit with claims of delivery still outstanding.

(ii) at any time redeem all outstanding Convertible Bonds at their principal amount together with interest accrued to the date fixed for redemption, provided that prior to the date of such notice at least 90% in principal amount of the Convertible Bonds originally issued (including any Option Convertible Bonds) has already been converted, redeemed or purchased and cancelled.

(bb) Where any grant of options to a substantial shareholder or an independent non-executive director of the Company or any of their respective associates, would result in the Shares issued and to be issued upon exercise of all options already granted and to be granted (including options exercised, cancelled and outstanding) to such person in the 12-month period up to and including the date of such grant
