(f) the Board may resolve that the shares to be allotted shall be allotted at a premium provided that the premium is credited as fully paid up and in such case the Board shall in addition to the amount to be capitalised and applied pursuant to sub-paragraph (e) above, and for the purpose therein set out, capitalise and apply out of the amount standing to the credit of the share premium account or out of any part of the undivided profits of the Company (including profits carried and standing to the credit of any reserve or reserves or other special account) as the Board may determine, a sum equal to the aggregate amount of the premium on the shares to be allotted and shall apply the same together with the sum to be applied pursuant to sub-paragraph (e) above and on the basis therein set out in paying up in full the appropriate number of unissued shares for allotment and distribution to and amongst the holders of the Elected Shares.

The National Central Bureau carried out other specific work such as appointing the terrorism liaison official; linking the INTERPOL I-24/7 computer system and police units, giving the General Directorate of Migration and Immigration access to the Fixed Interpol Network Database and Mobile Interpol Network Database (FIND/MIND) to check passenger lists at the international airport in order to prevent terrorists from entering and passing through the country; updating the database of lost and stolen passports; and investigating and registering international foundations that wanted to operate in the country.

By the same resolution, the Council decided that the mandate of the Force, in addition to carrying out its mandate under resolutions 425 (1978) and 426 (1978), would include, inter alia, monitoring the cessation of hostilities, accompanying and supporting the deployment of the Lebanese Armed Forces throughout southern Lebanon in parallel with the withdrawal of the Israeli Defense Forces, ensuring respect for the Blue Line and assisting the Lebanese Armed Forces in ensuring that the area between the Blue Line and the Litani River is free of any unauthorized armed personnel, assets and weapons, taking all necessary action within its capabilities to ensure that its area of operations is not utilized for hostile activities, and assisting the Government of Lebanon, at its request, in securing its borders and other entry points in order to prevent the entry into Lebanon without its consent of arms or related materiel.

Management believes that any reasonably foreseeable change in any of the above key assumptions would not cause the carrying amount of goodwill to exceed the recoverable amount and therefore no sensitivity analysis was required.

Pending a full evaluation of the experience gained with and the results attained by the various CCT projects carried out during the 31 C/5 and 32 C/5, the Director-General recommends to continue during the 33 C/5 only a limited number of ongoing CCT projects which have demonstrably shown effectiveness and results in particular at the field level as well as the use of innovative modalities and approaches, but not to add new CCT projects.

In the second year, the aim is to clear all the areas identified to contain mines and carry out an environmental rehabilitation of the target area.

(29) To enter into any arrangements with any Governments or authorities (supreme, municipal, local or otherwise), or any corporations, companies, or persons that may seem conducive to the attainment of the Company's objects, or any of them, and to obtain from any such Government, authority, corporation, company or person any charters, contracts, decrees, rights, privileges and concessions and to carry out, exercise and comply with any such charters, contracts, decrees, rights, privileges and concessions; to apply for, promote and obtain any statute, order, regulation or other authorisation or enactment which may seem calculated directly or indirectly to benefit the Company, and to oppose any bills, proceedings or applications which may seem calculated or likely directly or indirectly to prejudice the Company's interests; and to procure the Company to be registered or recognised in or under the laws of any other foreign country or place.

It is worth mentioning that, as a non-resident agency and in the face of inadequate financial resources and staff to carry out missions to participate in the numerous meetings, UNESCO’s participation in meetings of the UNCTs, UNSTs and various United Nations theme and joint groups (outside of the ones in Jamaica) is limited, and done mainly through e-mail contributions and teleconference (where possible).

(17) To carry on all or any of the trades or business of preparing, spinning, knitting, doubling, weaving, combing, scouring, sizing, bleaching, colouring, dyeing, printing and finishing, working or manufacturing in any way whatever, cotton, wool, silk, flax, hemp, linen, jute, leather, synthetic fibres and other fibrous or textile substances, whether animal, vegetable or mineral in any state and whether similar to the foregoing substances or not and to treat and utilise and deal in any waste arising from any such operations, whether carried out by the Company or otherwise, and also of makers of vitriol and of bleaching, dyeing, and finishing materials, and the buying and selling of and dealing in all or any of the aforesaid substances.

The Special Envoy also informed the Security Council that owing to its fragility, the situation would continue to require close monitoring and that his office in Nairobi would therefore require not only some capacity to continue monitoring further progress for a limited period, but also some form of mechanism to carry forward the monitoring and follow-up thereafter.

For the purpose of this paragraph there shall be disregarded any shares held by a Director or his associates as bare or custodian trustee and in which he or any of them has no beneficial interest, any shares comprised in a trust in which the interest of the Director or his associate(s) is/are in reversion or remainder if and so long as some other person is entitled to receive the income thereof, and any shares comprised in an authorised unit trust scheme in which the Director or his associate(s) is/are interested only as a unit holder and any shares which carry no voting right at general meetings and very restrictive dividend and return of capital right.

The Group reiterates its recommendation that UNOCI hire qualified customs consultants to provide a consistent monitoring capacity to its Integrated Embargo Monitoring Unit and to carry out physical inspections of cargoes based on a risk assessment strategy (see S/2010/179, para. 123), with a view to uncovering potential violations of the embargo on arms and related materiel.

The assembly of diverter switch oil compartment and tap selector as well as the connection of tap selector connecting leads have to be carried out according to section 4.3.

However, in order to guarantee that the interests of Lebanon are fully preserved and that its sovereignty is not unduly encroached upon, rule 77 (B) of the Rules of Procedure and Evidence provides that the decision of the Prosecutor is subject to judicial scrutiny: when necessary and appropriate, the Prosecutor must be authorized by the Pre-Trial Judge to carry out investigative acts without the involvement of national authorities.

Furthermore, it is proposed that 2 general temporary assistance positions of Training Coordination Officer at the P-4 level be continued in order to carry out the full cycle of training management (from needs identification to the design, delivery and evaluation of a large inventory of specific courses, including their harmonization with Secretariat workforce management and learning development programmes) for all job-specific and technical courses within their area of responsibility.

As a result, goods carried by road often have to be trans-shipped at border areas or loading points along a designated route.

(iv) the dividend (or that part of the dividend in respect of which a right of election has been accorded) shall not be payable in cash on shares in respect whereof the share election has been duly exercised (“the elected shares”) and in lieu thereof shares of the relevant class shall be allotted credited as fully paid up to the holders of the elected shares on the basis of allotment determined as aforesaid and for such purpose the Board shall capitalise and apply out of any part of the undivided profits of the Company (including profits carried and standing to the credit of any reserves or other special account other than the Subscription Rights Reserve) as the Board may determine, such sum as may be required to pay up in full the appropriate number of shares of the relevant class for allotment and distribution to and amongst the holders of the elected shares on such basis.

One delegation expressed some concern with the proposal to “revitalise” the Executive Committee, noting that it was already carrying out important functions and should retain its advisory role to the Commission, but should not take decisions that were the responsibility of the Commission.

Committee has ceased to carry out the functions of member for any reason other than absence of a temporary character, the Chairperson of the Committee shall notify the Secretary-General, who shall then declare the seat of that member to be vacant.

In doing so, the ISU continued to respond to individual States Parties needs and acted, as is noted in the agreed mandate, to “carry out follow-up activities” from formal meetings under the Convention.

Algeria also praised the penal reforms carried out by Uruguay.

This begs a fundamental review at UNESCO Headquarters in its recruitment and nomination policy, to ensure that staff deployed to cluster and national offices have the expertise to carry out technical support required and to earn the respect of the government and United Nations counterparts.

The Country agrees to evaluations, which might be carried out under the monitoring and evaluation work programmes of the Multilateral Fund or under the evaluation programme of any of the agencies taking part in this Agreement.

(h) To enter into any arrangement with any government or authority supreme municipal local or otherwise that may seem conducive to the Company’s objects or any of them and to obtain from any such government or authority any rights privileges and concessions which the Company may think it desirable to obtain and to carry out exercise and comply with any such arrangements rights privileges and concessions.

The Commission applauded the head of the Subregional Office for North and Central Asia for his leadership and efficient work, which had resulted in the Office becoming fully operational at an early stage, and reiterated the support of member States for the work currently carried out by the Office in accordance with the mandates given to it by the member States.
