(J) Where a company (other than a company which is a wholly owned subsidiary of the Company or a subsidiary or associated company of the Company in the voting equity capital of which neither the Director nor any of his associates has any interests) in which a Director and any of his associates hold five (5) per cent. or more of any class of the voting equity share capital of such company or of the voting rights of any class of shares available to shareholders of the company is materially interested in a transaction, then that Director shall also be deemed materially interested in such transaction.

The benchmarks adopted so far include: (a) adoption of a formal ERM policy since 2008; (b) an active enterprise risk management committee chaired by the Associate Administrator; (c) a formal implementation strategy for the adoption of ERM in UNDP; (d) dedicated training of staff on the policies and toolkits for ERM (e) clear procedures for the identification, reporting and escalation of relevant risks through the reporting lines for consideration by the ERM committee; (f) dedicated resources for monitoring of and follow up on the corporate risks log; (f) an enabling system for the reporting and review of unit-level and corporate risk; (h) progressively integrated risk-informed and results-based unit work-planning and reporting processes; (i) a planned and periodic review of ERM policies and practices; and (j)contributions tointer-agency experience exchange and learning based on the ERM experiences of UNDP.

It also repeals the six existing survey orders, namely, Census and Statistics (Annual Survey of Industrial Production) Order (Cap. 316A), Census and Statistics (Annual Survey of Wholesale, Retail and Import and Export Trades, Restaurants and Hotels) Order (Cap. 316C), Census and Statistics (Annual Survey of Building, Construction and Real Estate Sectors) Order (Cap. 316E), Census and Statistics (Annual Survey of Banks, Deposit-taking Companies, restricted Licence Banks and Representative Offices of Foreign Banks) Order (Cap. 316H), Census and Statistics (Annual Survey of Storage, Communication, Financing, Insurance and Business Services) Order (Cap. 316I) and Census and Statistics (Annual Survey of Transport and Related Services) Order (Cap. 316J).

It also participated in: (a) consultation tours and public meetings on the Commission on the Status of Women; (b) annual Hiroshima/Nagasaki commemoration programmes pertaining to the abolition of nuclear weapons; (c) national conferences on women and peace, disarmament, non-violence and sustainable clean energy; (d) various discussions and events on the implementation of Security Council resolution 1325 (2000); (e) campaigns such as “Make Poverty History”; (f) public lectures on the abolition of war, women and development, anti-trafficking and demilitarization; (g) a peacebuilding symposium in Rwanda; (h) presentations to examine the impact of war on youth and to mark the sixtieth anniversary of the adoption of the Universal Declaration of Human Rights; (i) workshops for Somali youth in support of gender equality education, as called for in the Agreed Conclusions of the Commission on the Status of Women; (j) a public forum against nuclear weapons.

Besides Father Paulinus, already mentioned, are the Abbé Roussel, who was chosen to assist in completing the translation of the voluminous "Bhagavata Purana", begun by Burnouf, and who has besides published interesting studies on Hinduism; the Abbé Dubois, who published a masterly exposition of Modern Hinduism under the title "Hindu Manners, Customs and Ceremonies" (Oxford, 1897); and Father J.Dahlmann,SJ Finally, it is but fair to note that considerable excellent work is being done by native Hindu scholars in translating and interpreting sacred Hindu texts.

These matters include the questions whether: (a) the grantor has to be the same person as the borrower; (b) the security agreement secures all the relevant obligations; (c) the security right is subject to any legal restrictions; (d) there must be a clear payment schedule in the credit; (e) there are any special rights or obligations (such as rights of way or rights of access to a site); (f) there are any special obligations for the preservation of encumbered assets; (g) there are any obligations not to transfer the encumbered asset or create another security right in it; (h) ways in which the grantor and other interested parties could be notified in the case of default and enforcement; (i) there should be a reference to extrajudicial enforcement; and (j) there should be a dispute resolution clause.

After it had been pointed out that decision 56/16(j) on HPMPs in the servicing sector allowed the Secretariat to propose adjustments to the HCFC cost structure to the Executive Committee, the representative of the Secretariat said that, with respect to additional costs for the HPMP servicing sector, all costs had already been approved and the Secretariat had no reason to propose a change to a decision that had only been taken at the previous Meeting.

(j) Recognized also the importance of active engagement from other States Members of the United Nations which are not members of the Special Committee in the work of the Committee, and in that connection welcomed the participation of Algeria, Argentina, Australia, Brazil, Morocco and Spain in the seminar.

(j) Increasing efforts to achieve universal access to HIV prevention, treatment, care and support, strengthening the fight against malaria, tuberculosis and other diseases, including by providing adequate funding for the Global Fund to Fight AIDS, Tuberculosis and Malaria and through the agencies, funds and programmes of the United Nations system and other multilateral and bilateral channels, strengthening innovative financing mechanisms, as appropriate, and contributing to the long-term sustainability of the response.

(j) Maximizing synergies among the three subprogrammes, given the commonalities of problems and challenges, including their structural weaknesses, their vulnerability to external shocks, the smallness of their economies, their marginal position in the world economy and their geographical disadvantages.

(J) The Company may by ordinary resolution ratify any transaction not duly authorised by reason of a contravention of this Article provided that no Director who is materially interested in such transaction, together with any of his associates, shall vote upon such ordinary resolution in respect of any shares in the Company in which he is interested.

(j) As at the Latest Practicable Date, there was no agreement arrangement between any of the Directors and any other person which is conditional on or dependent upon the outcome of the Offers or otherwise connected with the Offers.

In 2005, while addressing the issue of standard of living, the Supreme Court residing as High Court of Justice held that the State is obligated to maintain a ‘safety net’ designed to ensure that the condition of the underprivileged would not deteriorate to one of existential deprivation in the sense of a shortage in food, places of residency, sanitation, health-care services and such (H.C.J 366/03 The Commitment to Peace and Social Justice Association v. The Minister of Finance).

Since the Cartagena Summit, the following States Parties made use of "Form J" to provide information on matters which may assist in the implementation process and in resource mobilization: Afghanistan, Albania, Argentina, Australia, Belgium, Bosnia and Herzegovina, Burundi, Cambodia, Canada, Chad, Chile, Colombia, Croatia, Czech Republic, Denmark, Ecuador, Estonia, France, Germany, Guinea-Bissau, Japan, Latvia, Lithuania, Malawi, Netherlands, Norway, Philippines, Senegal, Slovakia, Spain, Switzerland, Thailand, Turkey, and Uganda.

(j) To vest any real or personal property, rights or interest acquired by or belonging to the Company in any person or company on behalf of or for the benefit of the Company, and with or without any declared trust in favour of the Company.
