You agree that, if Alibaba has charged you for any fees, Alibaba's termination of Services as described shall be based on reasonable suspicion and with prior notice to you via email.

Upon termination of this agreement, we are authorized to withhold a reasonable portion of those licensing fees yet to be paid (Reserves) in order to cover still undetermined chargebacks and refunds.
