The assets owned by the Target Company are freeof any liens, pledges or other encumbrances or any other rights of third parties.

The Transferors own the Equity interest free and clear ofencumbrances of any kind, other than the security interest pursuant to the Pledge Agreement.

Subject to the terms of this Agreement, the Vendor shall sell as beneficial owner, and the Purchaser shall purchase, the Business as a going concern and all of the Assets free from all Encumbrances.
